3、nt1)甲方將如上的模具寄存于乙方。所有寄存模具的所有權(quán)歸甲方所有。非經(jīng)甲方書面同意，乙方不得為自己或他人復(fù)制或仿制該模具。Party A putsthe above moulds in Party B. The own ership of the storage moulds bel ongs to PartyA. Party B cannot copy or imitate the moulds for itself or for others without the writte npermissi on of Party A.2)乙方承諾不去掉寄存模具上的名稱和標(biāo)記，并將這些寄存模具與

4、其它企業(yè)的物品分開存放， 使這些寄存模具能夠很容易地被辨別出來。Party Bpromises not to remove the name and marks on the storage moulds and keep themseparately with other items in order that they can be identified easily.3)任何寄存于乙方的本約模具只能由受過專門培訓(xùn)的員工使用和操作。除正常磨損外，乙方承諾對(duì)這些寄存模具進(jìn)行維護(hù)以使其保持良好的狀 態(tài)，且保管期間發(fā)生的一切費(fèi)用由乙方承擔(dān)。在保管或使用這些寄存模具時(shí)，乙方要為這些模具投保，保險(xiǎn)金

5、額應(yīng)等同于這些寄存模具的替換成本，若有丟失或損壞，則以同等價(jià)格賠付給甲方。Only specially trained staff can use andoperate the moulds. In addition to normal wear and tear, Party B promises to maintainthe storage moulds in order to keep them in good con diti on andundertake all the costs that occurred during the keeping time. Party B sho

6、uld buy insura nce for the storage moulds whe n keep ing or using them. The in sura nceamount should be equal to the replacement cost of the storage moulds. If lost ordamaged, Party B should compensate Party A with the mould price listed on theagreeme nt.4)乙方應(yīng)當(dāng)對(duì)用寄存模具生產(chǎn)出的樣件進(jìn)行檢驗(yàn)，以確定這些模具是否符合甲方的工程圖紙和規(guī)范要

7、求。乙方必須在收到甲方的書面確認(rèn)樣件合格后正式批量生產(chǎn)產(chǎn)品。 Party B should in spect the sample which is produced bythe storage mould to determ ine whether the moulds fit with the engin eeri ngdraw in gs a nd specificati ons from Party A. Party B will start mass producti on afterreceiv ing the writte n con firmati on and accepta

8、 nce from Party A.5)乙方每月向甲方提交一份有關(guān)各模具的維護(hù)報(bào)告。 報(bào)告內(nèi)容應(yīng)包括： 上一個(gè)月對(duì)模具進(jìn)行維護(hù)的情況以及該模具的當(dāng)前狀況。 Party B should submit a monthlymaintenance report about the moulds to Party A. The report should include themoulds maintenance conditions of last month and its current situation.6)未經(jīng)甲方書面同意，乙方如利用或提供本約之模具為甲方以外之人 加工、生產(chǎn)或?qū)⑵渖a(chǎn)之產(chǎn)

9、品銷售給甲方以外之任何人時(shí)， 乙方須給付甲方 其生產(chǎn)、轉(zhuǎn)售總值之十倍違約金。 If Party B uses the storage mould to process, produce ormanufacture the products to sell to any person other than Party A without the writtenpermission of Party A, Party B shall pay Party A of its production and resale value often times the penalty.7)甲方可隨時(shí)取回該模具

10、，乙方不得以任何理由扣留，否則自甲方要 求取回該模具之日起，每逾期一日，按該模具總價(jià)之25%進(jìn)行罰款，由甲方支付給乙方之貨款中自行扣除。如貨款不敷抵扣時(shí)，由乙方另行賠償。 Party A cantake back the storage moulds at any time, Party B should not detain them for anyreason or from the date that Party A required to take back the moulds, each overdueday, Party B shall pay the penalty of 25

11、% of total moulds cost to Party A and thepenalties will be deducted from the moulds keeping cost paid to Party B. If paymentis insufficient to offset, Party B should pay for the compensation separately.四、保密責(zé)任 /Confidentiality 未經(jīng)甲方允許， 乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、 書面、出 示和借用的方式轉(zhuǎn)泄露給第三方。如有發(fā)生信息泄露 ,甲方有權(quán)追究其法律責(zé)任。W

12、ithout the permission of Party A, Party B should not disclose the drawings andtechnical information which are provided by Party A in oral, written, showing andlending way to the third Party. If Party B revealed such information, Party A has theright to pursue Party Bs legal responsibility.五、其他約定 /Ot

13、hers1)本協(xié)議受中華人民共和國(guó)的法律法規(guī)管轄， 并應(yīng)依照中華人民共和國(guó) 的法律法規(guī)解釋。 The agreement shall be governed by, and interpreted in accordance with,the laws and regulations of the Peoples Republic of China.2)除非雙方采用書面形式， 否則對(duì)本協(xié)議的任何修正均屬無效。Any amendmentsto this agreement shall not be valid unless made by the Parties in writing.3)本協(xié)議

14、一式兩份， 每份皆具有同等法律效力。 This agreement is made in twooriginal copies, both of which are equally valid.4)本協(xié)議在雙方簽訂本協(xié)議之日立即生效。 This agreement shall take effectimmediately upon the date of execution by the Parties.5)凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭(zhēng)執(zhí)，都應(yīng)通過友好協(xié)商解 決。如果在書面要求協(xié)商的通知發(fā)出后的三十 (30)天內(nèi)不能解決，則該爭(zhēng)執(zhí) 應(yīng)提交乙方所在地有管轄權(quán)的法院進(jìn)行裁決。 All th

15、e disputes and controversies of every kind and naturebetween the Parties arising out of or in connection with the agreement or theexecution hereof shall be settled by friendly negotiation between the Parties.
