Chapter11AllthewordsandexpressionsusedinthisContractshallhavethemeaning“ContractPrice”:thesumoftheamountspayabletotheContractorbytheOwnerinrelationtotheperformanceoftheWorksinaccordancewiththeContract.“ConstructionSite”:TheplacedefinedbytheconstructionsitegenerallayoutintheconstructionplanapprovedbytheOwner.“Owner”:ThelegalentitywhoreachesagreementwiththeContractor,agreestocontracttheconstructionworkdescribedhereintotheContractor,andiswillingtoundertakeandfulfillallliabilitiesandobligationsstipulatedinthisContract.“Owner’sRepresentative”:The nelauthorizedbytheOwneraccordingtotheContract,whorepresentingtheOwnerperformdailycommunication,coordinationandsupervisionworksrelatedtotheProject.UnderthisContract,ShanghaiUManConstructionProjectManagementCo.,isappointedastheOwner’sRepresentative.ShanghaiUManConstructionProjectManagementCo.,appointedWangGangastheon-siterepresentative.調(diào)、監(jiān)督工作相關(guān)的人。在本合同下,裕滿建筑工程管理被指定為業(yè)“Contractor”:ThelegalentitywhohasthequalificationandcompetencetosignandperformthisContract,agreestocontracttheconstructionworkinaccordancewiththeContractagreedwiththeOwner,andiswillingtoundertakeandfulfillallliabilitiesandobligationsstipulatedherein.“Contractor’sRepresentative”:The appointedbytheContractorpursuantheretotoexecutethedailycommunication,coordinationinrespectoftheProjectfortheContractor.“Cost”:TheamountsincurredbyContractor,allofwhichshallbedeemedtobeincludedin,coveredby,theContractPricewhichisafixedlumpsum,unlessotherwisespecifiedintheContract,tobepaidasadditionalcompensationtotheContractor,ortobebornedirectlybytheOwner.“Start-upDate”:ThecommencementdateforworksconstructionapprovedprovisionallybytheOwnerasperthisContractis【Sep.10th,2013】.2013910“CompletionDate”:ThecompletiondateforconstructionandacceptancesetoutinthisContract【Dec10th2013】,thatistheworkperiodis9020131210“SubstantialCompletionDate”:ThedatethattheworkshavepassedthecompletioninspectionbytheOwner,followingtheactualworkscompletionandsubmissionofacompletioninspectionreportbytheContractor.“Day”:Itreferstothe“CalendarDay”(includingSaturday,Sundayandpublic“DesignInstitute”:UnderthisContract,ShanghaiXinhuaArchitecturalConstructionisnominatedbytheOwnerastheDesignInstitutetoprovidedesignservicesfortheProject.“設(shè)計(jì)院:本合同項(xiàng)下,新華建筑設(shè)計(jì)被業(yè)主指定為設(shè)計(jì)院,并為“Drawings”:AllthedrawingsoftheworksandtechnicalinformationprovidedbyOwner,orthoseprovidedbytheContractorsubjecttopriorapprovalbyOwner'sRepresentative,fortheuseoftheContractorinordertocarryouttheconstruction.ThedetailsrefertoAppendix1。 “TechnicalSpecification”meansthetechnicalspecificationinAppendix【1.6】providedbytheOwner,andtheWorksshallbeconductedaccordingthereto.“ForceMajeure”:alleventsoccurredafterthedateofsignaturehereof,whichareunforeseeable,unavoidableandcannotbe ebytheParties,includingbutnotlimitedtotheearthquake,strike,lockout,typhoon,flood,fire,sandstorm,lightingstrike,war,ernmentalactionorotherunforeseeable,unavoidableoruncontrollableevents.的所有事件,包括但不限于、、工廠關(guān)閉、臺(tái)風(fēng)、水災(zāi)、火災(zāi)、沙塵暴、雷擊、、行為或其他任何無(wú)法預(yù)見、避免或控制的事件。Chapter2Contract2同ContractTheOwnershallinaccordancewiththisContractpaytotheContractor,inconsiderationoftheprovision,executionandcompletionoftheWorksinclusiveofthecostfortheremedyofdefectsthereinandtheperformanceofallobligationsundertheContract,theContractPriceamountingtoRMB【 .00】(Incapital)(thedetailsworkloadtiesandfixedunitpricerefersto“Workload ties”inAppendixTheContractPriceisthefixedlumpsumpricewhichcoversandincludesallthecostsfortherealizationoftheWorksdescribedinthedrawinglists/drawingandWorkload tiesprovidedinthisContract,thecostfortheremedyofdefectsthereinandon-sitemanagementfeeorcooperationfee(ifany)andallrelevanttaxesandfees,andalsofullyconsideringthepricelevelatthetimeoftenderingbytheContractorandthepossiblerisksandfactorsofpricefluctuationinthemarketofrawmaterialsandlaborforceetc.duringtheconstructionperiod.((體工程量及固定價(jià)見附【一“程量作為提供執(zhí)和完成本(包括修補(bǔ)其中的任何陷以及履行合同項(xiàng)下所義的對(duì)價(jià)該合同價(jià)格是固定總價(jià),其覆蓋和包括了根據(jù)本合同中的圖紙及工程量對(duì)本工程的實(shí)施和完成、對(duì)任何缺陷進(jìn)行整改現(xiàn)場(chǎng)配合(有以及所有相關(guān)的費(fèi)并已充分考慮了承包商投標(biāo)時(shí)的價(jià)格水平和施工期內(nèi)可能發(fā)生的原材料和人工等市場(chǎng)物價(jià)波動(dòng)風(fēng)險(xiǎn)和因素。TheContractorunderstandsandconfirmsthatitreviewedandreadtheworkloadtiesassetoutinthebidding sinconjunctionwiththebidding s,technicalstandardsandthedrawingsetc,andtheContractorhascarefullyreadthedrawing,bidding ,tenderanswersupplementetcandthe srelevanttotheWorks,ithadmadethesupplementinthetender sforanyworkloaditemortyorhadnoobject,thereforetheContractorshallnotraiseanycostincreasebyputtingforwardtheanyshortoritemlackoftheWorkloadtyassetforthherein.AnyvariationofthescopeofworkrequiresgettingpriorapprovalfromtheOwner,andthevariationsofthescopeofworkshallbecalculatedbasedonthetiesasmeasuredfromtheconstructiondrawingsconfirmedbytheOwnerwiththeratesprovidedinWorkloadtyinAppendix1hereof,howeverifsuchrateisnotavailabletherein,thentherateforthesimilarworkwillbebyreferenceafterconfirmationbytheOwner,andifthere’snosimilarwork,thentheContractorwillsubmittheproperrateandthepriceofContractPricewithin10daysaftersuchchangesisidentifiedbytheParties,itwillbedeemedthatsuchchangeswillnotleadtothevariationoftheContractPrice.InthecasethatthePartieshavethedifferencesonthechangedcost,thensuchissuewillbesubmittedtotheauditorconsultancycompanyforauditandtheContractorshallacceptsuchauditorconsultancycompanyasappointedbytheOwner.TheauditfeeshallbepaidinaccordancewiththestandardonchargeforShanghaimunicipalconstructionworkscostserviceandworkstenderagencyservices.附件【一】中工程量中沒有適用于變更工程的單價(jià),則經(jīng)業(yè)主確認(rèn)后可參照類似該項(xiàng)變更不涉及合同價(jià)格的變更。如雙方對(duì)變更價(jià)款有異議,則提請(qǐng)第審計(jì)咨詢公司,承包商認(rèn)可業(yè)主指定的第審計(jì)咨詢公司。審計(jì)費(fèi)用按市建設(shè)工程造價(jià)服務(wù)和服務(wù)標(biāo)準(zhǔn)執(zhí)行。ContractThefollowing swhicharetheappendicesofthisContractshallconstituteawholetogetherwiththisContract,andincaseof sbetweenthemandthetermsandconditionofthemainbodyofthisContact,thetermsandconditionsofthemainbodyofthisContractshallprevail:生,以本合同主文條款為準(zhǔn) sshallalsobethepartofthisContractmakingthesupplementaryhereto,andincaseofany ,thesequencesofthepriorityoftheinterpretation1、中標(biāo)通知書/Bid-wining sand sandLanguage,StandardsandSpecifications,ApplicableLawinthe ThisContractshallbewritten,interpretedandexplainedinChineseandEnglish,incaseofdiscrepancybetweenChineseandEnglishversion,theChineseversionshallprevail.。StandardsandTechnicalSpecificationsasdefinedbytheOwnerinAppendix1shallbeadoptedintheconstructionasagreedintheContract.Meanwhile,theconstructionworkingoftheContractorandprojectqualityshallcomplywiththestandardsandspecificationsoftheState.IftheStandardsandTechnicalSpecificationsasdefinedinAppendix1arehigherthannationalstandardsandspecification,thensuchStandardsandTechnicalSpecificationsinAppendix1shallprevailunlesstheyareinviolationofthenationalmandatoryregulations.lfnoappropriateContractregulationsorStateregulationsorspecificationsareavailable,theregulationsorspecificationsagreedinthisContractorthoselocalstandardsandspecificationswheretheProjectislocatedorthestandardsorspecificationsofdisciplinesortradesshallbeapplied.1規(guī)定的標(biāo)準(zhǔn)和技術(shù)規(guī)范為準(zhǔn),除非該等標(biāo)準(zhǔn)和技術(shù)規(guī)范國(guó)家強(qiáng)制性規(guī)定。如本合同及國(guó)家均未對(duì)此作明確規(guī)定或技術(shù)要求的,本TheContractLawofthePeople’sRepublicofChina,theConstructionLawofthePeople’sRepublicofChinaandotherrelatedChineselawsandregulationsshallbeappliedtothisContract.本合同應(yīng)適用《中民合同法《中民建筑法》以及其他相關(guān)中國(guó)TheDrawingsinthisContractreferstothoseinthedrawinglistasattachedhereto,datedAug26th2013】本合同的圖紙參見附件圖紙中的圖紙,載明日期為【2013年8月26日】TheOwnershallprovidetheconstructiondrawingstotheContractor,andtheContractorshallkeepstrictlythedrawingsandallothermaterialsand sprovidedbytheOwnersecret.TheContractorshallstrictlyperformallworksaccordingtotheconstructiondrawingsandtechnicalEachdrawingsshallbeseenascomplimentaryeachother.Anyinformationspecifiedinonedrawingshouldapplytotheotherrelateddrawingsaslongasthereisnoinconsistencybetweenthem.AnyinconsistenciesshallbereportedtotheOwner’sRepresentativefordecision.lfthereisanydifferenceandinconsistencyamongthedrawingsorbetweenthedrawingsandthetechnicalspecification,theContractorshallreportthismattertotheOwner’sRepresentativeandaskforfurtherinstructionbeforecontinuingthefuturework.ThequotationoftheContractorshallhavefullycalculatedsuchdeviationscausedbytheinconsistenciesandthereforetheContractorisnoentitledtorequestforanyextensionofworkloadorworktimeduetotheinterpretationofsuchdifferencesandinconsistencies.TheContractorshallsubmitawrittenrequestforadditionalinformationfromtheOwnerforanyunclearmattersinthedrawingsand/orthetechnicalspecification.TheOwnerwilljudgethenecessityoftheinformationanddecidewhetherornotanyadditionalinformationisrequired.Anyinformationgiventoclarifythesemattersshallnotbedeemedorinterpretedasabasisforadditionalworkand/ortime.承包商應(yīng)該提出申請(qǐng)要求業(yè)主額外說明圖紙或技術(shù)規(guī)范中任何不清楚的地方業(yè)主Foreverydimensioninthedrawingswhicharegivenorcanbecalculatedfromtheinformationgiveninthedrawings,theContractorshallnotbeallowedtoscaleorusesuchdimensionswithoutpriorapprovalfromtheOwner.商在沒有得到業(yè)主的事先之前,不能按比例推斷或使用這些尺寸。TheContractorisexpectedtoreadandinterpretthedrawingsandthetechnicalspecificationprofessionallyandinconformitytothepurposeoftheproject.Ifthere’sany descriptioninthedrawingsorthetechnicalspecification,theContractorshallreportthismattertotheOwnerandaskforfurtherinstructionregardingthatmatter.IftheContractorcommencestheworkwithoutanywrittenapprovalfromtheOwner,allconsequencestherefromshallbebornebytheContractor.得業(yè)主的指示的情況下開始工作,所有由承包商承擔(dān)Theconstructiondrawingssubmittedneedtobecomplementedinsomecasebyworkshopdrawings,whichistheresponsibilityoftheContractor.TheContractorshallasktheOwnerforapprovalontheseworkshopdrawings.Detailsintheworkshopdrawingsshallnotbeconsideredasdesignalternationsbutasdetailedspecificationforreference.ItisacknowledgedthattheWorkscoveredbythisContractmaybedesignatedbytheOwnerasanominatedsubcontractortotheGeneralConstructionWorkscontractor.TheContractorwillbeunderthemanagementoftheGeneralcontractorasthenominatedsubcontractor.(IncaseofGeneralConstructionContract,thisArticle2.5shallnotapply)包服從總承包商的管理(如果是總承包合同,本第2.5條不適用TheContractorshallcooperateforthemanagementofthegeneralcontractoroftheprojectasappointedbytheOwnerandcompletetheWorkshereunderinaccordancewiththisContractanddowellinthemattersontheassortationandlinkingoftheworkswithsuchgeneralcontractorsandothercontractorsandsitehand-over,ifapplicable,andtherelevantcooperationfee(ifany)hasbeenincludedintheContractPrice.TheContractorshalldowellinthecooperationwithothercontractorsasappointedbytheOwner,andinthecaseoftheContractorbeingtheprojectgeneralcontractor,theContractorshallprovideallnecessarycooperationsfortheothercontractorsasappointedbytheOwner,anditisacknowledgedthatthegeneralcontractorcooperationfeeisincludedintheContractPrice.“ContractPrinciples”isthebasisofthisContract,the“ContractPrinciples”shallprevailincaseofthedifferencebetweenanyprovisionshereofandthe“ContractPrinciples”.Chapter3ObligationsofBoth3方的義Owner’sTheOwner’sRepresentativeshallexercisethepowerssetoutintheContractandshallfulfilltheresponsibilitiesasfollows:Owner’sRepresentativemayappointitsrelevantmanagerialneltoexercisepartofitsownauthoritiesandresponsibilities,andalsomaywithdrawsuchappointmentatitssolediscretion.TheContractorshallbegiven5daysnoticeofanysuchappointmentorwithdrawal.5AnyinstructionandordershallbesignedbyOwner’sRepresentative,andawrittencopythereofshallbehandedovertotheContractor’sRepresentativewhoshallsignthenameandthetimeofreceiptuponreceivingsuchinstructionororderIfnecessaryOwner’sRepresentativemaygiveoralinstructionswhichshallbeconfirmedinwritingwithin48hours,andtheContractorshallimplementsuchinstructionsofOwner’sRepresentative.IfOwner’sRepresentativefailstosendoutawrittenconfirmationofanoralinstructionwithin48hourstheContractor’sRepresentativeshallaskforawritingconfirmationinwrittenformwithin3daysafterthereceiptofsuchoralinstruction.InthecasethattheContractorconsidersthataninstructiongivenbytheOwner’sRepresentativeisunreasonable,theContractorshallsubmitawrittenstatementsettingoutthereasonswhyitconsiderssuchinstructionstobeunreasonablewithin24hoursafterthereceiptofsuchinstructionsOwner’sRepresentativeshalldecideeitherchangeorcontinuewiththeoriginalinstructionswithin24hoursafterthereceiptofsuchContractor’sstatementandinformtheContractorofsuchdecisionbyawrittennotice.Ifinemergency,Owner’sRepresentativeaskstheContractorinstantlytoimplementtheinstruction,orifOwner’sRepresentativedecidestocontinuewithitsoriginalinstructionsdespitetheContractor’sdisagreementtheContractorshallobeysuchinstructions.時(shí)內(nèi)給予確認(rèn)。承包商對(duì)業(yè)主代表的指令應(yīng)予以執(zhí)行。業(yè)主代表不給予Ifthere’sanyreplacementofOwner’sRepresentative,theOwnershallgivetheContractor1day’spriornoticeinwriting.如果業(yè)主代表發(fā)生更換,則業(yè)主應(yīng)提前1日向承包商發(fā)出通知3.14ExcepttheOwnerRepresentativeoron-siterepresentative,other sentbytheOwneronsiteshallhavenorighttogiveanyinstructioninanyform.UNDERNOCIRCUMTANCES,Owner’sRepresentative,on-siterepresentativeorsupervisioncompanyandsupervisionengineer(ifany)withoutthewrittenapproval(bythecommonchop)oftheOwnercanrelieveanyobligationsoftheContractorinthisContract,orapproveanyvariationsrelatedtoconstructiondesign,constructioncost,progressscheduleandextensionoftimeandanyotherchanges.AIlsignaturesoftheOwner’sRepresentative,orsupervisioncompanyandsupervisionengineer(ifany)shall effectiveafterconfirmationoftheOwner.Contractor’sUnderthisContract,theContractorauthorizesYangRongasitsrepresentativeonconstructionsite.Contractor’sRepresentative.Contractor’sRepresentativeshallexercisethepowersetoutintheContractandshallfulfillitsresponsibilitiesasfollowing:TheContractorshalluponexecutionofthisContractappointanddelegatefullpowertoanominatedrepresentativesatisfactorytotheOwner,andshallnotchangesuchnominatedrepresentativewithout14dayspriorwrittennotificationtoandwiththeagreementoftheOwner.經(jīng)提前14日通知業(yè)主并經(jīng)業(yè)主同意前,承包商不能撤換委派的代表。TheContractorshallensurethatall sworkingontheProjectarefullyqualifiedandcompetenttodothework,andshall,ifsorequestedbytheOwner,changethe swithresponsibilityfortheworkiftheOwnerconsiderstheirperformancetobeinadequate.Anyrequest,requirementornoticeoftheContractorshallbewrittenanddeliveredtotheOwner’sRepresentativeafterbeingsignedbytheContractor’sRepresentative.ThesignatureandconfirmationoftheOwner’sRepresentativeshallberequiredbeforeit eseffective.承包商的任何請(qǐng)求、要求或通知應(yīng)以形式且經(jīng)承包商代表簽字后遞送給業(yè)主代表,Contractor’sRepresentativeshallconductconstructionactivitiesaccordingtotheconstructionplanapprovedbyOwner’sRepresentativeandtheinstructionsgivenbyOwner’sRepresentativepursuanttotheContract.Inanemergency,whenitcannotcontacttheOwner’sRepresentative,theContractor’sRepresentativemayadopturgentmeasurestoprotecttheProjectandthelivesandsafetyofpeopleandproperty.AreportshallbedeliveredtoOwner’sRepresentativewithin24hoursaftertheaforesaidmeasureshavebeenadopted.Responsibilityforallreasonableandnecessarycostssoincurredshallbebornebytheliablepartyaccordingtotheliabilityverification.承包商代表應(yīng)根據(jù)業(yè)主代表認(rèn)可的施工計(jì)劃以及業(yè)主代表發(fā)出的符合合同要求的指令24應(yīng)向業(yè)主代表上報(bào)所有合的必需的費(fèi),據(jù)責(zé)任歸屬確定責(zé)任方來(lái)承。Contractor’sThedetailedworksoftheContractorshallrefertothe“ScopeofWork”inAppendix1BeforehandingoverthecompletedworkhereundertotheOwner,theContractorshallprotectsuchworksasrequiredbytheOwner’sRepresentativeortheOwnerorinsuchmannerasnecessaryforprotectionofsuchworks.AnydamageoccurringduringthisprotectionperiodwillberepairedbytheContractoratitsownexpense.TheContractorshallprepareandprovidetheperiodicprogressreportandtheotherrelevantsaspertherequirementsoftheOwner,andberesponsibleforthesafetyandprotectionoftheWorksandabidebytherelevantmanagementregulationsoftherelevanternmental護(hù)義務(wù),并在實(shí)施工程中應(yīng)遵守相關(guān)部門的相關(guān)管理規(guī)定。TheContractorshallobservethesecurityspecificationandstandardasspecifiedinAppendix,andtaketherelevanton-sitesecuritymeasureinaccordancetherewith,andallnecessarysecuritymeasuresthatallqualifiedandcompetentcontractorforthisWorkwillreasonablytake,andshallobservetheregulationoncivilizationconstruction,keeptheon-siteclearupandcleaneachday.TheContractorshallcompensateall aldamagesandpropertylossesofany (includingOwner,onwe’smanagementcompany,supervisioncompany,othercontractorsandtheiragent,employees,andanyotherthirdpartyarisingfromfailuretoobservethisclause),andshallcompensatealllossessufferedbytheOwnrer.,TheContractorshallobservetherequirementsontheon-sitetransportationandnoisemanagementofthelocalernment,andshallhandlewiththenecessaryformalitiesfromtherelevanternmentaldepartment,andanyfinesorlossesofOwnerarisingfromtheresponsibilitiesoractionofContractor,oritsemployee,subcontractor,r.TheContractorshallpromptlysubmitorprepare,collectthedrawing,technicalinformationinrelationtoitsWorks,andkeep s,equipmentsandmaterialsandtheremoveallothergoodsfromtheConstructionSite,exceptasnecessaryforsafety,andleavetheConstructionSite.IncaseoftheterminationunderArticle4.5.2,theOwnershallpaythetheamountspayableforanyworkcompletedbytheContractor(subjecttotheacceptancebytheOwner)asperthisContract;subjecttoOwner’sconfirmation,theCostofequipmentsandmaterialsorderedfortheWorkswhichhavebeendeliveredtotheContractor,orofwhichtheContractorisliabletoacceptdelivery:suchequipmentsandmaterialsshall ethepropertyoftheOwnerwhenpaidforbytheOwner,andtheContractorshallplacethesameattheOwner’sdisposal;IftheOwnershallhavetherighttoclaimforanycompensationagainsttheContractorortheOwnerhadpaidtheamountforthe pletedworkasperthisContract,theOwnerisentitledtodeductfromtheamountspayabletotheContractorundertheaboveparagraph(1)and(2)underArticledirectly.
