反商業(yè)賄賂協(xié)議AGREEMENTOFANTICOMMERCIALBRIBERY為體現(xiàn)公平合理、對等互利的合作宗旨，確保甲乙雙方各級從業(yè)人員遵守職業(yè)道德，廉潔守法、秉公辦事，不利用職權(quán)之便謀取私利,致使合作雙方蒙受損失,特制定本協(xié)議。Toembodythecooperationtenetoffairness,justice,equityandmutualbenefit,andtoensurethatpersonnelatalllevelsofPartyAandPartyBhereofwillabidebyprofessionalethicsandlawsandregulations,keepwhitehands,handaffairsimpartially,andneverabusepowerforpersonalbenefitsandthuscausedlosstothetwoparties,PartyAandPartyBhereofcometothisagreement:1、甲方從業(yè)人員應(yīng)秉承如下原則：PersonnelofPartyAshalladheretothefollowingprinciples:在供應(yīng)商考評時(shí)，應(yīng)秉持誠信與公正的原則，選擇其產(chǎn)品在品質(zhì)、價(jià)格、交期和服務(wù)等方面最具優(yōu)勢的廠家；Whenperformingassessmentonsupplier,theyaretofollowaprincipleofcreditandfairness,andchoosefactorieswiththemostadvantagesinproductquality,price,delivery,service,etc.不得向乙方收取、索取回扣或其他不正當(dāng)利益；TheyshallnotacceptoraskforbackhanderorotherillegalbenefitsfromPartyB;不得接收乙方贈(zèng)送的禮品、現(xiàn)金或現(xiàn)金等價(jià)物等財(cái)物(人民幣壹佰圓以內(nèi)的價(jià)值微小的筆記本、臺歷等除外)，不得在乙方報(bào)銷任何應(yīng)由其個(gè)人承擔(dān)的費(fèi)用；Theyshallneitheracceptgift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norhavePartyBtoreimburseanyexpensesthatshouldbebornebythemselves.不得要求或者接受乙方為其住房裝修、婚喪嫁娶、家屬和子女的工作安排以及出國、外出旅游等提供方便；TheyshallnotaskfororacceptPartyB’shelpinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingabroadortraveling.不得向乙方推薦家屬、親友等從事材料、設(shè)備供應(yīng)以及工程分包等經(jīng)濟(jì)活動(dòng)；TheyshallnotrecommendfamilymembersorrelativestoPartyBformaterialandequipmentsupply,projectsubcontractorotherbusinessactivities.不得參加可能對公正開展業(yè)務(wù)有影響的宴請和娛樂活動(dòng)。如甲方工作人員確因?qū)嶋H情況須參加宴請、進(jìn)行娛樂活動(dòng)的，須事先報(bào)上一級批準(zhǔn)；Theyshallnotattendbanquetsorentertainmentthatwillpossiblyaffectthefairnessofbusinessoperation.IfpersonnelofPartyAhavetoattendbanquetorentertainmentduetopracticalneeds,apriorreporttoseniorauthorityforapprovalisrequired.不得以任何形式持有乙方公司的股份(乙方為上市公司的除外)；TheyshallnotholdanyshareofPartyB(unlessPartyBisalistedcompany).在合作期間，不得向乙方借錢或其他財(cái)物；TheyshallnotborrowmoneyoranyotherpropertyfromPartyBduringtheprocessofcooperation.不得在合作過程中有意刁難乙方，利用職權(quán)謀取私利；TheyshallnotmakethingsdifficultforPartyBonpurposeforprivatebenefitsduringtheprocessofcooperation.不得泄露乙方的商業(yè)機(jī)密。TheyshallnotdisclosebusinesssecretesofPartyB.2、乙方從業(yè)人員應(yīng)秉承如下原則：PersonnelofPartyBshalladheretothefollowingprinciples:不得給甲方人員回扣或其他不正當(dāng)利益；TheyshallnotprovidebackhanderorotherillegalbenefitstopersonnelofPartyA.不得向甲方人員贈(zèng)送禮品、現(xiàn)金或現(xiàn)金等價(jià)物等財(cái)物（人民幣壹佰圓以內(nèi)的價(jià)值微小的筆記本、臺歷等除外），不得為甲方人員報(bào)銷任何應(yīng)由其個(gè)人承擔(dān)的費(fèi)用；Theyshallneitherprovidegift,cashorcashequivalents(excludingmininotebook,deskcalendarorotherthingspricedlessthanRMB100),norreimburseanyexpensesforpersonnelPartyAthatshallbeundertakenbythemselves.不得為甲方人員的住房裝修、婚喪嫁娶、家屬和子女的工作安排以及出國、外出旅游等提供方便；TheyshallnotprovidehelptopersonnelofPartyAinhousedecoration,weddingorfuneral,jobarrangementforfamilymembers,goingabroadortraveling.不得引薦甲方人員推薦的家屬、親友等從事材料、設(shè)備供應(yīng)以及工程分包等經(jīng)濟(jì)活動(dòng)；TheyshallnotrecommendfamilymembersorrelativesofPartyAformaterialandequipmentsupply,projectsubcontractorotherbusinessactivities.不得邀請甲方人員參加可能對公正開展業(yè)務(wù)有影響的宴請和娛樂活動(dòng)；TheyshallnotinvitepersonnelofPartyAtobanquetorentertainmentthatwillpossiblyaffectthefairnessofbusinessoperation.不得允許甲方人員以任何形式持有乙方的股份(乙方為上市公司除外)；TheyshallnotallowpersonnelofPartyAtoholdanyshareofPartyB(unlessPartyBisalistedcompany).在合作期間，不得借錢或其他財(cái)物給甲方人員。TheyshallnotlendmoneyoranyotherpropertytopersonnelofPartyAduringtheprocessofcooperation.不得在合作過程中有意刁難甲方，利用職權(quán)謀取私利；TheyshallnotmakethingsdifficultforPartyAonpurposeforprivatebenefitsduringtheprocessofcooperation.不得泄露甲方的商業(yè)機(jī)密。TheyshallnotdisclosebusinesssecretesofPartyA.3、品質(zhì)&廉潔保證金Qualityandwhitehandsdeposit“品質(zhì)＆廉潔保證金”的定義：“品質(zhì)＆廉潔保證金”是指乙方產(chǎn)品可能存在質(zhì)量問題并給甲方造成經(jīng)濟(jì)損失，或可能未經(jīng)甲方許可而擅自更改生產(chǎn)工藝、品質(zhì)標(biāo)準(zhǔn)或者產(chǎn)品品牌等而給甲方產(chǎn)品品質(zhì)帶來隱患，或可能乙方違反《廉潔保證協(xié)議》的規(guī)定使用非正當(dāng)手段，或可能有其他給甲方造成不良影響或損失事件的違約風(fēng)險(xiǎn)押金。Definitionof“qualityandwhitehandsdeposit”:“Qualityandwhitehandsdeposit”meansthedepositPartyBpaystoPartyAfortheriskofcausingharmfulinfluenceorlossestoPartyA,includingbutnotlimitedto:economiclossduetopotentialqualityproblemsinproductsfromPartyB;hiddenqualitydangerofproductsofPartyAduetounauthorizedchangeinproductiontechnology,qualitystandardorproductbrandwithoutconsentfromPartyA;harmandlossesincurredbyillegalmeasurestakenbyPartyBagainstWhiteHandsGuaranteeAgreement.雙方合作后，乙方同意交納___幣(幣種)___(金額大寫)作為乙方“品質(zhì)＆廉潔保證金”，繳納方式可以通過電匯、從貨款中扣除等方式執(zhí)行。甲方收取“品質(zhì)＆廉潔保證金”后，開具《品質(zhì)＆廉潔保證金收款收據(jù)》作為收款憑證。Atsigningtheagreement,PartyBagreestoPay__(Currency)___(amountinword)as“qualityandwhitehandsdeposit”bywayofwiringordeductionfromproductpayment.Afterreceivingthe“Qualityandwhitehandsdeposit”,PartyAshallissueaReceiptofQualityandWhiteHandsDepositasaproof.雙方業(yè)務(wù)完結(jié)后乙方申請退還保證金時(shí)，乙方需出具經(jīng)過甲方相關(guān)部門簽審的《業(yè)務(wù)完結(jié)證明》和《品質(zhì)＆廉潔保證金收款收據(jù)》原件。甲方財(cái)務(wù)收到乙方遞交的上述請款資料后3個(gè)月內(nèi)連本帶息返還乙方的品質(zhì)＆廉潔保證金。利息從甲方開具《品質(zhì)＆廉潔保證金收款收據(jù)》之日起、按銀行同期活期存款利率計(jì)算。Atterminationofbusinessbetweenthetwoparties,whenPartyBappliesforrefundingthedeposit,PartyBisrequiredtoshowtheoriginalBusinessTerminationCertificateandReceiptofQualityandWhiteHandsDepositsignedbyrelateddepartmentsofPartyA.FinancialpersonnelofPartyAshallrefundthequalityandwhitehandsdepositofPartyBwithinterestswithin3monthsafterreceivingthepaymentrequestdocumentsfromPartyB.TheinterestshallbecalculatedcountingfromdateofissuingReceiptofQualityandWhiteHandsDepositbyPartyAandbasedonbankingdemanddepositinterestrateofthesameperiod.4、違規(guī)處理Treatmentforbreakofrules乙方若檢舉甲方人員在雙方合作過程中違背上述原則，違反甲方《廉潔守則》的，甲方將按甲方《廉潔守則》的相關(guān)規(guī)定給予乙方檢舉人員1-50萬元的高額獎(jiǎng)勵(lì)，同時(shí)對甲方違規(guī)人員按《廉潔守則》相關(guān)規(guī)定執(zhí)行處罰。IfPartyBimpeachesthatpersonnelofPartyAhavebrokentheabovementionedrulesandRulesofWhiteHandsofPartyAduringthecooperation,PartyAshallputapremiumofRMB10,000-500,000ontheimpeachingpersonnelofpartyBundertheprovisionsofRulesofWhiteHandsofPartyA.Moreover,thepersonnelofPartyAwhobreakstherulesshallbepunishedaccordingtoRulesofWhiteHands.經(jīng)查實(shí)乙方從業(yè)人員在合作過程中違背上述原則，采取了非正當(dāng)手段的，甲方有權(quán)利取消訂單、收回差價(jià)、退還品質(zhì)&廉潔保證金、不予支付乙方的所有未付貨款，同時(shí)取消乙方供應(yīng)商資格。ProvideditisverifiedthatpersonnelofPartyBhasviolatedtheabovementionedrulesandtakenillegalmeasuresduringtheprocessofcooperation,PartyAhastherighttocancelpurchaseorder,takebackpricedifference,refundqualityandwhitehandsdeposit,refusetopayalltheunpaidbalance,andcancelthequalificationofPartyBasasupplier.甲乙雙方承諾如在雙方合作過程中發(fā)現(xiàn)某方有不正當(dāng)行為，對方有向該方法人投訴、直至訴之法律的權(quán)利。PartyAandPartyBhereofpromisethatifillegalactionisfoundtakenbyonepartyduringthecooperation,thecounterpartyhastherighttocomplaintolegalpersonofthepartyandevenresorttothecourt.若乙方采取走私、開假票等違法行為與甲方進(jìn)行業(yè)務(wù)來往，一經(jīng)查實(shí)，甲方有權(quán)不予退還乙方的品質(zhì)＆廉潔保證金、不予支付乙方的未付貨款，乙方還應(yīng)承擔(dān)由此給甲方造成的一切經(jīng)濟(jì)損失。ProvideditisverifiedthatPartyBhasirregularactionsuchassmugglingorissuingfalsevoucherduringtransactionwithPartyA,PartyAhastherighttorefusetorefundthequalityandwhitehandsdepositofPartyB,makenopaymentfortheunpaidbalance,andPartyBshallalsobeheldresponsibleforalltheeconomiclossescausedtoPartyA.5、一般條款GeneralProvisions本協(xié)議若有版本升級，則新版本協(xié)議雙方簽訂
