關于內(nèi)陸運輸合同范本使用的說明各部門:為了規(guī)范內(nèi)陸運輸合同的協(xié)商、起草和簽署,提高風險防控能力,提高工作效率,降低法律風險和經(jīng)營風險,現(xiàn)將如何使用內(nèi)陸運輸合同范本說明如下:1.業(yè)務員需要根據(jù)合同實際情況,將所有矩形框內(nèi)的內(nèi)容進行替換,如將“油套管”替換為“防腐管”。2.在替換矩形框的內(nèi)容時,“【】”是提醒解釋作用,需要業(yè)務員按照要求操作。 3.雙下劃線“ ”的內(nèi)容是重要條款,乙方任何修改都必須給予高度重視,不能輕易答復同意。4.在按照實際情況和提醒要求全部替換矩形框后,刪除“【】”及其內(nèi)容,取消矩形框和雙下劃線,則合同起草完畢。5.向乙方提供合同時,只提供起草完畢的合同掃描件,不提供word版合同,以便我司掌握合同修改主動權。附件:1.運輸合同(中文)2.運輸合同(英文)合同編號:YSXY13517-00001簽訂日期:2013年4月 16日簽訂地點:北京運輸合同甲方(托運人):中油(天津)物流有限公司乙方(承運人):XXXX物流有限公司一、 總則根據(jù)中華人民共和國合同法及相關法律法規(guī),本著平等互利、等價有償?shù)脑瓌t,甲乙雙方就本合同約定的貨物的轉關、內(nèi)陸運輸、進口清關等事宜協(xié)商一致,訂立本合同。 二、 貨物名稱、數(shù)量、發(fā)運日期、起運地、目的地和運輸工具2.1. 貨物名稱、數(shù)量、最大單件重量見附件一。最終發(fā)運貨量以最終提單和裝箱單為準。2.2. 發(fā)運日期:以貨物實際到達起運地的時間為準。2.3. 起運地:PORT LOME,TOGO。2.4. 目的地:Diffa, ZINDER, NIGER?!窘回浀攸c應非常詳細具體,最好不要只寫城市名。】2.5. 起運地至目的地的運輸工具:卡車?!究ㄜ囉刑厥飧脑斓?,最好明確?!咳?、 運輸工作范圍、費用及結算方式3.1 乙方負責將甲方貨物從起運地安全運抵目的地,包括但不限于:起運地接貨、起運地手續(xù)辦理、起運地費用結算、裝卸、短倒、堆存、轉關、送貨,以及目的地清關事宜。對于免稅貨物,若目的地海關存在未完稅提前快速提貨程序,那么乙方確保及時辦理未完稅提前快速提貨手續(xù),因乙方不能或沒有及時辦理未完稅提前快速提貨手續(xù)導致清關滯期,乙方承擔因滯期產(chǎn)生的所有費用(含滯期費、壓車費等)并向甲方賠償相關損失。3.2起運地至目的地的所有費用及明細見附件二?!救绻窜囉嬞M,費用明細中需明確車輛總數(shù)及詳細的裝載方案,避免乙方多派車增加費用。】3.2.1 如果約定壓車費,乙方需要將貨物到達具體時間、貨量等詳細情況提前10天告訴收貨人和甲方,并且壓車費只是指目的地(即最終的交貨地,不含中途各地)的壓車費,并且只要甲方保證卸貨率為500噸/天或2車/天以上,則不產(chǎn)生壓車費。3.2.2 除甲方原因產(chǎn)生的額外費用,甲方除以上費用不再承擔其他任何收費及任何實報實銷費用。3.3 運輸費用以美元結算。如果需要進行貨幣兌換的,美元與歐元的匯率以開票當天的美元兌歐元的中間價計算?!就鈳沤Y算時,最好不要借助第三種貨幣進行匯兌,如人民幣兌美元,美元再兌歐元?!慨?shù)睾jP等官方費用,以海關等官方系統(tǒng)內(nèi)的匯率為準。3.4 甲方在全部貨物轉關、清關完畢并抵達目的地卸貨完畢,且乙方將報關單、清潔車單等單據(jù)全部交付甲方并確認無誤后15個工作日內(nèi)支付全部運費。若費用中包含第三方收取的費用,乙方需提供原始交付證明?!拘枰A付款務必謹慎,最好請示領導。如果約定甲方提前預付款,那么需要約定貨物不能運輸時,乙方3天內(nèi)退還全部預付款?!克?、 包裝要求本合同中約定的貨物必須按照國家有關規(guī)定標準包裝,由甲方負責包裝,沒有規(guī)定的,應以保證貨物運輸安全的原則進行包裝。五、 合同生效與履行期限5.1自起運地鉤下接貨開始至目的地車板交貨并取得收貨人簽字的簽收單終止。5.2自雙方簽字蓋章之日起至本項目運輸結束為止。六、 運輸質量要求、安全要求6.1質量要求:乙方有責任確保貨物在起運地、內(nèi)陸運輸途中、目的地貨物卸貨前及卸貨時的安全、完好無損。若有損壞,記錄并收集證據(jù),提供照片及報告。6.2安全要求:乙方在該合同執(zhí)行期間必須遵守相關國家有關法律法規(guī)規(guī)定,在承運期間如因乙方違規(guī)操作發(fā)生事故,由乙方負責,給甲方造成損失的應予賠償。七、 貨物裝卸責任、方法7.1貨物裝卸責任7.1.1貨物在目的地卸貨,由甲方委托目的地收貨人負責。7.1.2在貨物運輸?shù)钠渌窟^程中,由乙方負責裝卸并保證貨物的安全。7.2貨物裝卸方法:采用吊車、叉車、吊具等符合國際操作標準的作業(yè)工具?!狙b卸貨方法有特殊要求的,應該細化明確,不要泛泛列舉?!?.2.1 起運地的裝載作業(yè)工具由乙方負責,確保貨物裝載完好無損,乙方應賠償因起運地裝載不當導致的損失。7.2.2 目的地的裝載作業(yè)工具由甲方負責。八、 領取貨物及驗收乙方根據(jù)甲方提供的提單等文件及當?shù)刎洿穆?lián)系方式確定的起運地的最終接收地點和時間,并準時接收貨物。九、 雙方的權利義務 9.1甲方的權利義務9.1.1要求乙方按照合同約定的時間、標準,把貨物運輸?shù)侥康牡亍?.1.2檢查乙方運輸情況,對不符合約定的事項提出整改意見。9.1.3乙方將貨物交付收貨人之前,甲方有權要求乙方中止運輸、返還貨物、變更目的地或變更收貨人,但應支付相關費用。9.1.4甲方托運的易燃、易爆、有毒、有腐蝕性、有放射性的危險物品,應按國家有關危險物品運輸規(guī)定對危險物品妥善包裝,作出危險物的標志和標簽,并將有關危險物品的名稱、性質和防范措施書面材料提交乙方。9.1.5有權對乙方運輸工具狀況進行安全檢查。對安全設施不全或違反裝卸、拉運有關規(guī)定的,有權要求整改;拒不整改的有權終止合同。9.1.6按合同約定支付運輸費用。9.1.7甲方負責對貨物進行全程覆蓋全風險的運輸保險。乙方應協(xié)助投保人提交保險索賠所需的全部文件,投保人負責向保險公司索賠。9.2乙方的權利義務9.2.1乙方須在合同簽署后2個工作日內(nèi)以書面形式一次性通知甲方轉關、清關所需的所有文件種類、文件數(shù)量、文件要求和文件提交時間,乙方確保所要求的文件能夠順利完成貨物轉關和進口清關工作。甲方根據(jù)乙方的要求按時提供轉關、清關所需文件。乙方在接收相關文件時,需要一一核實,并2天內(nèi)進行反饋,否則,視為文件符合要求。甲方提供的文件需要翻譯成原文件之外的其他語言的,乙方負責翻譯工作,并確保翻譯無誤,因乙方的翻譯錯誤導致轉關、清關滯期并給甲方造成損失的,乙方需向甲方賠償損失。9.2.2 乙方向甲方索要所有轉關、清關文件。9.2.3 乙方應承擔因乙方原因(如乙方被海關納入黑名單、乙方轉關清關文件翻譯錯誤等)造成貨物壓港滯期所產(chǎn)生的全部費用。9.2.4 乙方負責代表甲方辦理貨物的轉關、進口清關手續(xù)。9.2.5 乙方負責甲方貨物至目的地現(xiàn)場的內(nèi)陸運輸,包含武裝押運。9.2.6 根據(jù)甲方關于每票貨物的運輸要求,提前計劃、協(xié)調、安排運輸計劃。9.2.7 與甲方、當?shù)睾jP等保持密切聯(lián)系,使計劃更加高效、快捷和安全。9.2.8 就有關查驗、包裝事宜與甲方、甲方所屬分包商、甲方指定查驗機構進行協(xié)調,并制定相應的內(nèi)陸運輸時間表。9.2.9 代表甲方在指定地點接收貨物,并對貨物進行簽收,出具收貨記錄。9.2.10 根據(jù)需要安排卸貨和裝貨。9.2.11 在指定地點接收貨物后,向甲方及目的地收貨人提供詳細準確的運輸動態(tài)信息。9.2.12 乙方確保按時將貨物運到指定地點,并提前10天向收貨人和甲方發(fā)出到貨通知,辦理相應的交接手續(xù)。如出現(xiàn)運輸延誤的情況,須24小時內(nèi)通知甲方及目的地收貨人,并采取準確的應急措施。9.2.13 按合同約定向甲方收取運輸費用。9.2.14 乙方對易燃、易爆、有毒、有腐蝕性、有放射性的危險物品,應按國家有關危險物品的運輸規(guī)定進行妥善保管,做出危險物的標志和標簽,并采取有效措施保證貨物安全,避免環(huán)境污染。9.2.15 乙方保證貨物在運輸過程中完好無損,對運輸過程中因乙方原因發(fā)生的貨物毀損、滅失承擔賠償責任。在貨物包裝完好,符合運輸要求的情況下,如因乙方責任導致運輸過程中發(fā)生泄漏、墜落等原因造成環(huán)境污染的,乙方應承擔全部責任。如果貨物運輸途中發(fā)生意外事故,乙方應立即采取措施,處理意外事故,采取保全措施,降低貨物的貨損程度,組織救援運輸工具,及時將貨物運抵目的地。9.2.16 運輸危險品必須提供具備危險貨物運輸經(jīng)營資質及相關證件。9.2.17 運輸工具應證件齊全并符合貨運條件。運輸作業(yè)人員,應按國家有關法律法規(guī)持證上崗。9.2.18 乙方在甲方或第三方廠區(qū)內(nèi)裝運貨物的,如違反甲方或第三方有關安全、環(huán)保等方面的規(guī)章制度,由此造成的損失和責任由乙方賠償。9.2.19其它約定9.2.19.1如業(yè)主未能取得免稅許可而改為繳納關稅,在甲方正式要求下,乙方負責代為甲方墊付進口關稅等所有稅費。9.2.19.2現(xiàn)場工作人員。乙方派專人在各個現(xiàn)場協(xié)調、組織、監(jiān)督貨物的轉關、清關和內(nèi)陸運輸工作。9.2.19.3乙方派出工作人員全程協(xié)調、監(jiān)督運輸工作。9.2.19.4在目的地的接貨、檢驗。乙方安排2名以上工作人員在目的地現(xiàn)場負責辦理貨物交接工作,并以CPTDC的名義進行工作。乙方工作人員與業(yè)主(收貨人)對貨物進行共同檢驗,出具檢驗報告。如有貨損貨差,乙方工作人員應安排保險公司當?shù)卮磉M行貨物勘察并出具勘察報告。貨物交接完后,乙方工作人員應獲得由業(yè)主(收貨人)簽收的交接報告。如有必要,甲方進行協(xié)調。9.2.19.5 日報制度。乙方在各環(huán)節(jié)工作人員應形成日報制度,每日將工作情況以日報形式發(fā)送至甲方北京聯(lián)系人處。9.2.19.6 運輸工作流程(1)乙方收到甲方全部文件后,提前開始辦理轉關、清關手續(xù)。(2)辦理在起運地、第三國的內(nèi)陸運輸及轉關手續(xù),目的地進口清關工作。(3)乙方辦理裝載、貨物捆扎工作,開始內(nèi)陸運輸工作。(4)協(xié)調運輸工具抵達目的地現(xiàn)場的貨物交接工作。9.2.19.7 乙方確保貨物自到達起運地之日起至貨物全部運抵目的地,時間不超過35天。不可抗力導致的延誤除外。9.2.19.8 運輸文件的確定(1)乙方開始內(nèi)陸運輸時,要求每個運輸工具應攜帶一套裝貨單,裝貨單上注明運輸工具牌照號、貨物名稱、件數(shù)和根數(shù),及必要的貨物描述并對運輸工具上的貨物拍照記錄,如有貨物損壞情況,請拍照記錄并在裝貨單上注明照片號。(2)貨物運抵目的地現(xiàn)場后,乙方和收貨人的聯(lián)合檢驗報告(以貨物簽收單形式體現(xiàn))。如有貨損貨差,請公證行出貨物保險勘察報告。全部貨物到貨后,乙方必須提交甲方貨物的交接報告(乙方和收貨人共同簽署)作為項目全部完成的依據(jù)。(3)目的地進口清關完成后,乙方將全部海關文件(包括臨時與永久進口的報關單等)移交給甲方。十一、HSE條款11.1 乙方負責項目中所承擔工作的管理,乙方負責項目的HSE管理并承擔全部責任。11.2 乙方對項目HSE管理做出承諾,保證全面建立健全項目HSE管理體系,并保證該HSE管理體系能夠得到有效實施,包括但不限于以下內(nèi)容:11.2.1依據(jù)有關的法律、法規(guī)和規(guī)定,確保所派出人員均已經(jīng)通過必要的職業(yè)培訓和安全環(huán)保培訓,有資格并且可證實能從事在項目實施中所承擔的各項工作;11.2.2 保證所派出人員為身心健康、稱職的人員;11.2.3 保證派出人員嚴格遵守項目所在地的HSE法律法規(guī),以及CNPC和甲方有關HSE規(guī)定,服從業(yè)主和相關方的HSE要求;11.2.4 保證項目“HSE策劃實施方案”科學可行性并能夠得到有效實施;11.2.5 配備必需的設施、設備及勞保用品;11.2.6按照相關法律法規(guī)、項目所在地的保險政策和相關方的要求,為工程項目和項目作業(yè)人員辦理齊全的保險;由于沒有按要求辦理相關保險所造成的一切責任和損失由乙方自行承擔;11.2.7 定期向甲方報告項目HSE管理狀況;11.2.8 接受甲方、業(yè)主的現(xiàn)場監(jiān)督;11.2.9 承擔相關事故責任,負責HSE事故的調查、處理、報告和善后事宜,并保證及時上報,保證不瞞報和假報。十二、違約責任 12.1甲方違約責任12.1.1甲方承擔因甲方違約對貨物造成的損失。12.1.2 即使甲方?jīng)]有按時支付運費、保管費以及其他運輸費用的,或因糾紛未解決導致不能支付或部分未支付的,乙方都無權留置任何運輸貨物。12.2乙方的違約責任12.2.1未按合同約定接收托運貨物的,每逾期一日,向甲方賠付總運費1%的違約金,并賠償由此給甲方造成的損失。12.2.2將貨物錯運其它地點或錯交收貨人的,應將貨物無償運至合同約定的目的地并交付收貨人。發(fā)生逾期的,每逾期一日向甲方賠付總運費1%的違約金,并賠償由此給甲方造成的損失。12.2.3未經(jīng)甲方同意,轉委托他人運輸貨物的,應向甲方賠付總運輸費20%的違約金,并賠償由此給甲方造成的損失。12.2.4下列原因造成貨物滅失、短少、變質、污染、損壞的,乙方不承擔違約責任:12.2.4.1不可抗力;12.2.4.2貨物本身的自然屬性;12.2.4.3貨物的合理損耗;12.2.4.4甲方或收貨人自身過錯。十三、不可抗力13.1甲、乙雙方的任何一方因不可抗力,如火災、地震、臺風、洪水等自然災害及其它不可預見、不可避免、不可克服的事件不能履行合同時,應在不可抗力事件發(fā)生后的24小時內(nèi)向對方通報不能履行或不能完全履行的理由,因不可抗力而不能履行合同的受阻方應在不可抗力發(fā)生后7天內(nèi)向另一方提供有關主管政府機關對不可抗力事件發(fā)生的證明。13.2 如果不可抗力事故持續(xù)超過7天,非受阻方有權用書面通知受阻方終止合同,該通知自發(fā)出時立即生效。13.3 受阻方或雙方有義務采取措施,將因不可抗力造成的損失降低到最低程度。十四、合同的變更及解除14.1在本合同生效后,任何一方當事人不得對本合同擅自進行修改或變更。對于本合同的任何修改、變更或補充,應在甲乙雙方協(xié)商一致后以書面方式作出,并經(jīng)甲乙雙方簽字蓋章方為有效。14.2具備下列情形之一的,解除權人可單方解除合同,但應向對方發(fā)出書面的合同解除通知,通知到達對方時合同解除。14.2.1甲方解除合同條件:14.2.1.1不可抗力致使不能實現(xiàn)合同目的的。14.2.1.2在履行期限屆滿前,乙方明確表示或者以自己實際行為表明不履行合同義務。14.2.1.3乙方未按合同約定配置運輸工具且拒不調換的。14.2.1.4乙方將貨物錯運到貨地點或錯交收貨人,且逾期7日未運至合同約定的到貨地點或收貨人。14.2.1.5給甲方造成損失拒不賠償?shù)摹?4.2.2乙方解除合同條件:14.2.2.1不可抗力致使不能實現(xiàn)合同目的。14.2.2.2在履行期限屆滿前,甲方明確表示或者以自己實際行為表明不履行合同義務。14.3合同的變更或解除,不能免除違約方應承擔的違約責任,給對方造成損失的,還應承擔賠償責任。十五、爭議的解決合同履行過程中發(fā)生糾紛雙方應協(xié)商解決。協(xié)商不成的,提交北京仲裁委員會依據(jù)其仲裁規(guī)則進行仲裁。仲裁裁決具有終局性,除仲裁委員會另有裁決,仲裁費由敗訴方承擔。十六、合同生效及其他16.1.本合同經(jīng)雙方法定代表人或其授權代表簽字并加蓋合同專用章(或公章)后生效。16.2.本合同未盡事宜,雙方可簽訂補充協(xié)議。16.3.合同附件及補充協(xié)議是合同組成部分,具有與本合同同等的法律效力。如附件與本合同不一致,以本合同為準;如補充協(xié)議與本合同不一致,以補充協(xié)議為準。本合同、附件及補充協(xié)議有多種語言文本并存在沖突時,以中文文本為準。16.4.本合同的雙方當事人同意,任何一方的內(nèi)部或主管機構的變化,或者資本結構的變化,或任何其它變化,不影響本合同的效力。如果本合同的任何一方因分立、合并、收購、兼并或其他事由,為第三人控制或繼承,本合同約束該第三人。16.5. 2013.12.1 Place: BeijingTransportation ContractBetweenCHINA PETROLEUM TECHNOLOGY & DEVELOPMENT CORPORATIONHereinafter referred to asParty AAndNECOTRANS PROJETS SASHereinafter referred to asParty BSolely calledPartyand togetherthe PartiesIT IS HEREBY AGREED that in consideration of the mutual promises set out below, the Parties agreed on the terms and conditions, contained in the present Contract (hereinafter referred to asthe Contract).ARTICLE 1: PURPOSE AND SCOPEParty A gives to Party B who agrees and accepts to organize, in his own name but for and on behalf of Party A, the shipment of Cargo as mentioned in Appendix 1 (hereinafter referred to asCargo) from Lome, Togo (hereinafter referred to asthe place of Ladingto Diffa, Niger(hereinafter referred to asthe place of Destination).ARTICLE 2: DUTIES OF PARTY B 2.1 Party B agrees and undertakes to organise the shipment of the Cargo from the place of Lading to the place of Destination within forty(40) natural days and will be in charge of the following:1) Cargo collection from the place of Lading. Party B promises to collect Cargo without delay, efficiently, and felicitously in order to avoid demurrage charge;2) Port formalities, warehousing, clearance in the place of Lading. 3) Loading onto trucks properly and appropriately at the place of Lading;4) Transportation from the place of Lading to the place of Destination, including transit border formalities in Burkina Faso;5) Customs clearance at the place of Destination. For duty-free Cargo, if there are special methods for the Customs clearance, Party B pledges to succeed in taking one of those methods at his cost and expense; If Party A informs Party B formally to pay the Customs duties & Taxes, payment of Customs duties & Taxes included, otherwise excluded.2.2 Party B commits to send to Party A a formal list enumerating all the documents of the Customs clearance and border transit and other necessary documents at least thirty(30) working days before the arrival of the conveyance at the place of Lading. Party B is responsible for accurately translating the original documents into other language required by the authorities.2.3 Party B guarantees and never fail to send to Party A a detailed report of all the shipments every day.2.4 Party B pledges to obey all the laws of related countries and regions, take all measures to protect the environment and ensure the Cargo safety.ARTICLE 3: DUTIES OF PARTY A3.1 For general Cargo, Party A commits to send to Party B all the documents, included in the Party Bs formal list, at least ten (10) working days before the arrival of the conveyance at the place of Lading. For air shipment, the complete set of documents will be sent to Party B the day of the shipment command of each Cargo.3.2 Party A shall inform Party B of the suitable means of loading and unloading. Party A shall unload the Cargo at the rate of 500 tons per day or 2 trucks per day after 72 hours of the trucks arrival at the place of Destination. Otherwise detention charges of 100 EUR will be applied per immobilized conveyance per day.3.3 Party A has the right of terminating Contract, altering the consignee and the place of Destination.ARTICLE 4: STIPULATION OF PRICE4.1 Rates mentioned in Appendix 2 are all charge from the place of Lading to the place of Destination. Any other rate shall be subject to additional quotation by Party B and written acceptance by Party A.4.2 Any alteration to the Rates and/or conditions stipulated in the Appendix 2 to the Contract are subject to written mutual consent of the Parties hereto, effective from the date agreed upon, or lacking such date, from the date of signature. Verbal Contracts are null and void.4.3 Each Party shall have the right to renegotiate Rates and/or conditions subject to discussion and written mutual consent of the Parties that will be formalized by an appendix of the Contract. Verbal Contracts are null and void. If there is no alteration agreed by the parties, the rates are constant and fixed.ARTICLE 5: TERMS OF PAYMENT5.1 Party A shall pay Party B for the services without delay according to the following conditions: If Party B hands all the exact documents and bills, including but not limited to bills of entry, lists of lading, over to Party A, the lumpsum in Appendix 2 will be paid at least thirty (30) working days after the unloading of the last Cargo at the place of Destination.5.2 Transportation expenses shall be settled in USD. If exchange is needed, the exchange rate of USD and EUR shall be calculated according to the rate of USD and EUR on the date of issue.5.3 Party B has no right of lien and priority on any or all Cargo, property of Party A. ARTICLE 6: REPRESENTATION6.1 The Parties shall, at all times, comply fully with all applicable laws and regulations issued by any related authority having jurisdiction.6.2 The Parties expressly warrant that the individual executing the Contract on its behalf is a duly authorized representative of the Party, and has full authority to execute the Contract on the Partys behalf.ARTICLE 7: LICENSES AND PERMITS7.1 Party A shall obtain and maintain at his cost and expense all necessary licenses and permits required to import the Cargo.7.2 Party B shall obtain and maintain at his cost and expense all necessary licenses, staffs, instruments and equipments for the shipment.ARTICLE 8: DURATION AND TERMINATION8.1 The Contract in its entirety will come into force at the date of signature and will be in effect until the delivery of the last shipment.8.2 The Contract may be terminated with immediate effect by any Party, if the other Party:1) makes it clear not to perform the Contract obligations;2) is declared insolvent or bankrupt and the like;3) ceases its business, operations or legal existence.8.3 If the Party suffers a loss because of the termination, the other Party should compensate for it corresponding to his fault.8.4 In the event of termination, the Parties agree to comply with any obligation arising hereunder up to the termination date and, as appropriate, thereafter. The Parties shall not knowingly use or permit the use of any information obtained during its relationship to the disadvantage of the other Party or for the profit of its own or any third Partys interest.ARTICLE 9: LIABILITY 9.1 If any event or accident occurs, including loss, damage and impairment, when the Cargo is in Party Bs custody, Party B should inform Party A within 24 hours, presenting related information and documents in writing. Failing to do so, any claims directed against Party B shall be come into being.9.2 For any event, loss or damage occurring due to Party Bs negligence or fault, Party B shall bear the responsibility toward Party A or Party As Cargo insurer. And likewise, for any event, loss or damage occurring due to Party As negligence or fault, Party A shall bear the responsibility toward Party B.9.3 The Parties expressly agree to exclude any indemnity from Party B to Party A for exemplary and/or punitive damages levied against Party A. Notwithstanding anything to the contrary herein, the Parties agree to waive and release against one another any claim for exemplary, consequential or punitive damages, regardless of fault.ARTICLE 10: INSURANCE10.1 Party A shall purchase the all-risk insurance on the Cargo remitted to Party B. Party B has also the possibility upon written request from Party A to subscribe a Cargo insurance on Party As behalf. The cost of such insurance shall be for Party As account.10.2 Although Party A would like that Party B organises convoys of imported vehicles own wheel drive, Party A will have no obligation to subscribe, through Party B, a specific driving insurance. If the driving insurance for own wheel transportation is compulsory for the crossing countries. The cost of such insurance shall be for Party Bs account.10.3 In any event, though Party A fails to purchase Cargo insurance, Party B should strive to minimise the losses.ARTICLE 11: FORCE MAJEUREIf Party B is prevented from executing the Contract by force majeure, such as but not limited to earthquake, typhoon, flood, fire and war and other unforeseen events, or any other unpreventable and unavoidable event, Party B should strive to minimise the losses correctly and reasonably and notify Party A in twenty-four hours and provide him with detailed information of events explaining the reason for its inability to execute or delay in the execution of all or part of the Contract.ARTICLE 12: CONFIDENTIALITYThe Parties shall preserve strict confidentiality concerning the services and business. This undertaking shall extend beyond any termination of the Contract, or the Parties co-operation. Each Party shall be responsible for any non-compliance herewith of its employees, its servants, agents, or their respective sub-parties.ARTICLE 13: MODIFICATIONSThe Contract contains the entire understanding between the Parties and supersedes and replaces any prior Contract or understanding, be it written or verbal. Any additions and modifications hereto shall be by written instrument signed by the Parties. Such instrument would form part of the Contract.ARTICLE 14: LANGUAGEIn case of contradiction between the English version of the Contract and its translation of other language versions for better understanding of the English part, the English version shall prevail.ARTICLE 15: ENTIRE CONTRACT The Contract, together with the attached Appendix, constitutes the entire Contract between the Parties. To the extent of any inconsistency or conflict between any provisions of the Contract and the Appendix, the provisions of Contract shall prevail.ARTICLE 16: NOTICE16.1 Notices which serve to alter, revise, terminate or otherwise
