2025BusinessEnglishContractPartThree

1.Introduction

ThisContract(hereinafterreferredtoasthe"Agreement")isenteredintoasofbetween(hereinafterreferredtoasthe"Client")and(hereinafterreferredtoasthe"ServiceProvider")fortheprovisionofServices(hereinafterreferredtoasthe"Services").TheClientandtheServiceProvider(collectivelyreferredtoasthe"Parties")agreetobeboundbythetermsandconditionssetforthherein.

2.ScopeofServices

2.1TheServiceProvideragreestoprovidetheServicesasdescribedinExhibitAattachedhereto.TheServicesshallbeperformedinaccordancewiththespecifications,timelines,andstandardsoutlinedinthisAgreementandanyapplicabledocumentationprovidedbytheClient.

2.2TheServiceProvidershallensurethattheServicesaredeliveredwiththehighestprofessionalstandardsandincompliancewithallapplicablelaws,regulations,andindustrystandards.

3.PaymentTerms

3.1TheClientshallpaytheServiceProviderthefeesasoutlinedinExhibitBattachedhereto(hereinafterreferredtoasthe"Fees").TheFeesshallbepaidinaccordancewiththepaymentscheduleoutlinedinthisAgreement.

3.2Allpaymentsshallbemadein(currency)andshallbetransmittedtotheServiceProvider'sdesignatedbankaccount,asspecifiedinExhibitCattachedhereto.

3.3TheClientshallissueinvoicestotheServiceProviderwithin(number)daysofthecommencementoftheServices,andtheServiceProvidershallpaytheinvoiceswithin(number)daysofreceipt.Latepaymentsshallincuraninterestchargeof(percentage)perannum.

4.IntellectualProperty

4.1Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,andtradesecrets,createdordevelopedinthecourseoftheServicesshallbeownedexclusivelybytheClient.

4.2TheServiceProvidershallnotuseanyintellectualpropertyoftheClientforanypurposeotherthantheperformanceoftheServicesunderthisAgreement.

4.3TheClientgrantstheServiceProvideranon-exclusive,royalty-freelicensetouseanyintellectualpropertyoftheClientforthepurposeofperformingtheServices.ThislicenseshallterminateupontheexpirationorterminationofthisAgreement.

5.Confidentiality

5.1TheServiceProvideragreestomaintaintheconfidentialityofallinformation,data,andmaterials(hereinafterreferredtoasthe"ConfidentialInformation")disclosedbytheClientduringthetermofthisAgreement.

5.2TheServiceProvidershallnotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheClient.

5.3TheobligationsoftheServiceProviderunderthisSection5shallsurvivetheterminationofthisAgreement.

6.LiabilityandIndemnification

6.1TheServiceProvidershallbeliableforanybreachofthisAgreementandshallindemnifyandholdharmlesstheClientagainstanyclaims,damages,losses,orexpenses(includingbutnotlimitedtolegalfees)arisingoutoforinconnectionwithsuchabreach.

6.2TheServiceProvidershallnotbeliableforanylossesordamagesresultingfromactionsoromissionsoftheClientoranythirdpartynotundertheServiceProvider'scontrol.

6.3TheServiceProvider'stotalliabilityunderthisAgreementshallnotexceedthetotalFeespaidbytheClientunderthisAgreement.

7.ForceMajeure

7.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayisduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orpandemics(hereinafterreferredtoas"ForceMajeure").

7.2IfaForceMajeureeventpreventseitherPartyfromperformingitsobligationsunderthisAgreementforacontinuousperiodof(number)days,eitherPartymayterminatethisAgreementwithoutliability.

8.GoverningLawandDisputeResolution

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof(jurisdiction).AnylegalactionarisingoutoforrelatedtothisAgreementshallbebroughtinthecourtsof(location).

8.2ThePartiesagreetofirstattempttoresolveanydisputesarisingoutoforrelatedtothisAgreementthroughamicablenegotiations.Ifnegotiationsfail,thePartiesagreetosubmitthemattertobindingarbitrationinaccordancewiththerulesof(arbitrationinstitution).

8.3ThePartiesagreethatanyarbitrationorlegalproceedingsunderthisAgreementshallbeinitiatedwithin(number)monthsofthedateofthedispute.

9.Miscellaneous

9.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,orarrangements,whetherwrittenororal.

9.2AnyamendmentsormodificationstothisAgreementshallbeinwritingandsignedbybothParties.

9.3ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,buttogethershallconstituteoneandthesameinstrument.

9.4IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffe
