1.ScopeofSupply

TheSuppliershallsupplythefollowinggoods(the"Goods")totheBuyerinaccordancewiththetermsandconditionsofthisAgreement:

2.PriceandPayment

2.1Price

3.Delivery

3.1DeliveryTime

TheSuppliershalldelivertheGoodstotheBuyer'sdesignateddeliveryaddressonorbefore[deliverydate].Incaseofanydelayindelivery,theSuppliershallnotifytheBuyerinwritingatleast[numberofdays]daysinadvanceandprovideavalidreasonforthedelay.

3.2DeliveryLocation

3.3PackagingandShipment

TheSuppliershallberesponsibleforproperlypackagingtheGoodstoensuretheirsafetransportation.Thepackagingshallbesuitableforlong-distancetransportationandvariousweatherconditions.TheSuppliershallarrangefortheshipmentoftheGoodsandbearallshippingcosts.

4.QualityAssurance

4.1QualityStandards

4.2Inspection

TheBuyershallhavetherighttoinspecttheGoodsuponreceipt.IftheBuyerdiscoversanyqualityissues,itshallnotifytheSupplierinwritingwithin[numberofdays]daysafterreceiptoftheGoods.TheSuppliershall,uponreceivingsuchnotice,promptlytakemeasurestoresolvethequalityissues,suchasreplacingthedefectiveGoodsorprovidingappropriatecompensation.

5.Warranty

TheSupplierwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]monthsfromthedateofdelivery.Duringthewarrantyperiod,ifanydefectsarefound,theSuppliershall,atitsownexpense,repairorreplacethedefectiveGoods.

6.LiabilityandIndemnification

6.1Liability

TheSuppliershallbeliableforanydamages,losses,orinjuriescausedbytheGoods,includingbutnotlimitedtodefectsintheGoods,improperpackaging,ornon-compliancewithrelevantlawsandregulations.

6.2Indemnification

TheSuppliershallindemnifyandholdtheBuyerharmlessfromanyclaims,losses,damages,liabilities,andexpenses(includinglegalfees)arisingoutoforinconnectionwiththesupplyoftheGoods,includingbutnotlimitedtoclaimsfromthirdpartiesduetoproductliability,intellectualpropertyinfringement,ornon-compliancewithlawsandregulations.

7.IntellectualPropertyRights

TheSupplierrepresentsandwarrantsthattheGoodssuppliedhereunderdonotinfringeupontheintellectualpropertyrightsofanythirdparty.IncaseofanyclaimofintellectualpropertyinfringementrelatedtotheGoods,theSuppliershallberesponsibleforresolvingtheissueatitsownexpenseandindemnifytheBuyeragainstanylossescausedthereby.

8.Confidentiality

EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtoproductspecifications,businesssecrets,andcustomerinformation.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.

9.Termination

9.1TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementofbothparties.

9.2TerminationforBreach

IfeitherpartymateriallybreachesanyofthetermsandconditionsofthisAgreement,thenon-breachingpartyshallhavetherighttoterminatethisAgreementbygivingwrittennoticetothebreachingparty.Incaseofterminationduetobreach,thebreachingpartyshallbeliableforanylossessufferedbythenon-breachingparty.

10.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

10.2DisputeResolution
