CONTRACTAGREEMENT

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

1.Recitals

WHEREAS,PartyAisengagedin[PartyAbusinessdescription];

WHEREAS,PartyBisengagedin[PartyBbusinessdescription];

WHEREAS,thepartiesdesiretoenterintothisAgreementtosetforththetermsandconditionsoftheirrelationshipwithrespectto[subjectmatteroftheagreement].

2.ScopeofWork

PartyAshall[describePartyA'sobligations].

PartyBshall[describePartyB'sobligations].

3.Payment

PartyBshallpayPartyAthesumof[amount]inthefollowingmanner:[describepaymentscheduleandmethod].

4.IntellectualPropertyRights

AllintellectualpropertyrightsarisingoutoforinconnectionwiththeperformanceofthisAgreementshallbeownedby[specifytheowner].

5.Confidentiality

EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement.Confidentialinformationshallinclude,butnotbelimitedto,[listtypesofconfidentialinformation].

6.TermandTermination

ThisAgreementshallcommenceon[startdate]andshallremaininforceuntil[enddate].EitherpartymayterminatethisAgreementupon[number]days'writtennoticetotheotherpartyintheeventofamaterialbreachbytheotherparty.

7.Liability

Neitherpartyshallbeliabletotheotherpartyforanyindirect,special,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractAgreementasofthedatefirstabovewritten.
