CompensationAgreement

ThisCompensationAgreement(the“Agreement”)ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas“PartyA”),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas“PartyB”).

I.Background

Whereas,[describetherelevantcontractoreventthatledtotheneedforcompensation];and

Whereas,PartyAandPartyBdesiretoresolveanydisputesorclaimsregarding[thesubjectmatter]throughthisAgreement.

II.Compensation

1.PartyBshallpaytoPartyAthesumof[amountinfigures](inwords:[amountinwords])ascompensationfor[describethereasonforcompensation]within[numberofdays]daysfromthedateofexecutionofthisAgreement.

III.RepresentationsandWarranties

1.PartyArepresentsandwarrantsthat:

-IthasthelegalrightandauthoritytoenterintothisAgreement.

-AllclaimsanddemandsithasmadeagainstPartyBinrelationto[thesubjectmatter]aresetforthinthisAgreement,andtherearenootherhiddenorunstatedclaims.

2.PartyBrepresentsandwarrantsthat:

-IthasthelegalrightandauthoritytoenterintothisAgreementandtomakethecompensationpaymentashereinprovided.

-Theinformationprovidedbyitinrelationtothepaymentandthecircumstancesgivingrisetothecompensationistrueandaccurate.

IV.ReleaseofClaims

1.InconsiderationofthecompensationpaymentmadebyPartyBtoPartyAasprovidedherein,PartyAherebyreleases,discharges,andforeverwaivesanyandallclaims,causesofaction,suits,debts,dues,sumsofmoney,accounts,reckonings,bonds,bills,specialties,covenants,contracts,controversies,agreements,promises,variances,trespasses,damages,judgments,executions,orclaimsforattorneys'feesagainstPartyB,itsofficers,directors,employees,agents,andaffiliatesarisingoutoforinanywayrelatedto[thesubjectmatter].

2.PartyBreleases,discharges,andforeverwaivesanyandallcounterclaimsitmayhaveagainstPartyAarisingoutoforinanywayrelatedto[thesubjectmatter].

V.Confidentiality

EachpartyshallkeepconfidentialallinformationdisclosedbytheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtothetermsofthisAgreement,theamountofcompensation,andthecircumstancesgivingrisetotheneedforcompensation.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.

VI.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

VII.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

VIII.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

IX.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.

X.Signatures

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
