3.PRICESANDPAYMENT

4.DELIVERYANDACCEPTANCE

4.1TheSellershalldelivertheProductstotheBuyerattheagreeddeliverylocationasspecifiedinExhibitDattachedhereto.

4.2TheBuyershallaccepttheProductsupondeliveryandinspecttheProductsforanydefectsornon-conformitieswithin[NumberofDays]daysfromthedateofdelivery.

5.WARRANTIES

5.1TheSellerwarrantsthattheProductsshallconformtothespecificationssetforthinExhibitEattachedhereto.

5.2TheSellerwarrantsthattheProductsshallbefreefromanydefectsinmaterialsandworkmanshipforaperiodof[NumberofMonths]monthsfromthedateofdelivery.

6.TERMANDTERMINATION

8.2ThisAgreementmaybeamended,modified,orsupplementedonlybyawritteninstrumentexecutedbybothparties.

4.PRICESANDPAYMENT
