2025國(guó)際技術(shù)許可合同(中英文版)2025InternationalTechnologyLicensingAgreement(中英文版)THISTECHNOLOGYLICENSINGAGREEMENT(the"Agreement")isenteredintoasof[EffectiveDate](the"EffectiveDate"),byandbetween:LICENSOR:[NameofLicensor][CompanyAddress][Country][RegistrationNumber]LICENSEE:[NameofLicensee][CompanyAddress][Country][RegistrationNumber]RECITALSWHEREAS,Licensoristheownerofcertaintechnology,know-how,andintellectualproperty(the"Technology"),whichhasbeendevelopedand/orperfectedbyLicensorandishereinafterdescribedinExhibitA;ANDWHEREAS,LicensordesirestogranttoLicensee,andLicenseedesirestoreceivefromLicensor,anon-exclusive,royalty-bearinglicensetousetheTechnologyunderthetermsandconditionssetforthherein;NOW,THEREFORE,thepartiesagreeasfollows:1.GRANTOFLICENSE1.1SubjecttothetermsandconditionsofthisAgreement,LicensorherebygrantstoLicenseeanon-exclusive,royalty-bearinglicensetouse,reproduce,modify,distribute,andsublicensetheTechnologysolelyforthepurposesof[describethepurpose,e.g.,manufacturing,research,etc.],withinthe地域specifiedinExhibitB(the"Territory").1.2ThelicensegrantedhereunderdoesnotincludetherighttousetheTechnologyforanypurposeoutsidethescopeofthisAgreementoroutsidetheTerritory.2.LICENSEPAYMENTS2.1Asconsiderationforthelicensegrantedhereunder,LicenseeshallpaytoLicensorthefollowingfees:(a)Aninitiallicensefeeof[amount](the"UpfrontFee"),payablewithin[number]daysoftheEffectiveDate.(b)Royaltypaymentsequalto[percentage]%ofNetSales,payablequarterlywithin[number]daysaftertheendofeachcalendarquarter.2.2LicenseeshallmaintaincompleteandaccuraterecordsrelatingtoallsalesandactivitiesunderthisAgreementandshallprovideLicensorwithquarterlyreportsdetailingsuchsalesandactivities.3.CONFIDENTIALITY3.1EachpartyagreestomaintaintheconfidentialityofallconfidentialinformationdisclosedbytheotherpartyunderthisAgreement.Confidentialinformationshallinclude,butnotbelimitedto,technology,know-how,tradesecrets,businessplans,andotherproprietaryinformation.3.2TheobligationsunderthisSectionshallsurvivetheterminationofthisAgreementforaperiodof[number]years.4.OWNERSHIPOFINTELLECTUALPROPERTY4.1LicensorshallretainfullownershipofallTechnologyandanyimprovements,modifications,orderivativesthereof,exceptasotherwiseagreedinwriting.4.2LicenseeshallpromptlynotifyLicensorofanythird-partyinfringementoftheTechnologyandshallassistLicensorinenforcingitsrightsagainstsuchinfringement.5.WARRANTIESANDREPRESENTATIONS5.1Licensorwarrantsthatithasthefullright,power,andauthoritytograntthelicensehereunderandthattheTechnologydoesnotinfringeanythird-partyintellectualpropertyrights.5.2Licensormakesnowarrantiesofanykind,expressorimplied,including,withoutlimitation,warrantiesofmerchantabilityorfitnessforaparticularpurpose.6.TERMANDTERMINATION6.1ThetermofthisAgreementshallcommenceontheEffectiveDateandcontinueforaninitialperiodof[number]years(the"InitialTerm").6.2EitherpartymayterminatethisAgreementforcauseupon[number]days'writtennoticeiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithinsuchperiod.6.3UponterminationofthisAgreement,LicenseeshallimmediatelyceasealluseoftheTechnologyandreturnordestroyallcopiesoftheTechnologyinitspossession.7.DISPUTERESOLUTION7.1AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthroughmediation,followedbyarbitrationinaccordancewiththerulesofthe[指定的仲裁機(jī)構(gòu),e.g.,InternationalChamberofCommerce(ICC)].8.GOVERNINGLAW8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[管轄法律的國(guó)家或地區(qū),e.g.,theStateofCalifornia,USA].9.MISCELLANEOUS9.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriorunderstandings,agreements,orrepresentations,whetherwrittenororal.9.2NoamendmentormodificationofthisAgreementshallbevalidunlessmadeinwritingandsignedbybothparties.9.3ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovision.9.4ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.LICENSOR:By:Name:Title:Date:LICENSEE:By:Name:Title:Date:EXHIBITA-DESCRIPTIONOFTECHNOLOGY[詳細(xì)描述技術(shù)，包括但不限于技術(shù)名稱(chēng)、功能、應(yīng)用領(lǐng)域等]EXHIBITB-TERRITORY[詳細(xì)描述許可使用的地域范圍]EXHIBITC-NETSALESDEFINITION[詳細(xì)定義凈銷(xiāo)售額，包括計(jì)算方式、扣除項(xiàng)目等]EXHIBITD-PAYMENTSCHEDULE[詳細(xì)列出支付時(shí)間表，包括各個(gè)階段的支付金額和時(shí)間]EXHIBITE-CONFIDE
