To further promot
2、e the establishment of a listed company, a sound incentive and restraint mechanisms, according to Peoples Republic of China Company Law, the Securities Act of Peoples Republic of China and other relevant laws and administrative regulations, the development of this approach. Article2. The term refers
3、 to shares of listed companies incentives to the companys shares being the subject of its directors, supervisors, senior management and other staff to carry out long-term incentives. Listed companies to implement equity incentive plan should be in strict accordance with the relevant provisions and requirements of this approach to information disclosure obligations to fulfill. Article5. For listed companies issued equity incentive plan views

56、激勵(lì)與約束機(jī)制,依據(jù)中華人民共和國(guó)公司法、中華人民共和國(guó)證券法及其他有關(guān)法律、行政法規(guī)的規(guī)定,制定本辦法。第二條本辦法所稱股權(quán)激勵(lì)是指上市公司以本公司股票為標(biāo)的,對(duì)其董事、監(jiān)事、高級(jí)管理人員及其他員工進(jìn)行的長(zhǎng)期性激勵(lì)。上市公司以限制性股票、股票期權(quán)及法律、行政法規(guī)允許的其他方式實(shí)行股權(quán)激勵(lì)計(jì)劃的,適用本辦法的規(guī)定。第三條上市公司實(shí)行的股權(quán)激勵(lì)計(jì)劃,應(yīng)當(dāng)符合法律、行政法規(guī)、本辦法和公司章程的規(guī)定,有利于上市公司的持續(xù)發(fā)展,不得損害上市公司利益。上市公司的董事、監(jiān)事和高級(jí)管理人員在實(shí)行股權(quán)激勵(lì)計(jì)劃中應(yīng)當(dāng)誠(chéng)實(shí)守信,勤勉盡責(zé),維護(hù)公司和全體股東的利益。第四條上市公司實(shí)行股權(quán)激勵(lì)計(jì)劃,應(yīng)當(dāng)嚴(yán)格按照有關(guān)規(guī)
57、定和本辦法的要求履行信息披露義務(wù)。第五條為上市公司股權(quán)激勵(lì)計(jì)劃出具意見的專業(yè)機(jī)構(gòu),應(yīng)當(dāng)誠(chéng)實(shí)守信、勤勉盡責(zé),保證所出具的文件真實(shí)、準(zhǔn)確、完整。第六條任何人不得利用股權(quán)激勵(lì)計(jì)劃進(jìn)行內(nèi)幕交易、操縱證券交易價(jià)格和進(jìn)行證券欺詐活動(dòng)。第二章一般規(guī)定第七條上市公司具有下列情形之一的,不得實(shí)行股權(quán)激勵(lì)計(jì)劃:(一)最近一個(gè)會(huì)計(jì)年度財(cái)務(wù)會(huì)計(jì)報(bào)告被注冊(cè)會(huì)計(jì)師出具否定意見或者無法表示意見的審計(jì)報(bào)告;(二)最近一年內(nèi)因重大違法違規(guī)行為被中國(guó)證監(jiān)會(huì)予以行政處罰;(三)中國(guó)證監(jiān)會(huì)認(rèn)定的其他情形。第八條股權(quán)激勵(lì)計(jì)劃的激勵(lì)對(duì)象可以包括上市公司的董事、監(jiān)事、高級(jí)管理人員、核心技術(shù)(業(yè)務(wù))人員,以及公司認(rèn)為應(yīng)當(dāng)激勵(lì)的其他員工,但不
58、應(yīng)當(dāng)包括獨(dú)立董事。下列人員不得成為激勵(lì)對(duì)象:(一)最近3年內(nèi)被證券交易所公開譴責(zé)或宣布為不適當(dāng)人選的;(二)最近3年內(nèi)因重大違法違規(guī)行為被中國(guó)證監(jiān)會(huì)予以行政處罰的;(三)具有中華人民共和國(guó)公司法規(guī)定的不得擔(dān)任公司董事、監(jiān)事、高級(jí)管理人員情形的。股權(quán)激勵(lì)計(jì)劃經(jīng)董事會(huì)審議通過后,上市公司監(jiān)事會(huì)應(yīng)當(dāng)對(duì)激勵(lì)對(duì)象名單予以核實(shí),并將核實(shí)情況在股東大會(huì)上予以說明。第九條激勵(lì)對(duì)象為董事、監(jiān)事、高級(jí)管理人員的,上市公司應(yīng)當(dāng)建立績(jī)效考核體系和考核辦法,以績(jī)效考核指標(biāo)為實(shí)施股權(quán)激勵(lì)計(jì)劃的條件。第十條上市公司不得為激勵(lì)對(duì)象依股權(quán)激勵(lì)計(jì)劃獲取有關(guān)權(quán)益提供貸款以及其他任何形式的財(cái)務(wù)資助,包括為其貸款提供擔(dān)保。第十一條擬實(shí)
59、行股權(quán)激勵(lì)計(jì)劃的上市公司,可以根據(jù)本公司實(shí)際情況,通過以下方式解決標(biāo)的股票來源:(一)向激勵(lì)對(duì)象發(fā)行股份;(二)回購(gòu)本公司股份;(三)法律、行政法規(guī)允許的其他方式。第十二條上市公司全部有效的股權(quán)激勵(lì)計(jì)劃所涉及的標(biāo)的股票總數(shù)累計(jì)不得超過公司股本總額的10%。非經(jīng)股東大會(huì)特別決議批準(zhǔn),任何一名激勵(lì)對(duì)象通過全部有效的股權(quán)激勵(lì)計(jì)劃獲授的本公司股票累計(jì)不得超過公司股本總額的1%。本條第一款、第二款所稱股本總額是指股東大會(huì)批準(zhǔn)最近一次股權(quán)激勵(lì)計(jì)劃時(shí)公司已發(fā)行的股本總額。第十三條上市公司應(yīng)當(dāng)在股權(quán)激勵(lì)計(jì)劃中對(duì)下列事項(xiàng)做出明確規(guī)定或說明:(一)股權(quán)激勵(lì)計(jì)劃的目的;(二)激勵(lì)對(duì)象的確定依據(jù)和范圍;(三)股權(quán)激勵(lì)
60、計(jì)劃擬授予的權(quán)益數(shù)量、所涉及的標(biāo)的股票種類、來源、數(shù)量及占上市公司股本總額的百分比;若分次實(shí)施的,每次擬授予的權(quán)益數(shù)量、所涉及的標(biāo)的股票種類、來源、數(shù)量及占上市公司股本總額的百分比;(四)激勵(lì)對(duì)象為董事、監(jiān)事、高級(jí)管理人員的,其各自可獲授的權(quán)益數(shù)量、占股權(quán)激勵(lì)計(jì)劃擬授予權(quán)益總量的百分比;其他激勵(lì)對(duì)象(各自或按適當(dāng)分類)可獲授的權(quán)益數(shù)量及占股權(quán)激勵(lì)計(jì)劃擬授予權(quán)益總量的百分比;(五)股權(quán)激勵(lì)計(jì)劃的有效期、授權(quán)日、可行權(quán)日、標(biāo)的股票的禁售期;(六)限制性股票的授予價(jià)格或授予價(jià)格的確定方法,股票期權(quán)的行權(quán)價(jià)格或行權(quán)價(jià)格的確定方法;(七)激勵(lì)對(duì)象獲授權(quán)益、行權(quán)的條件,如績(jī)效考核體系和考核辦法,以績(jī)效考核
