廉潔自律約定書

1、廉潔自律約定書Hon est and Self-displi ne agreeme nt甲方 Party A:XX乙方 Party B:為維護(hù)甲、乙雙方的合法權(quán)益，規(guī)范雙方交易行為，使雙方利益免受損害， 更好地弘揚(yáng)企業(yè)文化，積極推進(jìn)社會(huì)進(jìn)步，現(xiàn)就有關(guān)事項(xiàng)約定如下：In order to protect the legitimate rights of both two parties, and to regulate the trade behaviour for promoting the enterprise culture and social progress actively. No

2、w regulate the following items:1、乙方供給甲方產(chǎn)品，雙方必須訂立供需合同及相關(guān)的技術(shù)協(xié)議，雙方都應(yīng) 嚴(yán)格遵照?qǐng)?zhí)行。乙方法人代表可授權(quán)一名或多名具體經(jīng)辦人或技術(shù)人員與甲方聯(lián) 系，如乙方委派提取業(yè)務(wù)分成的人員來甲方辦理業(yè)務(wù)或簽訂合同，甲方有權(quán)拒絕 接待，必要時(shí)停止乙方供應(yīng)資格。For the product Party B supply to Party A, both parties need to conclude the con tract and releva nt tech ni cal agreeme nt, and both parties shall

3、 strictly observe the implementation. Party B's legal representative can authorize one or more specific resp on sible pers on or tech ni cal people to con tact with Party A. If Party B send the people who is for earning extra commissi on to sig n the con tract, Party A has the rights to refuse a

4、nd term in ate the supply qualificati on of Party B.2、乙方辦事人員要嚴(yán)格遵守甲方的廠規(guī)廠紀(jì)，未經(jīng)甲方批準(zhǔn)，未佩戴貴賓卡 和沒有專人陪同不得擅自進(jìn)入甲方的生產(chǎn)區(qū)域，否則一經(jīng)發(fā)現(xiàn)，視情節(jié)輕重取消乙方的供應(yīng)商資格，每次作出違約金(按合同標(biāo)的20%計(jì)算，違約金低于人民幣10萬元的以10萬元計(jì))賠償處罰，甲方可直接從應(yīng)付乙方貨款余額中扣除。Party B's staff shall strictly follow the rules and regulations of Party A. 6、rmb, calculate based on 10,000rmb), Party A to deduct the pen alty amount from the payme nt.3、為節(jié)省雙方費(fèi)用，凡甲方辦事人員去乙方洽談業(yè)務(wù)時(shí)，若恰逢用餐時(shí)間， 接受乙方用餐邀請(qǐng)，請(qǐng)乙方以工作餐招待。同樣歡迎乙方來甲方洽談業(yè)務(wù)，甲方也以工作餐招待乙方人員，希望乙方予以理解并配合。甲方在本市范圍內(nèi)不接受 乙方邀請(qǐng)用餐。s ccIn order to save the costs of both parties, if Party As staff go to Party B' s compa ny

7、 for n egotiati ng bus in ess, and it comes to the meal time, Party B should serve Party A ' s people with the working meal. Also when Party B comes to Party A Party A should serve Party B' people with the working meal, please Party B to understand and cooperate it. Party A cannot accept the

8、 dinner invitation if both parties are on the same city.4、乙方不得以任何形式向甲方人員贈(zèng)送現(xiàn)金，購物券，回扣，煙酒以及借款，乙方人員不得邀請(qǐng)甲方人員參加不健康活動(dòng)，或以其它方式損害甲方利益的 行為。同時(shí)，乙方股東、高管、經(jīng)辦人及以上人員配偶與甲方人員存在直系或三 代以內(nèi)旁系血親或者近姻親關(guān)系的應(yīng)當(dāng)書面告知。如有以上情況違反的，甲方有 權(quán)立即取消乙方供應(yīng)商資格，并且每次對(duì)乙方處以違約金（按合同標(biāo)的20%計(jì)算，違約金低于人民幣10萬元的以10萬元計(jì)）賠償處罰，甲方可直接從應(yīng)付乙方貨 款余額中扣除。Party B cannot give ca

9、sh, retail vouchers, kickbacks, cigarettes and alcohol to Party A's personnel in any form, and cannot invite party A's peoplel to participate in un healthy activities, or to damage the in terests of Party A in any form. Mean while, if Party B shareholder, man ager, operator 'spouses have

10、 direct blood relati on ship, or collateral relati on ship within three gen eratio ns, or close relati on ship by marriage with Party A' people, should inform in writing. In case of violation of the above circumsta nces, Party A has the rights to can cel Party B's supplier qualificatio n, ev

11、ery time to deduct the liquidated damages （ calculate based on 20% of the con tract amount, when it less than 100,000rmb, calculate based on 10,000rmb）, Party A to deduct the pen alty amount from the payme nt.5、乙方如發(fā)現(xiàn)甲方人員有不廉潔行為，甚至出現(xiàn)索要錢、物、吃、喝和刁 難乙方人員的，乙方可向甲方相關(guān)部門投訴，甲方會(huì)立即根據(jù)乙方提供的信息展 開調(diào)查，對(duì)甲方違規(guī)人員進(jìn)行處理，保障乙方的

12、公平，公正的待遇。如乙方隱瞞 不報(bào)被甲方發(fā)現(xiàn)，將對(duì)乙方每次處以違約金（按合同標(biāo)的20%計(jì)算，違約金低于人 民幣10萬元的以10萬元計(jì)）賠償處罰，甲方可直接從應(yīng)付乙方貨款余額中扣除。If party A's pers on behaviour not con formed to ethical bus in ess, or eve n asks for money, goods, food, drink, and harass party B's person party B can complain to the releva nt departme nt of party A

13、. Party A will immediately con duct inv estigati on according to the information provided by party B and deal with party A's illegal personnel to ensure the fair treatment to party B. If Party B concealed and unreported, Party A will pen alize Party B （ the pen alty calculated based on 20% of th

14、e con tract amount, when it less than 100,000rmb, calculate based on 10,000rmb）, Party A to deduct the pen alty amount from the payme nt.6、乙方提供產(chǎn)品或服務(wù)時(shí)，應(yīng)嚴(yán)格執(zhí)行國家及地方相關(guān)環(huán)境保護(hù)、職業(yè)健 康安全、節(jié)約能源等相關(guān)法律的規(guī)定。乙方在甲方范圍內(nèi)作業(yè)時(shí)，必須遵守甲方 的質(zhì)量、環(huán)境、安全管理體系的相關(guān)要求。當(dāng)乙方出現(xiàn)質(zhì)量、環(huán)境或安全等重大 事故時(shí)，應(yīng)第一時(shí)間通知甲方。如對(duì)甲方造成供應(yīng)損失，由乙方承擔(dān)所有損失。 如隱瞞不報(bào)，甲方將保留追訴權(quán)利。When

15、providing the product and service, Party B should strictly follow the n ati onal and local en vir onmen tal protecti on law, occupatio nal health and safety, and energy conservation regulation. When Party B' people operate on Party A' factory, they should follow Party A' quality, environ

16、ment, safety managing standard. Party B shall promptly notify party A of any major accidents such as quality, environment or safety. Party B should bear all the supply losses caused by party A . If it is con cealed, party A will reserve the right of prosecuti on.7、 未經(jīng)甲方許可，乙方不得泄露甲方保密信息” 保密信息”是指XX公司 所

17、有的，不被公開披露的，正被運(yùn)用的，或與營業(yè)或其產(chǎn)品相關(guān)的信息，包括且不限于：Party B cannot disclose any party A's "confidential information", which means all wealth fortune, and any bus in ess, product related in formatio n which cannot be publicly disclosed, being used, in cludi ng but not limited to:（1）、客戶名稱及清單，客戶的其它詳細(xì)資料

18、，銷售目標(biāo)，銷售統(tǒng)計(jì)表，市場份 額統(tǒng)計(jì)表，價(jià)格，市場研究報(bào)告、調(diào)查或其它促銷資料；Customer name and list, customer's detailed document, sales target, sales statistics, market share statistics, price, market research report, survey or other promotional details;（2）、將來的項(xiàng)目，營業(yè)發(fā)展或計(jì)劃，商業(yè)關(guān)系和談判；Future projects, bus in ess developme nt or pla nni

19、ng, bus in ess relati on ship and n egotiati ons;（3）、任何與生產(chǎn)過程，生產(chǎn)能力有關(guān)的信息，包括任何其它文件或資料；Any in formatio n relati ng to the producti on process, product ion capacity, in clud ing any docume nts and files;（4）、所有其它與產(chǎn)品和營業(yè)手段有關(guān)的檔案、手冊(cè)、文件、憑證，及數(shù)據(jù)，包 括但并不限于與各產(chǎn)品相關(guān)的質(zhì)量控制和技術(shù)檔案及手冊(cè)，根據(jù)本約定書，含有 信息的XX公司樣本和接受方XX公司樣本的測(cè)試結(jié)果均視為保密

20、信息。All other files, manuals, documents and archives, and data that associated with the product and bus in ess, in clud ing but not limited to related to the product quality con trol and tech ni cal docume nts and manu als, accordi ng to this agreeme nt, any samples with XX in formatio n and any test

21、 result received by XX are the con fide ntial in formatio n.基于本約定書產(chǎn)生的關(guān)系是保密性質(zhì)的且屬于本約定書所述保密信息范圍之 內(nèi)，如有違反而造成甲方損失的，應(yīng)當(dāng)予以賠償，并按每次違約行為向甲方無條 件承擔(dān)違約金10萬元并賠償損失。The relati on ship based on this agreeme nt is con fide ntial and withi n the scope of con fide ntial in formati on. In case of any breach of the con trac

22、t and cause the loss for party A, Party B shall indemnify and pay penalty of 100,000 yuan every time.8、甲方將根據(jù)以上約定，制定供應(yīng)商評(píng)級(jí)制度，如低于甲方合格供應(yīng)商等級(jí) 的立即取消供應(yīng)商資格，如涉嫌犯罪的移交司法機(jī)關(guān)追究刑事責(zé)任。敬請(qǐng)乙方給 予大力協(xié)助，配合和支持，雙方共同建立互惠互利互信的友好合作關(guān)系。Party A will formulate the supplier rati ng system in accorda nce with the above provisi ons. Th

23、e supplier qualificati on will be can celled if lower to the rat ing made by Party A. The suspected criminal will be transferred to the judicial authorities for criminal responsibility. Please Party B to provide assistance,cooperation and support for establishi ng frien dly and cooperative relati ons of mutual ben efit and mutual trust.9、在甲乙雙方及其人員在經(jīng)濟(jì)合同、本約定書簽訂前或履行完畢后，發(fā)生或 發(fā)現(xiàn)違反本規(guī)定的行為，仍按本約定書處理。Before both parties and their pers onnel sig ning econo mic con tract and this agreeme nt or after competi ng the con tract, any violatio ns will be dealt with based on this agreeme nt.10、如雙方因本約定書
