BEIJING MUNICIPALITY BROKERAGE CONTRACT OF REAL PROPERTY PURCHASEParty A (Seller): Sun Xiaoyan Party B (Buyer): Meng Leijie Party C (Agent): Beijing Henderson real estate Brokers Limited companyPursuant to Contract Law of the Peoples Republic of China and relevant regulations of laws and regulations, Party A and Party B entrust Party C to act as their agent for the sales between Party A and Party B and facilitate the conclusion of Beijing Municipality Brokerage Contract of Real Property Purchase between Party A and Party B in principle of voluntary, fairness and consensus. Through friendly negotiation, Party A, Party B and Party C hereby reached an agreement on completion of entrusted other service matters and concluded this contract. 1. Article 1 Property Location 1. The on-sale property of Party A is located at Rm.1908, 2nd Building, Furunyuan, Yihai Garden, Fengtai District, Beijing City, the construction area is 104.7 square meters. Remark: Property details please refer to Beijing municipality housing sale contract signed by Party A and Party B. 2. Housing property status: stock house secondary housing transfer stock house 2. Article 2 Confirmation of Party BParty B is willing to purchase above mentioned property of Article 1 , fulfil the obiligations of this contract and undertake the legal responsibility for breach obiligations of this contract. 3. Article 3 Entrusted matter and term of entrust Both parties agree to jointly appoint Party C as the housing transactions intermediary and handling the warrants transfer agent, term of entrust starts from conclusion date of this contract until Party B gained new house property certificate and Party A got full payment of the property. 4. Article 4 Housing sales price1. Party A and Party B agree that the sales price of the property be RMB (Amount in words)_ONE HUNDRED TWENTY THOUSAND YUAN ONLY ( RMB120,000.00), The price includes expenses of other affiliated facilities and equipments and decoration costs, not includes various taxes and fees when handle property ownership transfer registration procedures.2. Party A and Party B shall handle property ownership transfer registration procedures according to actual transaction price, and pay taxes in accordance with regulations of the state and Beijing municipality ( Taxes can be paid according to the agreement that otherwise agreed by both parties).5. Article 5 Agreement made by Party A, Party B and Party C on payment terms of sales or purchase contract 1. Party B make payment procedures according to the first form which listed below:(1) Self delivery, both parties of the seller and buyer fulfil the signed self-transfer statement on settlement funds of the stock house transaction. (2) By transfer through the special savings account on settlement funds of the stock house transaction, both parties of the seller and buyer fulfil the signed transfer agreement on settlement funds of the stock house transaction. 2. Party B shall make the payment in accordance with _the second form_ as follows:(1) Full payment in one time(2) Bank loans (business loan and public accumulation funds) The fitted loan amount is RMB_650,000 yuan_ ( If the actual bank approved loan amount less than above expected loan amount, then Party B shall make up the balance between the relevant expected loan amount and the actual loan amount after bank release of the batch loan notice. The amount of the initial payment shall be subject to the approval of the final approved loan bank.6. Article 6 Summary of housing sale entrust agreement 1. Term and mode of trust The term of trust of this agreement starts from_October 24, 2007_ to _November 30, 2007, during this period the trustee acted as Principals sole agent non exclusive trust service provider. Sole agent service : The principal only entrust it as the only trustee to undertake the sale of housing. Non exclusive trust service: The pricipal not only entrusted the trustee as the housing sales agent but also entrusted other real estate brokerage institutions or individuals to be the sales agent. 2. Service contentsThe principal entrusted the trustee to provide _the first, second, fourth and seventh_services ( can be multipal choices):(1) Provide consulting service of laws regulations, policies and market quotation related to the sales and purchase of the above property. (2) Seek buyer for the property.(3)Assit management of above mentioned property within the agreed period.(4)Assist and push the conclusion of housing sales and purchase contract between the principal and the buyer. (5)Handle taxes payment affairs on their behalf. (6) Handle mortgage and cancellation procedures of above property on their behalf.(7) Handle housing property ownership transfer registration procedures and transfer procedures of subsidiary facilities.(8) Handle property handover, subsidiary facilities and furniture equipments and so on. (9) Others (please specify)_7. Article 7 Summary of housing purchase entrust agreement1. Commitment affairs(1).The Principal entrusted the trustee to purchase the property located at _Yihan Garden, Fengtai District, Beijing City_, the entrust price range is about RMB 120,0000. The principals requirements to the property : Location at Fengtai District, Housing area about 100 square meters ; Housing built age about in 2000; Quality requirement_/_; Housing structure and type steel and concrete; Property service level and property fee range / ; The house has no claims, debts and disputes of right of use. (2).The principal entrusted the trustee to provide _the first, second, third, fourth,sixth and seventh_services ( can be multipal choices) :1. Provide consulting service of laws regulations, policies and market quotationrelated to purchase of property. 2. Seek for intention to buy housing. 3. Arrange property investigation and field inspection on the property which meet the principals requirements and basically recognized by the principle. 4. Assist and push the conclusion of housing sales and purchase contract between the principal and the seller. 5. Handle taxes payment affairs. 6. Handle purchase mortgage procedures of above property. 7. Handle housing property ownership transfer registration procedures and transfer procedures of subsidiary facilities.8. Assist in inspection and acceptance of the housing, subsidiary facilities and furniture equipments and so on. 9. Others (please specify)_2. Term and mode of trustThe term of trust of this agreement starts from_October 24, 2007_ to _November 30, 2007, during this period the trustee acted as Principals sole agent non exclusive trust service provider. Article 8 Details of service charge of Party CUnder the condition of stock housing form Under the condition of secondary housing transfer stock room form1. Under the condition of stock housing form(1) Agency service charge paid by Party A It should be paid by _/_% of the trading price; Total RMB_yuan, property transfer service fee totals RMB1500 yuan, the cost borne by Party A totals RMB_/_yuan. (2) Agency service charge paid by Party B It should be paid by _2.5_% of the trading price; Total RMB_30,000_yuan, property transfer service fee totals RMB1000 yuan, the cost borne by Party B totals RMB_31,000_yuan.(3) Party B agree to pay the service charge which should be borne by Party A: YES NO2. Under the condition of secondary housing transfer stock room form Agency fees of Party A has fully received (subject to receipt) Ledger number: Agency fees of Party B has fully received (subject to receipt) Ledger number: Agency fees of Party A hasnt fully received the owed amount is RMB_yuan. Agency fees of Party B hasnt fully received the owed amount is RMB_yuan. Above fees shall be paid at the signed date of this contract. If Party B takes the loan method to pay the housing fund, then it shall voluntarily bear the releted expense arised from loan, such as assessment fee, insurance premiun, guarantee fee of Provident fund loans and so on. 9. Article 9 Liability for breach of contract 1. If any party of Party A and Party B failed to fulfil the payment abligation according to the agreed period, the payer shall make a penalty of 3 to the payee on the overdue amount each day and continue to fulfil its original payment obligation. 2. If any party of Party A and Party B failed to fulfil the obligation in accordance with the notice date of Party C, the default party shall make a penalty of 3 to the observant party of the housing funds each day; if the default party cause the sales and purchase contract cant be fulfilled, it shall bear liabilities for breach of contract according to the sales and purchase contract. 3. If the sales and purchase contract cant be fulfilled due to breach liability of Party A or Party B, the default party shall pay the payable expenses to Party C according to the stipulations of Article 8 of this contract, and the expenses payable by observant party should also be beared by the default party, meanwhile above mentioned expenses shall be paid by the default party within three days after got the written notice of Party C. Furthermore, The occurred intermediary service fee and expenses arised from loan of observant aparty should also be beared by the default party. 10. Article 10 Settlement method of disputes Any disputes arised from fulfillment of this contract shall be negotiated by Party A, Party B and Party C, if negotiation fails, any Party can sue to the peoples court in the location of the trading house according to laws. This contract is in quadruplicate, Party A and Party B keeping one copy each, Party C keeping two copies. And it will come into force after signed by Party A and Party B and stamped by Party C.
