2025關(guān)于電子產(chǎn)品生產(chǎn)的合同**electronicsproductmanufacturingcontract**正文thismanufacturingcontractisconcludedon(the"date")byandbetween(hereinafterreferredtoas"partya")and(hereinafterreferredtoas"partyb")inaccordancewiththeprovisionsofthecivilcodeofthepeople'srepublicofchina.inconsiderationofthemutualcovenantsandpromisescontainedherein,partyaandpartybagreeasfollows:1.cooperationcontent1.1partyaherebyentrustspartybtoproduceelectronicproducts,includingbutnotlimitedto,hereinafterreferredtoas"theproducts"or"thegoods".1.2thetechnicalspecificationsandqualitystandardsoftheproductsshallbestrictlyinaccordancewiththetechnicalagreementattachedheretoandanysubsequentamendmentsandsupplementsagreeduponbybothparties.1.3theproductionquantityoftheproductsisunits,andtheproductionscheduleistobeconfirmedbybothpartiesinwriting.1.4partybshallusehigh-qualityrawmaterialsandcomponentsinproduction,incompliancewithrelevantnationallaws,regulations,andindustrystandards,andensurethattheproductsmeettheagreedqualityrequirements.2.paymentandpricing2.1theagreedunitpricefortheproductsis,withtotalamountbeing.thespecificpaymenttermsareasfollows:advancepayment:partyashallpay__%ofthetotalamount,i.e.,,withindaysfromthedateofthiscontract.finalpayment:theremaining__%ofthetotalamount,i.e.,,shallbepaidbypartyawithindaysuponreceiptoftheproductsandverificationoftheircompliancewiththeagreedstandards.2.2allpaymentsshallbemadeviabanktransfertotheaccountdesignatedbypartyb.partybshallissueavalue-addedtaxinvoicetopartyainaccordancewiththeregulations.3.qualityrequirements3.1theproductsmanufacturedbypartybmustmeetthefollowingqualitystandards:complywithnationalandindustrystandards.passtestingandinspectionbypartya'squalitycontroldepartmentorathird-partytestinginstitution.ensurethesafety,efficacy,andservicelifeoftheproductsundernormaluseconditions.3.2ifanyqualityissueisdiscoveredduringproductionorafterdelivery,partybshallberesponsibleforrepair,replacement,orreturnatnoadditionalcosttopartya.4.deliveryandlogistics4.1theproductsshallbedeliveredtothefollowingaddress:.deliverydateshallnotbelaterthan.4.2partybshallarrangeforlogisticsandbearallcostsassociatedwithtransportation.partybshallpurchasetransportationinsuranceforgoodsvaluedatover,ensuringthesafelyoftheproductsduringtransit.4.3uponarrivaloftheproducts,partyashallinspectthemwithinworkingdays.ifanydiscrepancyisfound,partyashallpromptlyinformpartybinwriting,andthetwopartiesshall協(xié)商resolutionwithindays.5.intellectualpropertyrights5.1allintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,know-how,etc.,relatedtotheproductsbelongtopartya.partybagreesnottoclaimanyintellectualpropertyrightsovertheproducts.5.2partybmustobtainwrittenconsentfrompartyabeforeusinganyintellectualpropertyofpartyainproduction,includingbutnotlimitedtotrademarks,patentedtechnologies,etc.5.3partybshallensurethattheproductionprocessdoesnotinfringeuponanythirdparty'sintellectualpropertyrights.anyinfringementliabilityarisingfromthisshallbebornebypartyb.6.confidentiality6.1anyinformation,data,ormaterialsrelatedtothiscontractobtainedbypartybduringtheperformanceofthecontractisconsideredconfidentialinformationofpartya.withoutwrittenconsentfrompartya,partybshallnotdisclosesuchinformationtoanythirdpartyoruseitforanyotherpurpose.6.2thisconfidentialityobligationshallcontinuetobebindingonpartybevenafterthecontractisterminatedorexpires.6.3incaseofanybreachofconfidentiality,partybshallbearliabilityfordamages.7.forcemajeure7.1ifeitherpartyisunabletoperformitsobligationsunderthiscontractduetoforcemajeureeventssuchasnaturaldisasters,wars,governmentactions,etc.,suchfailuretoperformshallbeexemptfromliability.7.2iftheforcemajeureeventcontinuesformorethan30days,eitherpartymayterminatethiscontractviawrittennotice.8.liabilityforbreachofcontract8.1incaseofanybreachofcontractbyeitherparty,thebreachingpartyshallcompensatethenon-breachingpartyforanyeconomiclossesandbeartheresponsibilityfordamages.8.2ifpartybfailstodelivertheproductsontime,partybshallpayapenaltyof%ofthetotalcontractvalueperday.8.3ifpartyafailstomaketimelypayment,partyashallpayapenaltyof%oftheunpaidamountperday.9.otherprovisions9.1thiscontractmustbeexecutedinaccordancewiththelawsandregulationsofthepeople'srepublicofchina.anydisputesarisingfromthiscontractshallberesolvedthroughfriendlynegotiations.ifnegotiationsfail,eitherpartymaybringthemattertothepeople'scourtattheplacewherepartybislocated.9.2anyamendmentsorsupplementstothiscontractmustbemadeinwritingandsignedbybothparties.9.3thiscontractshallenterintoforcefrom
