I.Recitals

WHEREAS,PartyAandPartyBdesiretoenterintoacontractualrelationshipforthepurposesetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

II.ScopeofServices

PartyAherebyengagesPartyBtoperformthefollowingservices:[Describeindetailtheservicestobeprovided,includingspecifictasks,deliverables,andtimelines].PartyBshallperformtheservicesinaprofessionalandtimelymanner,inaccordancewithallapplicablelaws,regulations,andindustrystandards.

III.Payment

IV.IntellectualPropertyRights

1.AllintellectualpropertyrightsarisingoutoforinconnectionwiththeservicesprovidedbyPartyBshallbeownedbyPartyA.PartyBshallassignandtransferallsuchrightstoPartyAuponrequest.

2.PartyBwarrantsthatithastherighttouseallmaterialsandinformationusedintheperformanceoftheservicesandthatsuchusedoesnotinfringetheintellectualpropertyrightsofanythirdparty.

V.Confidentiality

1.Eachpartyacknowledgesthatinthecourseoftheirrelationship,theymayhaveaccesstoconfidentialinformationoftheotherparty.Confidentialinformationincludesbutisnotlimitedtobusinessplans,customerlists,financialinformation,andtechnicaldata.

2.Thereceivingpartyshallkeeptheconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaw.

3.ThisconfidentialityobligationshallsurvivetheterminationofthisContractforaperiodof[numberofyears].

VI.TermandTermination

1.ThisContractshallcommenceon[startdate]andshallremaininforceuntil[enddate],unlessterminatedearlierinaccordancewiththeprovisionsherein.

2.EitherpartymayterminatethisContractupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisContractbytheotherparty.

3.Upontermination,PartyBshalldelivertoPartyAallworkinprogress,deliverables,andanyothermaterialsrelatedtotheservices.PartyAshallpayPartyBforallservicesrendereduptothedateofterminationinaccordancewiththepaymenttermsherein.

VII.Liability

1.EachpartyshallbeliableforanydamagescausedtotheotherpartyasaresultofitsbreachofthisContractoritsnegligentorwillfulactsoromissions.

2.Innoeventshalleitherpartybeliableforanyindirect,consequential,special,orpunitivedamages,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

VIII.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

IX.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

X.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbybothparties.

XI.Severability

IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,thevalidityandenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.
