Days]daysperyearMaternityLeave:[NumberofWeeks/Months]formaternityleavePaternityLeave:[NumberofWeeks/Months]forpaternityleave11.IntellectualPropertyRights11.1OwnershipofWorkProductAllworkproductcreatedtheEmployeeinthecourseoftheiremploymentshallbethepropertyoftheEmployer,unlessotherwiseagreeduponbothparties.11.2UseofEmployee’sWorkProductTheEmployershallhavetherighttouse,reproduce,modify,anddistributetheEmployee’sworkproductasnecessaryfortheEmployer'sbusiness.12.GeneralProvisions12.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].12.2DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[DisputeResolutionMechanism],whichmayincludemediation,arbitration,orlitigation,attheEmployer'sdiscretion.12.3AmendmentsandModificationsThisAgreementmayonlybeamendedormodifiedawrittenagreementexecutedbothparties.13.EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployee,andsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal.14.SignaturesThisAgreementshallbeexecutedintwocopies,eachpartyretainingone.Thefollowingsignaturesbelowshallbedeemedtohavebeenexecutedonthedatefirstabovewritten.[Employer'sName][Employer'sAuthorizedRepresentative'sName][Date][Employee'sName][Employee'sSignature][Date]第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"referstoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeeforthepurposeofprovidingservices,advice,orassistanceinrelationtotheemploymentrelationship.Thismayinclude,butisnotlimitedto,consultants,recruiters,legaladvisors,insuranceproviders,andtrainingorganizations.15.2AuthorizationofThirdPartyTheEmployerortheEmployeemayengageaThirdPartytoassistwiththeperformanceoftheirrespectiveobligationsunderthisAgreement.SuchengagementshallbeinwritingandshallincludeacleardescriptionoftheservicestobeprovidedandthescopeoftheThirdParty'sauthority.15.3ResponsibilitiesoftheEmployerandEmployeewithRespecttoThirdParty15.3.1Employer'sResponsibilitiesTheEmployershallprovidethenecessaryinformationandaccesstotheEmployeeandtheThirdPartytoenabletheThirdPartytoperformtheirduties.TheEmployershallberesponsiblefortheactsandomissionsoftheThirdPartyintheperformanceoftheirdutiesonbehalfoftheEmployer.15.3.2Employee'sResponsibilitiesTheEmployeeshallcooperatewiththeThirdPartyintheperformanceoftheirduties.TheEmployeeshallprovideanyinformationandassistancerequestedtheThirdPartytoenablethemtoperformtheirduties.16.AdditionalTermsandConditionsuponThirdPartyInvolvement16.1ChangestoCompensationandBenefits16.2AdditionalResponsibilitiesoftheEmployer16.3AdditionalResponsibilitiesoftheEmployee17.LimitationofLiabilityoftheThirdParty17.1ScopeofLiabilityTheliabilityoftheThirdPartyshallbelimitedtothescopeoftheirdutiesasdefinedintheengagementagreementbetweentheEmployerortheEmployeeandtheThirdParty.TheThirdPartyshallnotbeliableforanydamagesorclaimsarisingfromtheEmployee'sorEmployer'sactionsoromissions.17.2ExclusionofCertainLiabilitiesTheliabilityoftheThirdPartyshallbeexcludedforanydamagesorclaimsarisingfrom:NegligenceorwilfulmisconductoftheEmployeeorEmployer.AnyeventsorcircumstancesbeyondthecontroloftheThirdParty.AnychangestotheservicesorscopeofworkperformedtheThirdPartyasagreedupontheEmployerortheEmployee.18.ThirdParty'sRelationshipwiththeEmployerandEmployee18.1NoEmploymentRelationshipTheengagementofaThirdPartyshallnotcreateanemploymentrelationshipbetweentheThirdPartyandeithertheEmployerortheEmployee.18.2NoAgencyRelationshipTheengagementofaThirdPartyshallnotcreateanagencyrelationshipbetweentheThirdPartyandeithertheEmployerortheEmployee.18.3IndependenceoftheThirdPartyTheThirdPartyshallremainindependentandshallnotactasanagent,employee,orpartnerofeithertheEmployerortheEmployee.19.DisputeResolutionforThirdPartyInvolvement19.1DisputeResolutionMechanismAnydisputesarisingoutoforinconnectionwiththeinvolvementofaThirdPartyshallberesolvedthroughthedisputeresolutionmechanismsetforthinthisAgreement.19.2ThirdParty'sRoleinDisputeResolutionTheThirdPartyshallparticipateinthedisputeresolutionprocesstotheextentnecessarytoresolvethedispute,butshallnotbeboundanydecisionsmadetheEmployerortheEmployee.第三部分:其他補充性說明和解釋說明一:附件列表:1.EmploymentContractDetailedrequirements:Thisattachmentshallincludeallthetermsandconditionsoftheemploymentagreement,assetforthinthemainbodyofthecontract.Description:ThisistheprimarydocumentoutliningtherightsandobligationsofboththeEmployerandtheEmployee.2.ThirdPartyEngagementAgreementDescription:ThisagreementisnecessarywhenaThirdPartyisinvolvedintheemploymentrelationship.3.PerformanceReviewReportsDetailedrequirements:ThesereportsshalldocumenttheEmployee'sperformanceduringthetermofemployment,includingfeedbackandimprovementareas.Description:Thesereportsareusedforperformanceappraisalandtoidentifyareasfordevelopment.4.ConfidentialityandNondisclosureAgreementDetailedrequirements:Thisattachmentshalloutlinet
