c.ItwillprovideallnecessaryinformationandresourcesrequiredfortheServiceProvidertoperformtheserviceseffectively;

d.Itwillcomplywithallapplicablelaws,regulations,andstandardsintheuseoftheservices.

OBLIGATIONS:

1.TheServiceProvidershall:

a.PerformtheservicesasdescribedintheattachedScheduleofServices(AnnexA);

b.Providetheservicesinaprofessional,competent,anddiligentmanner;

c.MaintainconfidentialityofanyconfidentialinformationdisclosedbytheClientduringthecourseofthisContract;

d.NotifytheClientofanychangesordelaysintheperformanceoftheservices.

2.TheClientshall:

a.PaythefeesassetforthintheattachedFeeSchedule(AnnexB);

b.ProvidetheServiceProviderwithallnecessaryinformationandresourcesrequiredfortheperformanceoftheservices;

c.Complywithallapplicablelaws,regulations,andstandardsintheuseoftheservices;

d.NotifytheServiceProviderofanychangesordelaysintheClient'srequirements.

FEESANDPAYMENT:

1.ThefeesfortheservicesshallbeassetforthintheattachedFeeSchedule(AnnexB).

2.TheClientshallpaythefeestotheServiceProviderwithin[Number]daysoftheinvoicedate.

3.Intheeventoflatepayment,theClientshallpayinterestontheoverdueamountattherateof[Percentage]perannum.

TERMANDTERMINATION:

1.ThisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[Number]monthsunlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

DISPUTERESOLUTION:

LIABILITYANDLIMITATIONS:

a.Bereimbursedforanycostsincurredinprovidingsupportandresources;

LIABILITYANDLIMITATIONS:
