2025年度國際貿(mào)易融資保函合同英文規(guī)范本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALINTERNATIONALTRADEFINANCINGLETTEROFGUARANTEECONTRACTContractNo:___________Date:___________PartiestotheContract:TheBeneficiary:Name:___________Address:___________Country:___________TheGuarantor:Name:___________Address:___________Country:___________TheBank:Name:___________Address:___________Country:___________WHEREAS,1.TheBeneficiaryisengagedininternationaltradeandrequiresfinancingforthepurchaseofgoodsorservices.2.TheGuarantoragreestoprovidealetterofguarantee(hereinafterreferredtoasthe"Guarantee")tosecurethepaymentobligationsoftheBeneficiarytoitstradepartners.3.TheBankagreestoissuetheGuaranteeonbehalfoftheGuarantor.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:1.ScopeoftheGuaranteeTheGuaranteeshallsecurethepaymentobligationsoftheBeneficiarytoitstradepartnersarisingfrominternationaltradetransactionsduringtheperiodof___________(e.g.,2025calendaryear).2.TermsandConditionsoftheGuarantee2.1TheGuaranteeshallbeissuedintheformofadocumentaryletterofguaranteeandshallbegovernedtheUniformCustomsandPracticeforDocumentaryCredits,2007Revision(UCP600).2.2ThefaceamountoftheGuaranteeshallbe___________(e.g.,USD1,000,000).2.3TheGuaranteeshallremainineffectuntil___________(e.g.,December31,2025).2.4TheBeneficiaryshallprovidetheBankwithallnecessarydocumentationtosupporttheclaimundertheGuarantee.2.5TheBankshallhavetherighttodemandimmediaterepaymentoftheGuaranteeamountfromtheGuarantorupontheoccurrenceofanyofthefollowingevents:a.DefaulttheBeneficiaryintheperformanceofitspaymentobligations.b.BankruptcyorinsolvencyoftheBeneficiary.c.AnyothereventthattheBankdeemstobeabreachofthetermsandconditionsoftheGuarantee.3.FeesandCharges3.1TheGuarantorshallpaytotheBankanonrefundablefeeof___________(e.g.,USD5,000)uponissuanceoftheGuarantee.3.2TheBankshallchargetheGuarantoranannualfeeof___________(e.g.,USD1,000)forthemaintenanceoftheGuarantee.3.3TheBankshallhavetherighttoadjustthefeesandchargesatitssolediscretion.4.ConfidentialityThepartiesagreetokeepallinformationrelatedtothiscontractconfidentialandnottodiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.5.GoverningLawandJurisdictionThiscontractshallbegovernedandconstruedinaccordancewiththelawsof___________(e.g.,thelawsoftheUnitedStatesofAmerica).Anydisputesarisingoutoforinconnectionwiththiscontractshallbesubjecttotheexclusivejurisdictionofthecourtsof___________(e.g.,thecourtsofNewYork,USA).6.EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.7.AmendmentsAnyamendmenttothiscontractshallbebindingonlyifitisinwritingandsignedbothparties.8.WaiverThefailureofeitherpartytoenforceanyprovisionofthiscontractshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchpartytoenforcesuchprovision.9.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthiscontractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentalactions.EndofFirstPart第二部分：第三方介入后的修正1.IntroductiontoThirdPartyInvolvementForthepurposeofthiscontract,"ThirdParty"referstoanyentityorindividual,otherthantheBeneficiary,theGuarantor,andtheBank,thatisinvolvedintheissuance,administration,orexecutionoftheGuarantee.Thismayinclude,butisnotlimitedto,intermediaries,consultants,auditors,brokers,andanyotherpersonorentitythatprovidesservicesinconnectionwiththeGuarantee.2.RoleoftheThirdPartyTheThirdPartyshallperformthefollowingrolesandresponsibilities:b.ConsultingServices:IftheThirdPartyisaconsultant,itshallprovideadviceandexpertiseregardingthetermsandconditionsoftheGuarantee,aswellastheoverallstructureofthetransaction.d.BrokerageServices:IftheThirdPartyisabroker,itshallassistinthenegotiationandexecutionoftheGuaranteeandshallactasanagentfortheBeneficiaryindealingwiththeGuarantorandtheBank.3.LiabilityoftheThirdPartyTheliabilityoftheThirdPartyshallbelimitedtothescopeofitsservicesandresponsibilitiesassetforthinthiscontract.TheThirdPartyshallnotbeliableforanyactsoromissionsoftheBeneficiary,theGuarantor,ortheBank,norshallitberesponsibleforanylossordamagearisingfromtheissuance,administration,orexecutionoftheGuarantee.4.ResponsibilityLimitationTheresponsibilityoftheThirdPartyshallbelimitedtothefollowing:a.DirectDamages:TheThirdPartyshallbeliablefordirectdamagesresultingfromitsnegligenceorwillfulmisconductintheperformanceofitsdutiesunderthiscontract.b.ExclusionofIndirectDamages:TheThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththiscontract.c.CaponLiability:ThetotalliabilityoftheThirdPartyunderthiscontractshallnotexceedtheamountoffeespaidtheBeneficiarytotheThirdPartyforitsservices.5.IndemnificationTheBeneficiary,theGuarantor,andtheBankshallindemnifyandholdtheThirdPartyharmlessagainstanyclaims,actions,demands,liabilities,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththeGuarantee,excepttotheextentsuchclaimsarisefromthenegligenceorwillfulmisconductoftheThirdParty.6.ConfidentialityTheThirdPartyagreestokeepallinformationrelatedtothiscontractconfidentialandnottodiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparties.7.GoverningLawandJurisdictionThissectiononThirdPartyInvolvementshallbegovernedandconstruedinaccordancewiththelawsof___________(e.g.,thelawsoftheUnitedStatesofAmerica).Anydisputesarisingoutoforinconnectionwiththissectionshallbesubjecttotheexclusivejurisdictionofthecourtsof___________(e.g.,thecourtsofNewYork,USA).8.AmendmentsAnyamendmenttothissectiononThirdPartyInvolvementshallbebindingonlyifitisinwritingandsignedallpartiesinvolved.9.WaiverThefailureofanypartytoenforceanyprovisionofthissectionshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchpartytoenforcesuchprovision.10.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthissectionduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentalactions.11.ThirdPartyConsentTheinvolvementofanyThirdPartyintheissuance,administration,orexecutionoftheGuaranteeshallrequirethepriorwrittenconsentofallpartiestothiscontract.SuchconsentshallbedeemedtobegivenupontheexecutionofaseparateagreementbetweentheThirdPartyandtheotherparties.12.ThirdPartyAgreementTheThirdPartyshallenterintoaseparateagreementwiththeBeneficiary,theGuarantor,andtheBankthatsetsforththescopeofitsservices,responsibilities,andliabilityinconnectionwiththeGuarantee.Suchagreementshallbegovernedthesamegoverninglawandjurisdictionasthiscontract.13.DisputeResolutionAnydisputesarisingbetweentheThirdPartyandanyoftheotherpartiestothiscontractshallberesolvedinaccordancewiththedisputeresolutionprovisionsoftheseparateagreementbetweentheThirdPartyandtheotherparties.EndofSecondPart第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：1.LetterofGuarantee:TheoriginalletterofguaranteeissuedtheBankonbehalfoftheGuarantortotheBeneficiary.Itshallincludethefaceamount,expirationdate,andtermsandconditionsoftheguarantee.2.ApplicationforGuarantee:TheapplicationsubmittedtheBeneficiarytotheBankrequestingtheissuanceoftheGuarantee.ItshallincludedetailsofthetransactionforwhichtheGuaranteeisrequired.3.FinancialStatements:AuditedfinancialstatementsoftheBeneficiaryforthemostrecentfiscalyear.ThesestatementsshallbepreparedinaccordancewiththegenerallyacceptedaccountingprinciplesofthecountryoftheBeneficiary.4.TradeDocuments:AllrelevanttradedocumentsrelatedtothetransactionforwhichtheGuaranteeisrequired.Thismayinclude,butisnotlimitedto,invoices,billsoflading,andpackinglists.5.CreditReport:AcreditreportontheBeneficiaryfromareputablecreditreportingagency.ThereportshallincludetheBeneficiary'scredithistory,financialposition,andpaymentbehavior.6.Guarantor'sFinancialStatements:AuditedfinancialstatementsoftheGuarantorforthemostrecentfiscalyear.ThesestatementsshallbepreparedinaccordancewiththegenerallyacceptedaccountingprinciplesofthecountryoftheGuarantor.7.InsurancePolicy:AcopyoftheinsurancepolicycoveringthetransactionforwhichtheGuaranteeisrequired.Thepolicyshallincludethefaceamountandthetermsandconditionsofcoverage.9.AuthorizationLetter:AnauthorizationletterfromtheBeneficiary'sbankauthorizingthereleaseoffundsinaccordancewiththetermsoftheGuarantee.10.PaymentSchedule:AdetailedpaymentscheduleoutliningthetermsofpaymentforthetransactionforwhichtheGuaranteeisrequired.DetailedRequirementsandExplanationsforAttachments:TheLetterofGuaranteemustbeintheformprescribedtheBankandmustbesignedanauthorizedrepresentativeoftheBank.Tradedocumentsmustbeoriginalandmustbedatedandsignedthepartiesinvolvedinthetransaction.Thecreditreportmustbenomorethansixmonthsoldatthetimeofsubmission.Legalopinionsmustbeinwritingandmustbesignedaqualifiedattorney.ThepaymentschedulemustbeinwritingandmustbesignedanauthorizedrepresentativeoftheBeneficiary.說明二：違約行為及責(zé)任認(rèn)定：2.FailuretoProvideRequiredDocumentation:IftheBeneficiaryfailstoprovidetheBankwithallnecessarydocumentationtosupport
