Whereas,PartyBisengagedinthebusinessof[Seller'sBusinessDescription],andhasagreedtosupplytherequiredbookstoPartyA;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:

1.ScopeoftheContract

1.1ThesubjectmatterofthisContractisthesupplyofbooksbyPartyBtoPartyA.

1.2Thebookstobesuppliedshallbeofthefollowingdescription:[DetailedDescriptionofBookstobeSupplied].

1.3Thetotalquantityofbookstobesuppliedshallbe[TotalQuantityofBooks].

2.Delivery

2.1PartyBshalldeliverthebookstoPartyAat[DeliveryAddress]onorbefore[DeliveryDate].

2.2PartyBshallensurethatthebooksaredeliveredingoodconditionandfreefromanydefects.

2.3IfPartyBfailstodeliverthebooksontheagreeddate,itshallcompensatePartyAforanylossesincurred.

3.PriceandPayment

3.1Thepriceforthebooksshallbe[PriceperUnit]multipliedbythe[TotalQuantityofBooks],amountingto[TotalPrice].

3.2PartyAshallmakepaymenttoPartyBwithin[PaymentTerms],i.e.,[NumberofDays]daysfromthedateoftheinvoice.

4.QualityandWarranty

4.1PartyBwarrantsthatthebookssuppliedshallconformtothespecificationsanddescriptionscontainedinthisContract.

4.2IntheeventthatanybooksuppliedbyPartyBisfoundtobedefectiveornotinconformitywiththeContract,PartyAshallhavetherighttorejectthesaidbookandrequirePartyBtoreplaceitwithaconformingbook.

4.3PartyBshallbeliableforanylossesincurredbyPartyAduetothedefectivebookssupplied.

5.IntellectualPropertyRights

5.1PartyBshallretainallintellectualpropertyrightsinthebookssuppliedunderthisContract.

5.2PartyAshallnot,withoutthepriorwrittenconsentofPartyB,use,copy,reproduce,ordistributethebookssuppliedunderthisContract.

6.ForceMajeure

6.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtowar,naturaldisasters,fires,floods,oractsofGod.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledamicablythroughnegotiationsbetweentheparties.Intheeventthatthepartiesfailtoreachanamicableresolution,thedisputesshallbesubmittedtothecompetentcourtof[ApplicableJurisdiction]forarbitration.

8.EntireAgreement

6.3PartyCshallbeliableforanylossesincurredbyPartyAduetoitsfailuretoperformitsintermediaryduties.

7.PartyA'sRightsandInterests

7.1PartyAshallhavetherighttoterminatethisContractintheeventofanymaterialbreachbyPartyBorPartyC.

7.2PartyAshallhavetherighttorequestPartyCtoprovideadditionalguaranteesorsecuritytoensuretheperformanceofitsintermediaryduties.

7.3PartyAshallhavetherighttoreceiveregularupdatesfromPartyCregardingtheprogressofthetransactionandanyissuesthatmayarise.

8.PartyB'sandPartyC'sLimitationsandConsequencesofBreach

8.1IntheeventofPartyB'sbreachoftheContract,itshallcompensatePartyAforanylossesincurred,includingbutnotlimitedtothecostofobtainingsubstitutebooksandanylostprofits.

8.2IntheeventofPartyC'sbreachofitsintermediaryduties,itshallbeliableforanydamagessufferedbyPartyAduetoitsfailuretoperform.

8.3PartyBandPartyCagreetoholdPartyAharmlessfromanyclaimsoractionsarisingfromthetransaction,exceptforthosecausedbyPartyA'sownnegligenceorbreachoftheContract.

9.GoverningLawandDisputeResolution

9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].
