外籍專家聘用合同EMPLOYMENTCONTRACTOFFOREIGNEXPERT一、科技有限公司聘請德籍 WolfgangKrautter (外文姓名)為技術(shù)總監(jiān),護(hù)照號碼:______。雙方本著友好合作精神,自愿簽訂本合同并保證認(rèn)真履行合同中約定的各項(xiàng)義務(wù)。Article1TechnologyCo.,Ltd.agreestoemployWolfgangKrautter,whoisofGermannationalityandwhosepassportnumberis______,toserveasitsChiefTechnologyOfficer.Thetwoparties,inthespiritoffriendshipandcooperation,agreetoenterintothisContractandfulfilltheliabilitiesandobligationsagreedherein.二、 合同期共12個(gè)月,自2012年7月10日起至2013年7月10日止。受聘方的試用期為60天,在試用期內(nèi),聘方如發(fā)現(xiàn)受聘方健康狀況或?qū)I(yè)水平等不能勝任本聘用合同規(guī)定的工作任務(wù),有權(quán)解除合同,且無須向其支付任何違約金或補(bǔ)償。Article2ThetermofthisContractshallbe12months,fromJuly10,2012toJuly10,2013.TheprobationperiodforEmployeeis60days.Withintheprobationperiod,incaseEmployerfindsEmployeeincompetenttothetasksstipulatedhereinduetohishealthconditionorprofessionalcapability,EmployershallbeentitledtorescindthisContractwithoutobligationtogiveEmployeeanyliquidateddamagesorcompensation.三、受聘方的工作任務(wù) Article3TasksofEmployee1) 員工品質(zhì)觀念的提升和技術(shù)培訓(xùn)1)PromotingEmployee'sawarenessonqualityandtechnicaltraining;2) 品質(zhì)控管體系的建立,品質(zhì)的提升,達(dá)到德國標(biāo)準(zhǔn)EstablishingqualitycontrolsystemandenhancingthequalitytomeetGermanStandard;3) 精密附件和雙層冠的技術(shù)指導(dǎo)3)Technicalinstructionsonpreciseaccessoriesanddoubledentalcrowns;4) 過程技術(shù)難點(diǎn)的攻克 4)Overcomingthechallengeofprocesstechnology;5) 技術(shù)管理和技術(shù)仲裁 5)Technologymanagementandtechnologyarbitration;6)降低公司的重作率和過程返工返修率6)Loweringtheremakingrateandbackrepairrateforthecompany;7)優(yōu)化工藝流程,提高工作效率7)Improvingtheprocessflowandenhancingtheworkefficiency.四、受聘方的月薪為歐元4500元,月工作時(shí)數(shù)為187小時(shí)(不含用餐時(shí)間,以30天/月,8.5小時(shí)*5天*4周+2天*8.5小時(shí)),每小時(shí)工資為24歐元。(受聘方應(yīng)當(dāng)按照《中華人民共和國個(gè)人所得稅法》依法交納個(gè)人所得稅 )Article4ThemonthlysalaryforEmployeeis4500Euros.Themonthlyworkinghoursshallbe187hours(excludingthehoursformeals,30daysamonth,8.5hours*5days*4weeks+2days*8.5hours),andthewageforeachworkinghouris24Euros.EmployeeshallpaytheindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeople ’sRepublicofChina.五、受聘方每日工作時(shí)間為9小時(shí),用餐時(shí)間為每次半小時(shí),每周工作時(shí)間為五天,月工作時(shí)數(shù)為187小時(shí)。Article5Employeeshallwork9hoursaday,includinghalfanhourforthemeal.Employeeshallwork5daysaweekand187hoursamonth.六、聘方的義務(wù): Article6LiabilitiesofEmployer:1、向受聘方介紹中國有關(guān)法律、法規(guī)和聘方有關(guān)工作制度以及有關(guān)外國專家的管理規(guī)定。6.1shallintroducetoEmployeerelevantlawsandregulationsofChina,relevantworkingsystemsofEmployerandrelevantmanagementrequirementsonforeignexperts.2、對受聘方的工作進(jìn)行指導(dǎo)、檢查和評估。6.2shalldirect,inspectandassessEmployee ’swork.3、工作期間,免費(fèi)向受聘方提供吃住。若受聘方需在珠海租房,費(fèi)用自理。6.3ShallprovidefreeaccommodationandfoodtoEmployeeduringtheperiodinwhichEmployeeworksforEmployer.IncaseEmployeeneedstorentahouseinZhuhai,Employeeshallberesponsibleforfeesandexpendituresincurredtherefrom.4、配備合作共事人員。 6.4shallassignpartnerstoassistEmployee.5、每月15日支付受聘方上月的工作報(bào)酬,以人民幣支付,按工資發(fā)放日的匯率進(jìn)行結(jié)算。6.5shallpaythesalaryforthepreviousmonthonthe15thdayofeachmonthinRMBaccordingtotheexchangerateontheday.6、受聘方享受中國下列節(jié)日休假: 元旦、春節(jié)、國際勞動節(jié)、國慶節(jié)以及法律、法規(guī)規(guī)定的其他法定節(jié)假日。6.6shallenableEmployeetoenjoythefollowingChineseholidaysandfestivals:NewYear’sDay,TheSpringFestival,InternationalLaborDay,NationalDayandotherstatutoryholidaysandfestivalsstipulatedbyapplicablelawsandregulations.七、受聘方的義務(wù): Article7ObligationsofEmployee:1、遵守中國的法律、法規(guī),不干預(yù)中國的內(nèi)部事務(wù)。7.1shallabidebythelawsandregulationsofChinaandshallnotinterferewiththeinternalaffairsofChina.2、遵守聘方的工作制度和有關(guān)外國專家的管理規(guī)定,接受聘方的工作安排、業(yè)務(wù)指導(dǎo)、檢查和評估。未經(jīng)聘方同意 ,不得兼任與聘方無關(guān)的其他勞務(wù)。7.2shallabidebyEmployer ’sworkingsystemandrelevantmanagementrequirementsonforeignexperts;andshallacceptworkarrangement,operationdirection,inspectionandassessmentmadebyEmployer.WithoutconsentofEmployer,EmployeeshallnotengageinotherlaborserviceirrelevanttoEmployer.3、按期完成工作任務(wù),保證工作質(zhì)量。7.3shallcompletethetasksonscheduleandguaranteetheworkquality.4、尊重中國的宗教政策。不從事與專家身份不符的活動。7.4shallrespectChina’spoliciesonreligion;shallnotconductanyactivityincompatiblewiththestatusofaforeignexpert.5、尊重中國人民的道德規(guī)范和風(fēng)俗習(xí)慣。7.5shallrespecttheChinesepeople ’smoralstandardsandcustoms.八、合同的變更、解除和終止:Article8Change,RescissionandTerminationoftheContract:1、雙方應(yīng)信守合同,未經(jīng)雙方一致同意,任何一方不得擅自更改、解除和終止合同。8.1ThetwopartiesheretoshallcomplywiththisContractand,withoutthepriorconsensusbetweenthetwo,neitherpartymayalter,rescindorterminatethisContract.2、經(jīng)當(dāng)事人雙方協(xié)商同意后,可以變更、解除和終止合同。在未達(dá)成一致意見前,仍應(yīng)當(dāng)嚴(yán)格履行合同。8.2Uponmutualagreementbetweenthetwopartiesthroughconsultation,thisContractmaybechanged,rescindedorterminated.Withoutmutualconsensus,thetwopartiesshallstrictlycomplywiththisContract.3、聘方在下述條件下,有權(quán)以書面形式通知受聘方解除合同:8.3EmployershallhavetherighttonotifyEmployeeinwrittentorescindthisContractincaseofanyofthefollowingsituations:(1)受聘方不履行合同或者履行合同義務(wù)不符合約定條件,經(jīng)聘方指出后仍不改正的;a.EmployeefailstoexecutethisContractorfailstofulfillanyobligationsunderthisContractincompliancewiththeagreedmanner,andEmployeetakesnocorrectiveactionafterEmployeradvisesEmployeeofthecase;(2)根據(jù)醫(yī)生診斷,受聘方在病假連續(xù) 30天后不能恢復(fù)正常工作的;b.accordingtothediagnoseofcertaindoctors,Employeefailstoreturntoworkafter30daysickleave;(3)受聘方嚴(yán)重違反聘方的工作制度的;c.EmployeemateriallybreachestheworkingregulationsofEmployer;(4)受聘方提供的個(gè)人信息與事實(shí)不符的;d.ThepersonalinformationprovidedbyEmployeeisproveduntrue;(5)受聘方嚴(yán)重瀆職,給聘方造成損失的;e.EmployeecausesdamagessorlossestoEmployerduetoEmployee'sgrossmisconduct;(6)受聘方違反中國法律、法規(guī)的。f.EmployeeviolatesanylaworregulationsofChina.聘方在上述條件下提出解除合同的,無須向受聘方支付任何違約金或經(jīng)濟(jì)補(bǔ)償。IncaseEmployerproposestorescindthisContractonthegroundofanyoftheabovesituations,EmployershallhavenoobligationtopayanyliquidateddamagesoreconomiccompensationtoEmployee.4、受聘方在下述情況下,有權(quán)以書面形式通知聘方解除合同:8.4EmployeeshallhavetherighttogiveawrittennoticetoEmployertorescindthisContractincaseofanyofthefollowingsituations:聘方未按合同約定提供受聘方必要的工作和生活條件;a.EmployerfailstoprovidenecessaryworkingandlivingconditionsspecifiedhereintoEmployee;聘方未按時(shí)支付受聘方報(bào)酬。b.EmployerfailstopaythecompensationtoEmployeeinfullontime.5、雙方均不得無故提前終止合同。受聘方如無故提前終止合同,必須在提前一個(gè)月向聘方提出書面申請,未經(jīng)聘方書面同意,受聘方仍應(yīng)照常進(jìn)行工作。聘方書面同意的,則自同意之日起的兩周后,停發(fā)工資,并停止提供受聘方有關(guān)生活待遇,回國的一切費(fèi)用自理。8.5NeitherpartymayterminatethisContractwithoutproperreason.IncaseEmployeeterminatesthisContractwithoutproperreason,EmployeeshallapplyforterminationofthisContractinwrittenatEmployeronemonthinadvance.WithoutEmployer’swrittenconsent,EmployeeshallcontinuetoworkforEmployerasusual.IncaseEmployeragreesonthetermination,Employerwill,twoweeksaftertheconsentgranted,ceasetopayanysalarytoEmployeeandceasetoofferanybenefitsfordailylifetoEmployee.Employeeshallbesolelyresponsibleforanyandallcostsandexpendituresonleavingforhisowncountry.九、違約金:Article9LiquidatedDamages當(dāng)事人一方不履行合同或者履行合同義務(wù)不符合約定條件,即違反合同時(shí),應(yīng)當(dāng)向另一方支付5002000美元(或相當(dāng)數(shù)額的人民幣)的違約金。IncaseapartyfailstoperformthisContractorfailstofulfillanyobligationsunderthisContractincompliancewithagreedmanner,itshallbedeemedthatthepartybreachesthisContractandthepartyshallpayaliquidateddamagestotheotheratanamountofUSD5002000(orinRMBatcorrespondingamount).受聘方因不可抗力事件要求解除合同,需出具有關(guān)機(jī)構(gòu)證明,經(jīng)聘方同意后,離華的費(fèi)用自理;受聘方若無故解除合同,除離華費(fèi)用自理外.還應(yīng)當(dāng)向聘方支付違約金。IncaseofanyforcemajeureeventandEmployeerequeststoterminatethisContract,Employeeshallprovideacertificateissuedbyrelevantauthority.UponEmployer ’sconsent,EmployeemayterminatethisContractandshallbesolelyresponsibleforcostsandexpendituresonleavingChina.IncaseEmployeeterminatesthisContractwithoutproperreason,EmployeeshallbesolelyresponsibleforcostsandexpendituresonleavingChinaandalsopayaliquidateddamagestoEmployer.聘方因不可抗力事件要求解除合同,經(jīng)受聘方同意后,離華費(fèi)用由聘方負(fù)擔(dān);聘方若無故解除合同,除負(fù)擔(dān)受聘方離華費(fèi)用外,還應(yīng)當(dāng)向受聘方支付違約金。IncaseofanyforcemajeureeventandEmployerrequeststoterminatethisContract,EmployermayterminatethisContractuponEmployee ’sconsentandshallberesponsibleforcostsandexpendituresonleavingChinabyEmployee.IncaseEmployerterminatesthisContractwithoutproperreason,Employershall,inadditiontothecostsandexpendituresonleavingChinaincurredbyEmployee,payaliquidateddamagestoEmployee.十、本合同附件為合同不可分割的部分,與合同具有同等效力。Article10.AnyandallattachmentsheretoshallbeinalienablepartofthisContractandshallhavethesameeffectwiththisContract.十一、本合同自雙方簽字之日起生效。合同期滿,當(dāng)事人任何一方要求延長聘用合同,必須在本合同期滿30天前向另一方書面提出,經(jīng)雙方協(xié)商同意后簽訂新合同。雙方均未提出延長聘期或一方不同意延長聘期時(shí),本合同期滿即失效。Article11ThisContractshallcomeintoforceassoonasitissignedbybothparties.UponexpirydateofthisContract,incaseeitherpartyintendstoextendthisContract,thepartyshall,30dayspriortoexpirydateofthisContract,notifytheotherofhisintentioninwrittenandanewemploymentcontractmaybeenteredintobyandbetweenthetwopartiesthroughconsultation.IncaseneitherpartynotifiestheotherofintentionofextensionoreitherpartydisagreestoextendthisContract,thisContractshallau
