1、PAGE PAGE 19咨詢服務合同Consultation Service Contract甲方:南寧東亞糖業(yè)集團有限公司(Party A: Nanning East Asia Sugar Group Co., Ltd.)乙方:南寧至哲企業(yè)管理顧問有限公司(Party B: Nanning Zhizhe Qiye Guanli Guwen Co., Ltd.)根據(jù)中華人民共和國合同法的規(guī)定,甲、乙雙方本著互惠互利,真誠合作的原則,決定就共同完成甲方管理咨詢項目簽訂本合同。In accordance withThe Contract Law of the Peoples Republic of

2、 China, and on the principle of equality and mutual benefit and through a sincere cooperation, the two Partiesagree to co-work inParty As management consultation project as follows:1、合同標的Bid forthe Contract1.1 服務項目Service Items乙方及其合作伙伴深圳市東方大成管理咨詢有限公司共同為甲方提供管理改善咨詢和培訓服務。Party B and its business partne

3、r Shenzhen Oriental Wisdom Consultation Co., Ltd. commit to provide Party A with management improvement consultation and training service. 1.2服務內(nèi)容Contents of Service乙方指導甲方進行管理系統(tǒng)完善,建立現(xiàn)代企業(yè)人力資源管理體系,從事管理規(guī)范化、員工職業(yè)化、管理人員能力素質(zhì)提升等方面的咨詢或培訓。服務內(nèi)容包括:Party B will assistParty A inthis management improvement project

4、based on building a modern human resource management system, bringing its business administrationinto astandardized operation, developing a vocational education and, advancing its managers competenciesthrough training. 12、 project solutions, and satisfaction level survey, etc.11直線經(jīng)理人力資源管理培訓Training line managers for HRM 各級管理人員人力資源管理課程培訓(12天)Provide a 12-day training for line managers1.3服務目標:Targets of Service通過管理改善項目的實施,完善甲方的人力資源管理體系,實現(xiàn)管理規(guī)范化、員工職業(yè)化、管理人員能力素質(zhì)的提升,有利于戰(zhàn)略發(fā)展目標的達成。This management improvement consultation aims

13、 to assistParty A inimprovingitsexisting human resource management system, reaching a standardized operation, developing a team ofvocationalizedemployees, advancing competencies of themanagers, ultimately achieve its strategic development goals.1.4服務范圍:Scope of Service南寧東亞糖業(yè)集團有限公司。For and within Nan

14、ning East Asia Sugar Group Co. Ltd.only2、履行期限Term of performance雙方?jīng)Q定乙方顧問入駐日期為2005年4月 6 日,預計項目完成時間為4個月。咨詢項目自乙方顧問入駐甲方開始至項目完成經(jīng)甲方驗收合格止。The two Parties agree to start up this project since 6 May, 2005, andits expected that it will last four months until the project solutions are checked and accepted byPa

15、rty A.3、雙方責任Responsibilities of Each Party3.1 甲方責任Responsibilities of Party A3.1.1 甲方應高度重視公司管理改善項目的實施,對乙方的工作提供支持,負責協(xié)調(diào)內(nèi)部各部門及各工廠的關系,調(diào)動相關的資源,提供相關數(shù)據(jù)資料及方案文字處理等工作。被雙方認可的工作或方案,在甲方組織中的貫徹、推動,由甲方負責。Party A should take special emphasis on this management improvement project, and offer Party B all necessary ass

16、istance in coordinating cross-section relations, deploying relatedresources and, providing relevant data information and word processing service. Project solutions that have been approved by the two parties shall be promoted and implemented by Party A. 3.1.2 甲方負責與該項目有關的第三方進行協(xié)調(diào),以保證項目的順利進行。Party A sha

17、ll be responsible for coordinating with the third party relating to this project so as to ensureit inright progress.3.1.3 甲方應按合同要求支付咨詢費用。Party A should pay Party B consultation charge in accordance with the provisions of the contract.3.1.4 甲方向乙方顧問提供在甲方工作時必要的辦公條件(如辦公室、市話),并為乙方顧問提供簡便的午餐。Party A should

18、 assist Party Bs consultants in providing fundamentalfacilities such as office and telephone and staff meal (lunch) as well.3.1.5 甲方應確保項目運作期間組織人員的穩(wěn)定。Party A should assure a stable coordination team during the project in progress.3.1.6 乙方提交的階段性方案甲方應在5個工作日內(nèi)予以回復,最終方案應在10個工作日內(nèi)回復;如甲方在5個工作日后未予階段性方案明確答復,乙方

19、將視為甲方默許,可以開展下一階段的工作;如甲方在10個工作日內(nèi)未予最終方案明確回復,乙方將視為甲方接受。Party A should respond in time to Party B onits solutions submitted, say, offering their opinions about the phase solutions within five working days, and about the final solutions within ten working days. Should Party A be unable to give a feedback

20、 on the phase solutions within five working days, Party B will take it acquiesced by Party A and will continue the work of next phase. Should Party A be unable to give a feedback on the final solutions within tem working days, Party B will take it accepted by Party.3.2 乙方責任Responsibilities of Party

21、B3.2.1 乙方應按合同第1.2條規(guī)定的內(nèi)容為甲方提供咨詢服務。Providing consultation service in accordance with the provisions of Article 1.2.3.2.2 乙方負責咨詢計劃的制定、方法的傳授、工具的提供及方案設計。Responsible for establishing aconsultation plan, tutoring Party Aadvanced management means and tools, and designing the project solutions. 3.2.3 乙方應按照合同

22、規(guī)定的時間、進度保質(zhì)保量完成工作。Fulfilling the specific tasks and on schedule andin good quality and quantity.3.2.4 乙方應確保項目組的穩(wěn)定性,保證進場顧問的專業(yè)水平。Insuring a stable consulting team as well the professional level of its consultants.3.2.5 乙方應盡力協(xié)助甲方與項目有關的第三方進行協(xié)調(diào)。Assisting Party A in coordinating with the third party releva

23、nt to this project.3.2.6 負責對甲方相關管理人員的培訓,使甲方人員具備管理體系運作能力。Responsible for training the managers of Party A so that they can be capable of running this new management system.3.2.7 乙方完成工作后,應向甲方提供不少于一套的文字材料和電子文檔。乙方提供的服務成果應盡可能做到通俗易懂。Providing Party A with at least a set of consultation documents both in w

24、ritten and electronic form when the whole project is done. Trying to makethe solutions simple, understandable and feasible. 4、文件的傳達Delivering of documents4.1 在本合同執(zhí)行期內(nèi)(含跟蹤服務期),甲方與乙方之間所有的正式通知及文件均采用書面形式傳達給對方。Within the validity of the contract (the service period included), all the formal notices and f

25、iles to and from the two parties shall be deliveredin written paper.5、工作的開展The operation of consulting project 5.1項目正式啟動后,甲方和乙方共同組建一個咨詢項目委員會,由雙方的高層管理人士負責。When the project is start up, Party A and Party B shall jointly establish a Consultation Committee consisting of the top managers of the two parti

26、es. 5.2 為確保咨詢服務的質(zhì)量和進度,乙方委托深圳市東方大成管理咨詢有限公司作為合作伙伴,共同組成咨詢項目小組開展對甲方的咨詢服務工作。小組成員構(gòu)成如下:乙方項目經(jīng)理1人(彭榮模先生),管理顧問1-2人(陳耀忠先生、黃道銀先生)。乙方在經(jīng)過甲方同意,確保項目經(jīng)理不變的情況下可增加、調(diào)配顧問組成員。To guarantee the quality and progress of the consultation project, Party B consigns Shenzhen Oriental Wisdom Management Consultation Co., Ltd. as it

27、s business partner. They will jointly set up a consulting team to serve for Party B. The team members consist of one project manager (Peng Rong Mo, Mr.) and two or three consultants(Chen Yao Zhong, Mr.; Huang Dao Yin, Mr.). With the agreeing of Party A, Party B can increase or adjust consultants.5.3

28、甲方有權對乙方配備的服務咨詢?nèi)藛T提出建議,并可要求乙方更換咨詢?nèi)藛T。Party A has the right to give suggestions to Party B consultants, and to ask Party B to replace its consultants.5.4甲方應按照乙方的提議成立項目配合小組,負責聯(lián)系及協(xié)調(diào)工作,配合項目執(zhí)行。Party A will set up a coordination team as per Party Bs suggestion to work in contact and cooperation between the t

29、wo parties and within Party As departments and factories, and be responsible for bringing the project solutions into effect. 5.5甲方管理層應該提供的相關信息,安排管理人員及員工與咨詢顧問相互合作、共同遵照咨詢服務項目管理程序。乙方將全程培訓甲方相關員工,做到知識轉(zhuǎn)移。The managers of Party A should provide Party B with relevant data information and ask its management s

30、taffsand employees to cooperate with Party B consultants so that they can jointly abide by the specified consultation management processes. Party B shall offer the relevant employees of Party A a series of training courses. 6、乙方的承諾Commitment of Party B6.1乙方保證為甲方培訓出能熟練實施運作該項目所設計的實施方案的管理干部。Assuring to

31、 help Party A training the designated managers to be capable of using the project solutions. 6.2乙方保證對甲方的經(jīng)營管理資料進行保密。Keeping Party As business data information a secret. 7、后續(xù)服務Succeeding service咨詢服務基礎工作完成后半年內(nèi),乙方的管理顧問根據(jù)甲方項目推行的需要定期到甲方解決相關問題,進行免費跟蹤服務,平時以電話、電郵形式交流。Within six months since the fundamental c

32、onsultation work has been fulfilled, Party B consultants willperiodically visit Party A and resolve problems relating to the implementation of the project. This service will depend upon the factual necessity and be free of charge. The consultants will also communicate with the designated people of P

33、arty A by telephone or email.8、其它責任Other responsibilities8.1 甲方任何人員不得以任何方式向與本合同無關的第三方泄露乙方為甲方服務的收費情況。為此,甲方須于內(nèi)部控制收費知情范圍。Any person fromParty A is not allowed to release the information on consultation charge to any irrelevant third Party in any way. Thereby Party A should control the information from

34、inside.8.2 乙方任何人員不得以任何方式向任何第三方泄露甲方的商業(yè)機密。甲方的經(jīng)營情況不允許在乙方項目組以外傳播。Any person from Party B is not allowed to leak Party As business secrets to any third Party in any way. Party As business information and documents are not permitted to spread outside the consulting team of Party B.8.3 甲方對乙方完成服務工作后交付的服務成果(

35、含建議書、方案及其相關文字資料等)有所有權,并對后繼改進的成果有所有權。Party A holds ownership over the consultation results submitted by Party B (incl. proposal,solutions, and any relevant written documents, etc.), and over the succeeding improved results as well.9、工作成果的確認與驗收Approval and acceptance of the solutions9.1由甲方與乙方共同成立的咨詢項目

36、委員會負責驗收,咨詢項目小組與項目配合小組協(xié)助驗收;The Consultation Committee will be responsible for approving the project solutions, with the help of the Party Bs consulting team and Party As coordinating team.9.2 驗收標準由甲方與乙方共同商定(滿足甲方的需求)。The approval and acceptance criteria will be decided by the two parties through consu

37、ltation, satisfying Party As requirements.10、咨詢費用及付款方式Consultation charges and Payment10.1 甲方支付乙方的工作咨詢服務費為人民幣壹佰貳拾捌萬伍仟元整(RMB1,285,000);Party A shall pay to Party B a total consultation service charge of RMB 1,285,000.00.10.2在項目服務實施過程中,如出現(xiàn)超出或少于本合同第1.2款規(guī)定的內(nèi)容,則服務費用將作相應的增加或減少調(diào)整;During the period of consu

38、ltation service, if the provided contents of service in Article 1.2 are increased or reduced, then the payment will be also increased or reduced accordingly.10.3 全部咨詢費用分三期支付:Payment for the consultation service shall be made by three times: (1)2005年4月12日前甲方向乙方支付總咨詢費用的35%,即人民幣肆拾肆萬玖仟柒佰伍拾元整(RMB449,750)

39、;Party A should pay to Party B 35% (RMB449,750) of the total consultation charge before 12 May, 2005. (2)在乙方完成了工作標準設計與培訓、職業(yè)規(guī)范手冊及輔導、績效管理體系設計、薪酬福利體系設計、全面激勵體系設計與培訓體系設計,并經(jīng)甲方審批后支付總咨詢費用的40%,即人民幣伍拾伍萬肆仟元整(RMB514,000)AfterParty B has completed the following five items of job (i.e. job standards design and re

40、levant training, vocational behaviors criteria design and vocational training, and the designing of performance management system, pay and benefits system, comprehensive motivation system and training system) which are approved by Party A, then Party A should pay to Party B another 40% (RMB514,000)

41、of the total consultation charge.(3)在項目結(jié)束審批后的三天內(nèi)支付總咨詢費用的25%,即人民幣叁拾貳萬壹仟貳佰伍拾元整(RMB321,250);Within three days sincethe solutions have been approved,Party A should pay to Party B another25% (RMB321,250) of the total consultation charge.11、合同的終止與解除Termination and rescission of Contract11.1本合同至雙方責任義務履行完畢后

42、終止。The contract will be terminated when the two parties have fulfilled their respective responsibilities and obligations. 11.2乙方的階段性工作成果如多次不能得到咨詢項目委員會的認可,甲方可單獨解除合同。Party A may unilaterally rescind the contract providedthat Party Bs phase results couldnt be approved by the Consultation Committee.11.3

43、甲方如逾期十天未支付服務費,乙方可單方終止合同。Party B may unilaterally rescind the contract providedParty A fails to pay toParty B exceeding the time limit of ten days.12、違約責任Liability for Breach12.1 合同雙方在合同期內(nèi)如無法定的或本合同約定的情形不得解除合同,任何一方單方終止合同應向?qū)Ψ饺嗣駧盼槿f元(RMB 50,000)作為違約金。No party shall rescind the contract during its validity unless the legal or p
