1、if you want to wear a crown, you must bear its weight.同學(xué)互助一起進(jìn)步（word文檔/a4打印/可編輯/頁眉可刪）模具開發(fā)協(xié)議（中英文） 模具開發(fā)協(xié)議molddevelopingagreement合同號/contractno.甲方：(hereinafter“partya”)乙方：(hereinafter“partyb”)individuallycalledpartyaandpartybrespectivelyand/orthe“party”andtogether,calledthe“parties”.經(jīng)過友好協(xié)商和在公平、平等的原則基礎(chǔ)上，

2、雙方約定如下：afterfriendlyconsultationsandproceedingonprinciplesoffairnessandequality,thepartieshaveagreedthefollowing:一、模具內(nèi)容(包括材料)/moldinfo.(includingmaterials)二、模具價格表/moldpricelist產(chǎn)品型號partno.模具規(guī)格molddescription計量單位unit數(shù)量quantity單價（人民幣）unitprice(rmb)總價（人民幣）totalprice(rmb)(以上價格已含17%的增值稅，且包含模具送到的運費。)(theab

3、ovepricesincludevat17%andthemolddeliveryto.)三、模具開發(fā)周期及要求/workdayrequirement1)模具的開發(fā)周期/moldworkday首件樣件完成時間/timeoffinishingfirstproductofmold：從接到訂單到首件樣品完成需要天/daysfrombuildingtimearo(afterreceiptoforder)tofirstpom(productofmold)samplepour;開發(fā)時間/developmenttime:從首件樣品到整個樣件提交需要天/daysfromfirstsamplepourtosamp

4、lesubmission.2)模具驗收/moldinspection:模具必須符合甲方的技術(shù)要求。theproductshallcompletelyfitthetechnicalrequirements.3)由于模具的開發(fā)周期和質(zhì)量問題造成甲方項目延期,乙方將賠償甲方的一切損失。ifpartyasprojectdelayedduetotheworkdayandthequalityofthemold,partybshouldcompensatepartyaforallthelosses.四、模具的維護(hù)/moldmaintenance正常使用壽命內(nèi)的模具在生產(chǎn)過程中發(fā)生的損壞或磨損,相關(guān)的維修及保

5、養(yǎng)等都由乙方負(fù)責(zé)。ifthemoldiswithinthenormalworkinglifebutdamagedorwornduringtheproductionprocess,partybshouldberesponsiblefortherelatedrepairandmaintenance.五、模具費用的支付/paymentterms在鑄件得到最終用戶的確認(rèn)及甲方收到最終用戶模具費用后30天內(nèi)支付。partyawillfullypaytopartybwithin30daysaftercastingapprovalbyfinalcustomer,andreceiptoftoolingpaym

6、entbypartya.六、模具所有權(quán)/ownership模具的所有權(quán)為甲方所有,甲方享有收回和處理的權(quán)利。moldsownershipbelongstopartya.partyaenjoystherighttotakingbackanddealingwiththemold.七、保密責(zé)任/confidentiality1)未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書面、出示和借用的方式轉(zhuǎn)泄露給第三方。如有發(fā)生信息泄露,甲方有權(quán)追究其法律責(zé)任。withoutthepermissionofpartya,partybshouldnotdisclosethedrawingsandtec

7、hnicalinformationwhichareprovidedbypartyainoral,written,showingandlendingwaytothethirdparty.ifpartybrevealedsuchinformation,partyahastherighttopursuepartybslegalresponsibility.2)當(dāng)雙方履行完該協(xié)議后，乙方必須歸還甲方所提供的用于開發(fā)該模具的所有保密信息及其全部副本(不論其是否是在計算機磁盤、光盤讀取器、光盤、硬盤或軟件中或硬拷貝載體上存儲、保存或記錄的);如果乙方退還上述保密信息及其全部副本為不可行，則應(yīng)將其銷毀，或者

8、從計算機或其他電子系統(tǒng)中將其刪除或抹除。afterthepartiesfulfilltheagreement,partybshouldreturntopartyaallconfidentialinformationandallcopiesofdevelopingthemouldthereofwhetherornotthesamearestored,maintainedorrecordedincomputerdisks,cd-romdrives,cd-roms,harddisksorsoftwareorinhardcopyformatand,tothee_tentthatitisnotfeasi

9、bletoreturnthesame,shalldestroysuchconfidentialinformationorcausethesametobedeletedorerasedfromanycomputerorotherelectronicsystem.八、其他約定/others1)本協(xié)議受中華人民共和國的法律法規(guī)管轄，并應(yīng)依照中華人民共和國的法律法規(guī)解釋。theagreementshallbegovernedby,andinterpretedinaccordancewith,thelawsandregulationsofthepeoplesrepublicofchina.2)除非雙方采

10、用書面形式，否則對本協(xié)議的任何修正均屬無效。anyamendmentstothisagreementshallnotbevalidunlessmadebythepartiesinwriting.3)本協(xié)議一式兩份，每份皆具有同等法律效力。thisagreementismadeintwooriginalcopies,bothofwhichareequallyvalid.4)本協(xié)議在雙方簽訂本協(xié)議之日立即生效。thisagreementshalltakeeffectimmediatelyuponthedateofe_ecutionbytheparties.5)凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭執(zhí)

11、，都應(yīng)通過友好協(xié)商解決。如果在書面要求協(xié)商的通知發(fā)出后的三十(30)天內(nèi)不能解決，則該爭執(zhí)應(yīng)提交乙方所在地有管轄權(quán)的法院進(jìn)行裁決。allthedisputesandcontroversiesofeverykindandnaturebetweenthepartiesarisingoutoforinconnectionwiththeagreementorthee_ecutionhereofshallbesettledbyfriendlynegotiationbetweentheparties.ifnosettlementcanbereachedwithinthirty(30)daysafterdeliveryofthewrittennoticerequestingthesaidnegotiation,suchdisputeorcontroversyshallbesubmittedacompetentcourtlocatedinthebusinessplaceofpartyaforjudgment.6)當(dāng)本協(xié)議中文文本與英文文本發(fā)生歧義時，應(yīng)以中文文本為準(zhǔn)。thechinesevers
