2025商務(wù)英語合同常用特殊用語2025BusinessEnglishContractSpecialTerminologies-this-contract-ThisContract(hereinafterreferredtoasthe"Contract"or"Agreement")isenteredintoasof(the"EffectiveDate")byandbetween(hereinafterreferredtoas"PartyA"or"甲方")and(hereinafterreferredtoas"PartyB"or"乙方"),collectivelyreferredtoasthe"Parties".ThePartiesagreeasfollows:Recitals鑒于PartyA,beinginterestedinproviding(hereinafterreferredtoasthe"Services")toPartyB,andPartyB,beingdesirousofavailingthesaidServicesfromPartyA,haveagreedtoenterintothisContracttogovernthetermsandconditionsoftheprovisionandreceiptoftheServices.DefinitionsandInterpretations定義與解釋ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsassignedtothem:"Services"shallmeantheproductsoractivitiestobeprovidedbyPartyAtoPartyBasdetailedinExhibitA,whichformsanintegralpartofthisContract."PaymentTerms"shallrefertotheconditionsunderwhichPartyBisobligatedtoremitpaymenttoPartyA,asoutlinedinSection4hereof."ConfidentialInformation"shallincludeanyandallproprietaryorsensitiveinformationdisclosedbyonePartytotheother,whetherorally,inwriting,orotherwise,inconnectionwiththisContract."Termination"shallrefertothecancellationofthisContractinaccordancewiththeprovisionssetforthinSection7hereof."Indemnification"shallrefertothecompensationorprotectionprovidedbyonePartytotheotheragainstlosses,damages,orclaimsarisingoutoftheperformanceorbreachofthisContract.EachPartyacknowledgesthatthedefinitionsprovidedhereinareessentialtotheunderstandingandexecutionofthisContractandshallbeconstruedinamannerthatreflectsthemutualintentoftheParties.ScopeofServices服務(wù)范圍PartyAagreestoprovidetheServicestoPartyBinaccordancewiththespecificationsoutlinedinExhibitAattachedhereto.PartyBagreestoacceptandutilizetheServicesincompliancewiththetermsandconditionsstipulatedherein.PartyAshallensurethattheServicesaredeliveredwithduecare,professionalism,andinatimelymanner,inaccordancewithindustrystandards.PartyBacknowledgesthatcertainaspectsoftheServicesmayrequiretheircooperation,participation,orprovisionofresources,asdetailedinExhibitA.AnymodificationsoramendmentstotheServices,includingbutnotlimitedtochangesinscope,timelines,ordeliverables,shallbemutuallyagreeduponinwritingandshallbedeemedtobeamendmentstothisContract.PaymentTerms支付條款PartyBshallpayPartyAthesumof(hereinafterreferredtoasthe"Fee")inaccordancewiththescheduleoutlinedinExhibitB.TheFeeisexclusiveofanyapplicabletaxes,whichshallbebornebyPartyB.PartyAshallissueinvoicestoPartyBonaregularbasis,asspecifiedinExhibitB.PartyBagreestosettleallinvoiceswithindaysofreceipt.FailuretosettlepaymentsinaccordancewiththisSectionshallresultintheaccrualofinterestatarateofpercent()perannumontheoutstandingamount.PartyAreservestherighttoadjusttheFeeupon(e.g.,changesincosts,inflation,orregulatoryupdates),providedthatsuchchangesarecommunicatedtoPartyBinwritingatleastdayspriortotheeffectivedateoftheadjustment.PartyBagreestoaccepttherevisedFeeasatermofthisContract.Confidentiality保密性EachPartyagreestomaintaintheconfidentialityoftheotherParty'sConfidentialInformation,whethersuchinformationisdisclosedduringthetermofthisContractorafteritstermination.ConfidentialInformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworregulatoryauthorities.TheobligationsunderthisSectionshallsurvivetheterminationofthisContract.IndemnificationandLiability賠償與責(zé)任PartyAagreestoindemnify,defend,andholdharmlessPartyBfromandagainstanyclaims,damages,orlossesarisingfromPartyA'snegligence,willfulmisconduct,orbreachofthisContract.PartyBagreestoindemnify,defend,andholdharmlessPartyAfromandagainstanyclaims,damages,orlossesarisingfromPartyB'snegligence,willfulmisconduct,orbreachofthisContract.NeitherPartyshallbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforrelatedtothisContract,regardlessoftheformofaction.ThetotalaggregateliabilityofeachPartyunderthisContractshallnotexceedthetotalFeepaidbyPartyBtoPartyAunderthisContract.GoverningLawandJurisdiction適用法律及管轄權(quán)ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(the"Jurisdiction").AnylegalactionorproceedingarisingoutoforrelatedtothisContractshallbebroughtexclusivelyinthecourtsof,whichshallhavesolejurisdictionoversuchmatters.ThePartiesagreetosubmittothejurisdictionoftheaforementionedcourtsandwaiveanyobjectionsbasedonvenueorjurisdiction.Arbitration仲裁Alldisputes,differences,orclaimsarisingoutoforrelatedtothisContract,whichcannotberesolvedbymutualagreement,shallbereferredtoarbitrationinaccordancewiththerulesof(the"ArbitrationRules").Thearbitrationshallbeconductedin,andthelanguageofthearbitrationproceedingsshallbe.ThedecisionofthearbitrationtribunalshallbefinalandbindinguponbothParties.Termination終止ThisContractmaybeterminatedbyeitherPartyupondays'writtennoticetotheotherParty,unlessotherwiseagreedinwriting.UponterminationofthisContract,bothPartiesshalltakeallnecessarystepstoensuretheorderlycessationoftheServicesandtheprotectionoftheirrespectiverightsandinterests.Anyaccruedrightsorobligatio
