5.Termination

5.1ThisAgreementmaybeterminatedbyeitherPartyupon[conditions],providedthatsuchterminationnoticeisgiveninwritingtotheotherPartyatleast[number]dayspriortotheeffectivedateoftermination.

7.PartyC'sObligationsandRights
