英文合同協(xié)議書

ThisAgreementismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

1.Recitals

WHEREAS,PartyAisengagedin[PartyAbusinessdescription];

WHEREAS,PartyBisengagedin[PartyBbusinessdescription];

WHEREAS,thePartiesdesiretoenterintothisAgreementtosetforththetermsandconditionsregardingtheir[relationshiporprojectdescription].

2.ScopeofWork

PartyAshallberesponsiblefor[describePartyA'stasks].PartyBshallberesponsiblefor[describePartyB'stasks].ThescopeofworkshallbecarriedoutinaccordancewiththeattachedWorkPlan(Schedule1).

3.Payment

PartyBshallpayPartyAthetotalamountof[currencyandamount]fortheservicesrenderedhereunder.Thepaymentshallbemadeinthefollowinginstallments:

-[Installment1amount]shallbepaidwithin[numberofdays]daysafterthesigningofthisAgreement.

-[Installment2amount]shallbepaiduponthecompletionof[specificmilestone].

4.IntellectualPropertyRights

AllintellectualpropertyrightsarisingoutoforinconnectionwiththeworkperformedunderthisAgreementshallbeownedby[specifytheowner].EachPartyshallindemnifyandholdtheotherPartyharmlessfromanyclaims,damages,orlossesrelatedtotheinfringementofintellectualpropertyrights.

5.Confidentiality

EachPartyacknowledgesthatduringthecourseoftheirrelationshiphereunder,theymayhaveaccesstoconfidentialinformationoftheotherParty.EachPartyshallkeepsuchconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.

6.TermandTermination

ThisAgreementshallcommenceonthedateofexecutionandshallremaininforceforaperiodof[numberofmonths/years].EitherPartymayterminatethisAgreementupon[numberofdays/months]writtennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementbytheotherParty.

7.Liability

NeitherPartyshallbeliabletotheotherPartyforanyindirect,special,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement,exceptincasesofwillfulmisconductorgrossnegligence.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasofthedatefirstabovewritten.
