heLandlordimmediately.TheLandlordshallmakeeveryreasonableefforttoattendtotheemergencywithinareasonabletimeframe.8.UseofProperty8.1.PermittedUsesTheTenantshallusethePropertysolelyfor[SpecificPurposeorGeneralBusinessUse],andshallnotuseitforanyillegal,dangerous,ornuisancepurposes.8.2.ProhibitedUsesTheTenantshallnotusethePropertyforthefollowingpurposes:Anyactivitythatviolateslocal,state,orfederallaws.AnyactivitythatcausesdamagetothePropertyorposesarisktothehealthandsafetyofothers.AnyactivitythatisconsideredanuisancetotheneighborhoodortheLandlord'sothertenants.8.3.SublettingTheTenantshallnotsublet,assign,orotherwisetransfertheleaseholdinterestinthePropertywithoutthepriorwrittenconsentoftheLandlord.9.Insurance9.1.Landlord'sInsuranceTheLandlordshallmaintainpropertyinsuranceontheProperty,namingtheTenantasanadditionalinsured,andprovidingcoverageforthereplacementvalueoftheProperty.9.2.Tenant'sInsuranceTheTenantshallmaintainliabilityinsuranceinanamountnotlessthan[LiabilityInsuranceAmount],namingtheLandlordasanadditionalinsured.9.3.LiabilityInsuranceTheTenantshallobtainandmaintaingeneralliabilityinsurancetocoveranydamagesorinjuriesoccurringonthePropertyasaresultoftheTenant'snegligenceoractivities.10.RulesandRegulations10.1.Tenant'sCompliance10.2.Tenant'sResponsibility10.3.ViolationofRulesAnyviolationoftherulesandregulationsmayresultintheterminationofthelease,eviction,andotherlegalremediesasprovidedlaw.11.TerminationandRenewal11.1.TerminationNoticeEitherpartymayterminatethisleaseproviding[NoticePeriod]writtennoticetotheotherparty.11.2.EarlyTerminationFeesIntheeventofearlyterminationtheTenant,theTenantshallpay[EarlyTerminationFeeAmount]asliquidateddamages.11.3.RenewalProcessTheleasemaybereneweduponmutualagreementoftheLandlordandTenant,inaccordancewiththetermssetforthinSection3.3ofthisagreement.12.GoverningLawThisleaseshallbegovernedandconstruedinaccordancewiththelawsof[State/Province/Country].13.DisputeResolution13.1.MediationIntheeventofanydisputearisingunderthislease,thepartiesagreetofirstattempttoresolvethematterthroughmediation.13.2.ArbitrationIfmediationfailstoresolvethedispute,thepartiesagreetosubmitthedisputetobindingarbitrationinaccordancewiththerulesof[ArbitrationAssociation].13.3.LitigationIfarbitrationisnotsuccessful,thepartiesagreetoresolveanyremainingdisputesthroughlitigationinthecourtsof[Jurisdiction].14.Miscellaneous14.1.EntireAgreementThisleaseconstitutestheentireagreementbetweentheLandlordandTenant,andsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.14.2.AmendmentsAnyamendmenttothisleasemustbeinwritingandsignedbothparties.14.3.AssignmentTheTenantshallnotassignthisleasewithoutthepriorwrittenconsentoftheLandlord.14.4.SignaturesThisleaseshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.Thisleasemaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.第二部分:第三方介入后的修正1.PartiestotheAgreement1.1.LandlordTheLandlordisidentifiedas[Landlord'sFullName],withtheaddressbeing[Landlord'sAddress],andishereinreferredtoas"Landlord."1.2.TenantTheTenantisidentifiedas[Tenant'sFullName],withtheaddressbeing[Tenant'sAddress],andishereinreferredtoas"Tenant."1.3.ThirdPartyTheThirdPartyisidentifiedas[ThirdParty'sName],withtheaddressbeing[ThirdParty'sAddress],andishereinreferredtoas"ThirdParty."TheThirdPartymayinclude,butisnotlimitedto,abroker,agent,consultant,oranyotherentityprovidingservicesrelatedtotheProperty.2.ThirdParty'sRoleandResponsibilities2.1.RoleoftheThirdPartyTheThirdPartyshallactasanintermediaryoradvisortoeithertheLandlordortheTenant,orboth,inrelationtothePropertyandtheleaseagreement.2.2.ResponsibilitiesoftheThirdPartyTheThirdPartyshall:PerformtheservicesagreeduponinwritingwiththeLandlordorTenant.Actingoodfaithandwithduediligenceintheperformanceoftheirduties.KeepconfidentialanyinformationprovidedtheLandlordorTenant,exceptasrequiredlaworwiththeconsentofthedisclosingparty.3.ThirdParty'sRights3.1.AccesstoPropertyTheThirdPartyshallhaveaccesstothePropertyforthepurposeofinspecting,assessing,orperformingtheirservicesasagreedupon.3.2.FeesandCompensation4.LimitationofLiabilityfortheThirdParty4.1.GeneralLimitationTheThirdParty'sliabilityunderthisagreementshallbelimitedtothescopeoftheirservicesandthefeesagreedupon,andshallnotexceed[Amount]intheaggregate.4.2.ExclusionsfromLiabilityTheThirdPartyshallnotbeliableforanydamages,losses,orclaimsarisingfrom:TheactsoromissionsoftheLandlordorTenant.AnyunforeseeableeventsorcircumstancesbeyondthecontroloftheThirdParty.Theperformanceornonperformanceofanyotherpartytothisagreement.5.Indemnification5.1.IndemnificationtheLandlordandTenantTheLandlordandTenantshallindemnifyandholdtheThirdPartyharmlessagainstanyclaims,damages,liabilities,orlossesarisingoutoforinconnectionwiththePropertyorthisagreement,excepttotheextentcausedthenegligenceorwillfulmisconductoftheThirdParty.5.2.IndemnificationtheThirdPartyTheThirdPartyshallindemnifyandholdtheLandlordandTenantharml
