2025外貿(mào)英語(yǔ)常用合同相關(guān)表達(dá)ContractAgreementforInternationalTradeThisContractAgreement("Agreement")isenteredintoasof,2025,byandbetween("Vendor"),acompanyincorporatedunderthelawsof,withitsregisteredofficeat,and("Purchaser"),acompanyincorporatedunderthelawsof,withitsregisteredofficeat.1.ScopeofContractThisAgreementgovernsthesupplyofgoodsandservicesfromVendortoPurchaserfortheperiodspecifiedherein.ThetermsandconditionssetforthinthisAgreementshallapplytoallfuturetransactionsbetweentheparties,unlessotherwiseagreedinwriting.2.DefinitionsandInterpretationsForthepurposeofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"Goods"shallmeantheproductsoritemstobesuppliedbyVendortoPurchaserasdetailedinExhibitA."Services"shallmeanthespecificservicesprovidedbyVendortoPurchaserasoutlinedinExhibitB."DeliveryDate"shallmeanthedateagreeduponbythepartiesforthedeliveryoftheGoodsorcompletionoftheServices,asapplicable.3.OrderandDelivery3.1VendoragreestosupplytheGoodsand/orServicesasperthespecificationsdetailedinthePurchaseOrder,whichshallformpartofthisAgreement.3.2PurchasershallissueaPurchaseOrdertoVendor,whichshallinclude,butnotlimitedto,thequantities,descriptions,andpricesoftheGoodsand/orServices.3.3VendorshalldelivertheGoodstothedesignatedaddressspecifiedinthePurchaseOrderonorbeforetheDeliveryDate.3.4Incaseofanydelayindelivery,VendorshallnotifyPurchaserinwritingatleastbusinessdayspriortotheDeliveryDate,statingthereasonsforthedelayandtheexpectednewDeliveryDate.4.PaymentTerms4.1PurchasershallpaytheinvoicefortheGoodsand/orServiceswithindaysoftheinvoicedate.4.2AllpaymentsshallbemadeinthecurrencyspecifiedinthePurchaseOrder,freeofanydeductions,charges,orfees,tothebankaccountdetailsprovidedbyVendor.4.3Intheeventoflatepayment,interestshallbechargedatarateof%perannumontheoutstandingamount,calculatedfromtheduedateuntilpaymentisreceivedinfull.5.IntellectualPropertyRights5.1Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,copyrights,patents,anddesigns,relatedtotheGoodsorServicesshallremainwithVendor.5.2Purchasershallnotuse,reproduce,ordistributeanymaterialsordesignsprovidedbyVendorwithoutpriorwrittenconsent.6.Confidentiality6.1Bothpartiesagreetokeepallconfidentialinformation,includingbutnotlimitedtobusinessstrategies,financialdata,andtechnicalspecifications,disclosedduringthecourseofthisAgreementstrictlyconfidential.6.2TheobligationsunderthisclauseshallsurvivetheterminationofthisAgreementforaperiodofyears.7.TerminationofContract7.1EitherpartymayterminatethisAgreementwithimmediateeffectincaseofanybreachofthetermsandconditions,providedthatthebreachingpartyisgivenbusinessdaystocurethebreach.7.2Intheeventoftermination,VendorshallpromptlyreturnallpaymentsmadebyPurchaserforundeliveredGoodsorunfinishedServices.8.LiabilityandIndemnification8.1VendorshallindemnifyandholdPurchaserharmlessfromanyclaims,damages,orlossesarisingoutofthesupplyofdefectiveGoodsorServices,includingbutnotlimitedtobodilyinjury,propertydamage,orinfringementofintellectualpropertyrights.8.2TheliabilityofVendorshallbelimitedtothereplacementorrepairofdefectiveGoodsorServices,unlessotherwiseagreeduponinwriting.9.GoverningLawandDisputeResolution9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiations.Ifnegotiationsfail,themattershallbereferredtotheCourtforresolution.10.MiscellaneousProvisions10.1AnyamendmentstothisAgreementshallbemadeinwritingandsignedbybothparties.10.2ThisAgreementconstitutestheentireagreementbetweenthepartiesregardingthesubjectmatterhereof,andsupersedesallprioragreements,representations,orunderstandings.10.3IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.V
