1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].10.2ArbitrationAnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbindingarbitrationinaccordancewiththerulesofthe[ArbitrationBody].10.3MediationPriortoinitiatingarbitration,thePartiesagreetoattempttoresolveanydisputethroughmediation.11.MiscellaneousProvisions11.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.11.2ModificationsAnymodificationoramendmenttothisAgreementshallbeeffectiveonlyifitisinwritingandsignedbothParties.11.3WaiverofBreachThefailureofeitherPartytoexerciseanyrightprovidedhereinshallnotbedeemedawaiverofsuchright.11.4SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.12.GoverningLawandJurisdictionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof[Jurisdiction].13.ExecutionThisAgreementshallbeexecutedin[Number]counterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.14.SignaturesThisAgreementshallbebindinguponandinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.ThisAgreementmaybeexecutedinanynumberofcounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.[Employee'sName][Employee'sSignature][Date][Employer'sName][Employer'sSignature][Date]第二部分:第三方介入后的修正1.Introduction1.1DefinitionofThirdPartyForthepurposesofthisAgreement,"ThirdParty"shallmeananyindividual,entity,ororganizationotherthantheEmployerandtheEmployee,includingbutnotlimitedtoconsultants,mediators,arbitrators,legalrepresentatives,andanyotherpersonorentityretainedeitherPartyforthepurposeofassistingintheinterpretation,enforcement,orresolutionofdisputesortheperformanceofanyobligationunderthisAgreement.2.ThirdPartyInterventions2.1ApplicabilityThissectionshallapplywhenevereitherPartyconsidersitnecessarytoinvolveaThirdPartyintheperformanceoftheirobligationsunderthisAgreement,includingbutnotlimitedtodisputesresolution,technicalassistance,orlegalrepresentation.2.2AuthorizationAnyPartyseekingtoinvolveaThirdPartyshallprovidewrittennoticetotheotherPartyatleast[NoticePeriod]dayspriortotheengagementoftheThirdParty,specifyingthenatureoftheassistancerequiredandtheanticipatedcosts.3.ThirdPartyResponsibilities3.1ScopeofWorkTheresponsibilitiesoftheThirdPartyshallbeclearlydefinedinaseparateagreementorletterofengagement,whichshallbeattachedtothisAgreementandshallinclude:Thespecifictasksorservicestobeperformed.Thequalitystandardstobemet.ThelimitationsoftheThirdParty'sauthority.3.2LiabilityLimitationTheliabilityoftheThirdPartyforanyactsoromissionsshallbelimitedtothescopeofworkasdefinedintheseparateagreementorletterofengagement.TheEmployerandtheEmployeeshallnotholdtheThirdPartyliableforanyloss,damage,orexpenseincurredeitherPartyunlesssuchloss,damage,orexpenseisdirectlycausedthenegligenceorwillfulmisconductoftheThirdParty.3.3IndemnificationTheEmployerandtheEmployeeagreetoindemnifyandholdtheThirdPartyharmlessfromanyclaims,demands,oractionsarisingoutoforinconnectionwiththeThirdParty'sperformanceoftheirdutiesunderthisAgreement,totheextentsuchclaims,demands,oractionsarenotwithinthescopeoftheThirdParty'sliabilitylimitation.4.CostsandPayment4.1CostEstimationPriortoengagingaThirdParty,thePartiesshallagreeonacostestimation,whichshallincludeallanticipatedexpensesrelatedtotheservicesoftheThirdParty.4.2PaymentTermsPaymentfortheservicesoftheThirdPartyshallbemadeinaccordancewiththetermsagreeduponthePartiesandtheThirdParty,andshallbepaiddirectlytotheThirdPartythePartyresponsiblefortheservices.5.ThirdPartyIndependence5.1NonDisqualificationTheinvolvementofaThirdPartyshallnotbedeemedtodisqualifythemfromperforminganyservicesforeitherPartyinthefuture,unlesssuchinvolvementwouldcreateaconflictofinterest.5.2ConflictofInterestIfaconflictofinterestarises,theThirdPartyshalldisclosethesametotheParties,andthePartiesshalldecideonthecontinuationorterminationoftheengagement.6.ThirdPartyEngagementtheEmployer6.1TechnicalAssistanceTheEmployermayengageaThirdPartytoprovidetechnicalassistanceorexpertiseintheperformanceoftheEmployee'sduties.6.2LegalRepresentationTheEmployermayengageaThirdPartytoprovidelegalrepresentationinanylegalproceedingsarisingoutofthisAgreement.7.ThirdPartyEngagementtheEmployee7.1PersonalLegalRepresentationTheEmployeemayengageaThirdParty,suchasalegalrepresentative,toprovidelegaladviceorrepresentationinanylegalproceedingsarisingoutofthisAgreement.7.2ProfessionalDevelopmentTheEmployeemayengageaThirdParty,suchasaconsultant,toprovideprofessionaldevelopmentservicestoenhancetheirskillsandknowledge.8.IntegrationwithExistingContractTerms8.1IncorporationTheprovisionsofthissection uranceVisioninsuranceRetirementplanPaidtimeoff4.5TaxationandWithholdingsTheEmployeeshallberesponsibleforpayingallapplicabletaxesandwithholdingsasrequiredlaw.5.EmploymentConditions5.1ProbationaryPeriodTheEmployeeshallserveaprobationaryperiodof[ProbationaryPeriod]fromthedateofhire.5.2ConfidentialityandNonCompete5.3NonSolicitationTheEmployeeagreesnottosolicitorattempttosolicitanyoftheEmployer'scustomers,suppliers,oremployeesforaperiodof[NonSolicitationDuration]followingtheterminationofemployment.5.4EmployeeRecordsTheEmployershallmaintainaccurateandconfidentialrecordsoftheEmployee'semployment.5.5DrugandAlcoholTesting8.TrainingandDevelopment8.1ProfessionalDevelopmentOpportunitiesTheEmployershallprovidetheEmployeewithopportunitiesforprofessionaldevelopment,includingworkshops,seminars,andcoursesrelevanttotheEmployee'sroleasaChemicalAnalyst.8.2TrainingPrograms8.3MentoringandCoachingTheEmployermayassignamentortotheEmployeetoprovideguidanceandsupportintheirprofessionaldevelopment.9.PerformanceManagement9.1PerformanceAppraisals9.2PerformanceImprovementPlansIftheEmployee'sperformancedoesnotmeettherequiredstandards,theEmployershalldevelopaperformanceimprovementplantoaddresstheissues.9.3RecognitionandRewards10.LeavesandAbsences10.1SickLeaveTheEmployeeshallbeendto[NumberofSickDays]paidsickleaveper[PaymentPeriod],whichmaybecarriedovertothenext[PaymentPeriod]upto[MaximumCarryoverDays].10.2AnnualLeaveTheEmployeeshallaccrueannualleaveattherateof[AccrualRate]per[PaymentPeriod],whichmaybeusedafter[NoticePeriod]ofadvancenoticetotheEmployer.10.3ParentalLeave10.4BereavementLeaveTheEmployeeshallbeendto[NumberofBereavementDays]ofpaidbereavementleaveintheeventofthedeathofanimmediatefamilymember.10.5OtherLeavesofAbsence11.DisciplinaryProcedures11.1ConductExpectationsTheEmployeeisexpectedtoconductthemselvesinaprofessionalandethicalmanneratalltimes.11.2DisciplinaryActionsIftheEmployeefailstomeettheconductexpectations,theEmployermaytakedisciplinaryactions,whichmayincludeverbalorwrittenwarnings,suspension,orterminationofemployment.11.3GrievanceProcessTheEmployeemayfileagrievanceregardinganyaspectoftheiremploymentfollowingtheEmployer'sestablishedgrievanceprocess.12.TerminationofEmployment12.1VoluntaryTerminationTheEmployeemayterminatetheiremploymentgiving[NoticePeriod]ofwrittennoticetotheEmployer.12.2InvoluntaryTerminationTheEmployermayterminatetheEmployee'semploymentforcause,inwhichcasetheEmployeeshallbeendto[NoticePeriod]ofpayinlieuofnotice.12.3NoticePeriodTheEmployeeshallprovide[NoticePeriod]ofnoticeoftermination,unlesstheEmployeragreestoashorternoticeperiod.12.4SeverancePayIntheeventoftermination,theEmployeeshallbeendto[SeverancePayAmount],whichshallbepaidwithin[PaymentTimeframe]followingtheterminationdate.13.Confidentiality13.1DefinitionofConfidentialInformation13.2OngoingObligationsTheEmployeeagreestomaintaintheconfidentialityofallConfidentialInformationforaperiodof[ConfidentialityPeriod]followingtheterminationofemployment.13.3ReturnofPropertyUponterminationofemployment,theEmployeeshallreturnallEmployerproperty,includingbutnotlimitedto,equipment,files,andaccesscards.14.MiscellaneousProvisions14.1EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployeewithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal.14.2AmendmentsAnyamendmenttothisAgreementmustbemadeinwritingandsignedbothparties.14.3HeadingsTheheadingsofthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationorconstructionofanyofitsprovisions.14.4SignaturesThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthisAgreement,"ThirdParty"shallrefertoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeeforthepurposeofprovidingservices,advice,orotherformsofassistanceinrelationtotheEmployee'semploymentortheperformanceoftheEmployee'sduties.15.2ScopeofThirdPartyInvolvementThirdpartiesmaybeinvolvedinvariouscapacities,includingbutnotlimitedtorecruitmentagencies,consultants,trainingproviders,legaladvisors,andanyotherserviceprovidersrequiredfortheeffectiveexecutionofthisAgreement.15.3ThirdPartySelectionTheEmployershallhavethesolediscretiontoselectandengageanyThirdParty,providedthatsuchThirdPartyisqualifiedandcapableofprovidingthenecessaryservicesorassistance.15.4ThirdPartyAgreementsAnyagreementbetweentheEmployerandaThirdPartyshallbegovernedthetermsofsuchagreementandshallnotaffecttherightsandobligationsoftheEmployerandtheEmployeeunderthisAgreement.16.AdditionalTermsandConditionsforThirdPartyInvolvement16.1AdditionalObligationsofEmployerTheEmployershallensurethatanyThirdPartyengagedisboundconfidentialityobligationsequivalenttothosesetforthinthisAgreementandshallprovidethenecessaryinstructionsandsupporttoenabletheThirdPartytoperformtheirdutieseffectively.16.2AdditionalObligationsofEmployee16.3ThirdPartyFeesandExpensesAnyfeesorexpensesincurredtheEmployerortheEmployeeinrelationtotheengagementofaThirdPartyshallbebornetherespectiveparty,unlessotherwiseagreedinwriting.17.ThirdPartyLiabilityLimitation17.1LimitationofLiabilityTothefullestextentpermittedlaw,theliabilityofanyThirdPartyforanyactoromissioninthecourseofprovidingservicesunderthisAgreementshallbelimitedtotheamountpaidtheEmployerortheEmployeetotheThirdPartyforsuchservices.17.2IndemnificationTheEmployerandtheEmployeeagreetoindemnifyandholdharmlesseachotherfromandagainstanyclaims,liabilities,losses,damages,orexpensesarisingfromtheactsoromissionsofanyThirdParty,totheextentsuchclaims,liabilities,losses,damages,orexpensesarenotcoveredthelimitationssetforthinthisAgreement.18.ThirdPartyRelationshipwithOtherParties18.1EmployerEmployeeRelationshipTheengagementofaThirdPartyshallnotaffecttheemploymentrelationshipbetweentheEmployerandtheEmployee.TheEmployeeremainsanemployeeoftheEmployerandissubjecttothetermsandconditionsofthisAgreement.18.2EmployerThirdPartyRelationshipTherelationshipbetweentheEmployerandaThirdPartyshallbegovernedthetermsoftheagreementbetweenthemandshallbeseparatefromtheemploymentrelationshipbetweentheEmployerandtheEmployee.18.3EmployeeThirdPartyRelationshipTheEmployee'srelationshipwithaThirdParty,ifany,shallbegovernedthetermsoftheagreementbetweentheEmployeeandtheThirdParty,andshallbeseparatefromtheemploymentrelationshipbetweentheEmployerandtheEmployee.19.TerminationofThirdPartyInvolvement19.1Employer'sRighttoTerminateTheEmployermayterminatetheinvolvementofaThirdPartyatanytime,providedthatsuchterminationdoesnotbreachthetermsoftheagreementbetweentheEmployerandtheThirdParty.19.2Employee'sRighttoTerminateTheEmployeemaynotterminatetheinvolvementofaThirdPartywithoutthepriorwrittenconsentoftheEmployer.19.3ConsequencesofTerminationUponterminationofaThirdParty'sinvolvement,theEmployerandtheEmployeeshalltakeallreasonablestepstoensurethetransitionofservicesorassistanceprovidedtheThirdPartytoanotherThirdPartyordirectlytheEmployer,asapplicable.第三部分:其他補充性說明和解釋說明一:附件列表:1.EmploymentContract詳
