WHEREAS,theAgentiswillingtoactastheexclusiveagentforthesaleoftheProductsintheterritoryspecifiedintheattachedTerritoryList(hereinafterreferredtoasthe"Territory");
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.ExclusiveAgencyAgreement
TheSellerherebygrantstheAgenttheexclusiverighttoselltheProductsintheTerritoryduringthetermofthisContract.TheSellershallnot,duringthetermofthisContract,directlyorindirectly,sellorofferforsaletheProductsintheTerritorytoanythirdparty.
2.ProductList
TheProductscoveredbythisContractarespecifiedintheattachedProductList.TheSellershallensurethattheProductslistedintheProductListareincompliancewithallapplicablelawsandregulations.
3.TerritoryList
TheTerritorywheretheAgentisauthorizedtoselltheProductsisspecifiedintheattachedTerritoryList.TheAgentshallnot,duringthetermofthisContract,sellorofferforsaletheProductsoutsidetheTerritory.
4.TermandTermination
ThisContractshallbeeffectivefromthedateofthisContractandshallremaininforceforaperiodof[______]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

7.Confidentiality
ThepartiesagreetokeepconfidentialallinformationanddataexchangedduringthetermofthisContract,exceptforinformationthatispubliclyavailableordisclosedbytheotherparty.
8.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtof[Country/State]forresolution.

b.ThePrincipalshallhavetherighttoreceiveregularsalesreportsandfinancialstatementsfromtheThirdParty.
c.ThePrincipalshallhavetherighttoterminatethisContractiftheThirdPartyfailstomeettheagreed-uponsalestargetsorviolatesanytermsofthisContract.
3.Principal'sBenefits
