4.TheOwnerrepresentsandwarrantsthatithasthenecessarypermitsandapprovalstocommencetheconstructionworkdescribedinthisContract.

SCOPEOFWORK

1.TheContractorshall,atitsownexpense,performallwork,labor,services,andmaterialsnecessarytocompletetheconstructionprojectdescribedinthisContract.

2.Theworkshallbeperformedinaccordancewiththeplans,specifications,anddrawingsprovidedbytheOwneroritsauthorizedrepresentatives.

3.TheContractorshallcomplywithallapplicablelaws,regulations,andcodesintheperformanceofthework.

4.TheContractorshallcompletetheconstructionworkwithinthetimeframespecifiedinthisContract.

TERMANDTERMINATION

1.ThisContractshallcommenceon[StartDate]andshallcontinueuntilthecompletionoftheconstructionwork,asdefinedinSection1.2,oruntilterminatedasprovidedherein.

2.EitherPartymayterminatethisContractinwritingupontheoccurrenceofanyofthefollowingevents:

a.AbreachofanymaterialtermorconditionofthisContractbytheotherParty,whichbreachremainsuncuredforaperiodof[numberofdays]afterwrittennoticeofthebreach;

b.Theinsolvency,bankruptcy,orliquidationoftheotherParty;

c.TheOwner'sdecisiontoterminatetheprojectduetounforeseencircumstancesbeyonditscontrol.

3.UponterminationofthisContract,theContractorshallpromptlyreturnanypropertyorequipmentprovidedbytheOwnerandshallbeentitledtoreceivepaymentforworkperformedpriortotermination.

PAYMENT

1.TheOwnershallpaytheContractorthetotalcontractpricesetforthinthisContract,subjecttothefollowingterms:

a.TheOwnershallmakeprogresspaymentstotheContractorinaccordancewiththeschedulesetforthinthisContract;

b.TheOwnershallretaina[percentage]ofeachprogresspaymentasaretainageuntilthefinalcompletionoftheconstructionwork;

c.TheContractorshallprovidedetailedinvoicesandsupportingdocumentationforeachprogresspaymentrequest.

2.TheOwnershallpaytheContractorinterestonanylatepaymentsattherateof[percentage]perannum.

3.AllpaymentsunderthisContractshallbemadeinUnitedStatesdollars.

LIABILITY

1.TheContractorshallbeliableforanydamageorlosscausedbyitsnegligence,willfulmisconduct,orfailuretocomplywiththetermsofthisContract.

2.TheOwnershallbeliableforanydamageorlosscausedbyitsnegligence,willfulmisconduct,orfailuretocomplywiththetermsofthisContract.

3.NeitherPartyshallbeliableforanydamageorlosscausedbyanactofGod,war,strike,labordispute,oranyothereventbeyonditsreasonablecontrol.
