乙方：北京某某某某數(shù)碼信息技術(shù)有限公司（以下簡稱乙方）PartyB:BeijingHXXXXXDigitalInformationTechnologyCo.,Ltd.(hereinafterreferredtoas"PartyB")

甲乙雙方經(jīng)友好協(xié)商，就甲方委托乙方提供教育云平臺技術(shù)運維服務(wù)事宜達成如下協(xié)議：WithrespecttoentrustingPartyBtoprovidetechnicaloperationandmaintenanceservicesforeducationcloudplatformofPartyA,PartyAandPartyBhave,uponfriendlynegotiation,agreedasfollows:

一、服務(wù)內(nèi)容I.Services

1、乙方向甲方提供甲方教育云平臺運行所需要的專用服務(wù)器、網(wǎng)絡(luò)存儲、網(wǎng)絡(luò)帶寬、標準機架、標準電源、網(wǎng)絡(luò)端口、IP地址等網(wǎng)絡(luò)計算資源，保證甲方教育云平臺的正常運營；1.PartyBshallprovidePartyAwithnetworkandcomputingresourcessuchasspecialservers,networkstorage,networkbandwidth,standardframes,standardpowersource,networkport,andIPaddressesrequiredfortheoperationofPartyA'seducationcloudplatform,toensurethenormaloperationthereof;

2、乙方提供的計算資源應能保證甲方15所（含）以內(nèi)接入教育云平臺的實驗學校進行正常的教學和學習，如當年服務(wù)的學校超過15所學校，超過學校數(shù)量的服務(wù)費用在后續(xù)的服務(wù)合同中予以體現(xiàn)，當年不再另外結(jié)算；2.ThecomputingresourcestobeprovidedbyPartyBshallguaranteenormalteachingandstudiesofnomorethan15experimentalschoolsthathavegainedaccesstoPartyA'seducationcloudplatform;iftherearemorethan15schoolsthatareentitledtotheservices,theservicefeesforthoseschoolsotherthan15schoolsshallbereflectedinsubsequentservicecontractsandshallnotbeotherwisesettledinthesameyear;

3、乙方為甲方項目學校使用教育云平臺提供技術(shù)支持服務(wù)，技術(shù)支持服務(wù)包括：（1）向甲方項目學校遠程或現(xiàn)場部署教育云平臺；（2）對甲方項目學校的教師和學生進行總計不少于240人時的技術(shù)培訓/服務(wù)，技術(shù)培訓/服務(wù)的內(nèi)容由雙方協(xié)商確定；3.PartyBshallprovidetechnicalsupportsandservicesfortheeducationcloudplatformusedbytheschoolsparticipatinginPartyA'sproject,whichshallinclude:(1)deployingtheeducationcloudplatformonsiteorremotelyforsuchschools;(2)providingtechnicaltrainings/servicesfortheteachersandstudentsofsuchschoolsforatotalofnolessthan240man-hourswiththecontentsoftechnicaltrainings/servicestobedeterminedbythePartiesthroughnegotiation;

4、乙方向甲方提供甲方套卷與題庫管理系統(tǒng)運行所需要的專用服務(wù)器、網(wǎng)絡(luò)存儲、網(wǎng)絡(luò)帶寬、標準機架、標準電源、網(wǎng)絡(luò)端口、IP地址等網(wǎng)絡(luò)計算資源，保證甲方套卷與題庫管理系統(tǒng)的正常運營。4.PartyBshallprovidePartyAwithnetworkandcomputingresourcessuchasspecialservers,networkstorage,networkbandwidth,standardframes,standardpowersource,networkport,andIPaddressesrequiredfortheoperationofPartyA'sexampaperandpoolmanagementsystemtoensurethenormaloperationthereof.

二、雙方的權(quán)利和義務(wù)II.RightsandObligations

1、甲方應按照約定及時足額向乙方支付技術(shù)運維服務(wù)的費用；1.PartyAshallpayfullamountoffeesofthetechnicaloperationandmaintenanceservicetoPartyBintimeasagreed;

2、乙方應不間斷對服務(wù)器的進行日常維護和監(jiān)控，以保證甲方教育云平臺和套卷與題庫管理系統(tǒng)的正常運行；2.PartyBshallcarryoutroutinemaintenanceandmonitoringovertheserverswithoutinterruptiontoensurethenormaloperationofPartyA'seducationcloudplatformandtheexampaperandpoolmanagementsystem;

3、乙方應保證甲方教育云平臺和套卷與題庫管理系統(tǒng)的聯(lián)通性；3.PartyBshallguaranteetheconnectivitybetweenPartyA'seducationcloudplatformandtheexampaperandpoolmanagementsystem;

4、乙方應保證甲方的用戶信息、數(shù)據(jù)安全和知識產(chǎn)權(quán)；4.PartyBshallguaranteethesafetyofPartyA'suserinformationanddataandtheintellectualpropertyrights;

5、乙方應根據(jù)甲方要求及時完成教育云平臺軟件升級、遠程部署等服務(wù)，現(xiàn)場部署不少于4次；5.PartyBshalltimelycompleteservicessuchastheupgradingofeducationcloudplatformsoftwareandremotedeploymentaccordingtoPartyA'srequirementsandcarryoutatleastfourtimesofon-sitedeployment;

6、乙方對甲方技術(shù)人員進行不低于10小時的系統(tǒng)運維培訓，以協(xié)助甲方技術(shù)人員能夠獨立完成教育云平臺的技術(shù)運維工作；6.PartyBshallprovidenolessthan10hoursoftrainingonsystemoperationandmaintenanceforPartyA'stechnicalpersonneltoassistPartyA'stechnicalpersonnelincompletingthetechnicaloperationandmaintenanceoftheeducationcloudplatformindependently;

7、如教育云平臺軟件在使用過程中因故障（不可抗力除外）對甲方造成嚴重影響或損失的，乙方應承擔相應的責任，并應及時趕到現(xiàn)場配合甲方進行處理。甲方有權(quán)定期或不定期檢查維護質(zhì)量，對乙方未達要求的，相應核減維護費用。7.Ifanyfaultduringtheuseoftheeducationcloudplatformsoftware(exceptforthefaultduetoforcemajeure)hascausedanyseriousimpactorlosstoPartyA,PartyBshallundertakecorrespondingliabilitiesandtimelyreachthesitetoassistPartyAinhandlingthesituation.PartyAshallhavetherighttoinspectthequalityofmaintenanceonaregularorirregularbasis,andwherePartyBfailstomeettherequirements,themaintenancefeesshallbereducedcorrespondingly.

三、服務(wù)費用及支付方式III.ServiceTerm,ServiceFeeandPaymentMode

1、本協(xié)議約定乙方為甲方提供教育云平臺運維服務(wù)的時間自2017年1月1日起至2017年12月31日止；乙方為甲方提供套卷與題庫管理系統(tǒng)運維服務(wù)的時間自2017年6月15日起至2017年12月31日止；1.ItisagreedhereinthattheperiodforPartyBtoprovidetheserviceofoperationandmaintenanceoftheeducationcloudplatformforPartyAshallcommenceonJanuary1,2017andendonDecember31,2017;theperiodforPartyBtoprovidetheserviceofoperationandmaintenanceoftheexampaperandpoolmanagementsystemforPartyAshallcommenceonJune15,2017andendonDecember31,2017;

2、甲方支付乙方服務(wù)費人民幣伍拾伍萬元整（小寫：￥550000.00元）；2.TheservicefeetobepaidbyPartyAtoPartyBshallbeRMBFiveHundredandFiftyThousandOnly(infigure:RMB550,000.00);

3、本協(xié)議簽訂10個工作日內(nèi)，甲方以轉(zhuǎn)帳方式向乙方支付第一期服務(wù)費人民幣叁拾萬元整（小寫：￥300000.00元），2017年12月31日前甲方以轉(zhuǎn)帳方式向乙方支付第二期服務(wù)費人民幣貳拾伍萬元整（小寫：￥250000.00元）；3.PartyAshallpaythefirstinstallmentoftheservicefeeofRMBThreeHundredThousandOnly(infigure:RMB300,000.00)toPartyBbytransferwithin10workingdaysafterthisContractissigned;andPartyAshallpaythesecondinstallmentoftheservicefeeofRMBTwoHundredandFiftyThousandOnly(infigure:RMB250,000.00)toPartyBbytransferbeforeDecember31,2017;

4、服務(wù)期滿后如甲方需要乙方繼續(xù)提供服務(wù)，雙方另簽合同。4.ThePartiesshallsignanothercontractifPartyArequiresPartyBtocontinuetoprovidetheserviceaftertheservicetermexpires.

四、違約責任IV.LiabilityforBreachofContract

1、若一方違約應承擔相應的賠償責任，給對方造成損失的按國家有關(guān)法規(guī)承擔相應的賠償責任。1.EitherpartythatbreachestheContractshallundertakecorrespondingliabilitiesforcompensation;whereithascausedanylosstotheotherparty,itshallundertakecorrespondingliabilitiesforcompensationinaccordancewithrelevantnationallawsandregulations.

2、由于水災、火災、地震、干旱、戰(zhàn)爭或合同一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本合同，該方可以免責。但是，受不可抗力事件影響的一方須盡快將事件發(fā)生狀況通知另一方，并在不可抗力事件影響消除日起15日內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。2.EitherpartyheretomaybeexemptedfromliabilityforinabilityortemporaryinabilitytopartiallyorfullyperformtheContractresultingfromflood,fire,earthquake,drought,waroranyothereventthatcannotbeforeseen,controlled,preventedorovercomebysuchparty,providedthatthepartyaffectedbysuchforcemajeureeventshallnotifytheotherpartyofoccurrenceofsucheventassoonaspossibleandsendevidencesofsuchforcemajeureeventissuedbyanycompetentauthoritytotheotherpartywithin15daysaftertheinfluenceofsuchforcemajeureeventiseliminated.

五、其它V.Miscella
