UmmQsaar港，(卸貨港應(yīng)為非美國制裁的伊拉克港口)。在收到并確認(rèn)買方可操作的 L/C后30日內(nèi)，賣方應(yīng)向買方發(fā)貨物準(zhǔn)備就緒通知書。AminimumloadrateofSEVENTHOUSANDMETRICTONS(7,000MT)perweatherworkingday(PWWD)isguaranteedbytheSeller.Alsobuyermustguaranteeberthingifhereceivesthearrivalnoticewithsevendaysinadvanee.Also,allunioadingchargesatperbuyer 。租船和海運(yùn)的全部費(fèi)用由買方負(fù)責(zé)。Sellershallnominatesuitablevesselatleastseven(7)bankingdayspriortoshipment.Vesselnominatedforloadingtheproductshallbeaminimumof30,000DWCC,max20yearsold,minimum3holds/hatches,havingfullyoperationalcargogearofminimum10MTSSWLcranes(orotherwiseagreedbySellerinWriting),fullycompliantwithallinternationalregulationsofflag,safety,ism,insuredforhullandmachineryandcoveredbyafirstclassP&Iclub.Alltaxes/duesforthevesselandoceanfreightshallbethesoleresponsibilityofbuyer.NoticeofreadinessatUmmQsaar,IraqshallbetenderedwhenthevesselinallaspectsarereadyforberthinginaccordancewiththiscontractandundertheCharterPartyAgreement.Sellershallhavetheberthingarrangedattheloadingportandreadytostarttheloading,ifbuyerinformestimatedarrivaldaywithin7daysinadvanee.Thesellerwillgrantberthingofthevesselwithin7(Seven)daysofthereceiptoftheestimatedarrivaldatebytheShippingAgentorBuyer,whichmaynotbeunreasonablywithhold.伊拉克裝運(yùn)港的裝運(yùn)準(zhǔn)備就緒通知應(yīng)在船只按合同和租船協(xié)議規(guī)定全方位停泊后發(fā)出。如果買方提前 UNITEDSTATESDOLLARS)(+/-5%)PaymentTermsandFinancialInstrument:付款方式和金融工具AnIrrevocableFullyFunded,RevoIving,TransferableDocumentaryLetterofCredit,payable100%atsightportofloadingandissuedofconfirmedbyatop25rankedWorldBank;ThefinalletterofcreditshallbeinaformacceptabletoSellerinitssoleandabsolutediscretion.一份由世界排名前25位的銀行之一保兌的不可撤銷的，可循環(huán)可轉(zhuǎn)讓的全額付款即期跟單信用證；最終的信用證格式必須經(jīng)賣方認(rèn)可。IfthetermsofthefinancialinstrumentarenotinaccordancewiththetermsofthecontractorareunacceptabletotheSellerand/ortheSellerbank,thiscontractshallbevoidableatthesolediscretionoftheSelleriftheBuyerfailstocureanyandalldefectivetermsand/ordeficienciescontainedinthefinancialinstrumentwithin30daysfromtheoriginalissuedpaymentinstrument.如果信用證條款與合同不符，或賣方及賣方銀行不認(rèn)可，而買方在信用證正本開出 30天內(nèi)沒有改正錯誤或缺陷條款，則本合同可以根據(jù)賣方意見撤銷該信用證。BuyershallarrangeforitsbanktoprovidetheSelleracopyofthefinancialinstrumentviaswiftandemailorfaxonthedayonwhichitisissued.買方應(yīng)令其銀行在賣方開證日電傳或郵件一份信用證草稿給賣方參考。IntheeventthattheBuyerfailstoissuethefinancialinstrumentincompliancewiththiscontract,thenBuyershallimmediatelypayuponSellerwattendemand,withoutprotestanamountequaltotwopercent(2%)oftheaggregatepriceforallshipmentspayableunderthiscontract.Thepartiesexpresslyacknowledgeandagreethatsaidpaymentshallbeliquidateddamages,isconsideredtobefairandreasonablebyallpartiesandisnotapenalty.2%作為運(yùn)費(fèi),2%作為運(yùn)費(fèi),PerformaneeGuarantee:銀行保函Buyerherebywaivesanyrighttoaperformaneebo買方在此放棄對賣方的PB要求。ProofofProduct:供貨證明ProofofProductshallbeprovidedbySellerafterexeeutionofthiscontract.ProofofProductshallbeintheformoffulltitleshowingSellerastheclearandunencumberedownerof100%oftheproduct.在合同開始執(zhí)行后賣方應(yīng)提供供貨證明來證明其是全部貨物的所有者。ProductDocumentation:議付單據(jù)AfullsetofthefollowingdocumentswillbepresentedtotheBuyer:賣方應(yīng)提供的單據(jù)如下：Originalsignedcommercialinvoices;正簽發(fā)票O(jiān)riginalcertificateofquality,quantityandweightinspectionissuedbytheinspectioncompanyonly;檢驗(yàn)機(jī)構(gòu)出具的關(guān)于貨物質(zhì)量，數(shù)量，重量的正本檢驗(yàn)報告Originalcertificateoforigin;正本原產(chǎn)地證書OriginalPackingList;正本裝箱單3originalsand3copiesofcharterpartybilloflading.租船協(xié)議和海運(yùn)提單各3份正本3份復(fù)印件。ProductInsuranee:保險TheBuyershallprovideinsuraneefortheProductattheBuyer expenseandsosponsibilityoncetitlehasbeentransferredtotheBuyer.Ifdamageoccurstotheproduct,productpackagingortoanyaspectthereofafterBuyerhastakentitletotheproduct,thesellershallnotberesponsibleinanymatterfordamageoccurringtotheproduct,productpackagingoranyotheraspectthereofafterbuyerhasreceivedtitletotheproduct.買方負(fù)責(zé)辦理貨物的保險承擔(dān)保險費(fèi)并承擔(dān)貨物所有權(quán)轉(zhuǎn)移給買方后的風(fēng)險，如果貨物所有權(quán)轉(zhuǎn)移給買方后貨物發(fā)生損壞，則賣方不承擔(dān)任何責(zé)任。（貨物損壞包括貨物，包裝，外觀的損壞）Demurrage:滯期費(fèi)SellerisresponsibleforanyandalldemurragechargesincurredatanytimeafterthemasterorhisagentpresenttoSellerorhisagentadulynoticeofreadinessattheloadingport.ArequestofUS$50,000.00bankguaranteeisrequiredtoprotectthebuyerofdemurrageasperthegoverningcharterparty.船主或貨運(yùn)代理代表賣方或賣方代理在裝運(yùn)港發(fā)出裝運(yùn)準(zhǔn)備就緒通知書后產(chǎn)生的滯期費(fèi)由賣方負(fù)責(zé)。按照租船協(xié)議的管理辦法，要求賣方提供一份 5萬美金的銀行保函以保證產(chǎn)生滯期后買方的利益。ImportFacilities,Documents.TaxesandFees:進(jìn)口能力，文件，稅費(fèi)，費(fèi)用BuyerandSellerareresponsibleindividuallyfortheirowntaxes,levies,charges,tariffs,feesandcostsofanynatureimposedbyanycountryhavinganyeffectonthiscontract.Buyermusthaveallpermissionsandpermitsrequiredforthepurchase,loading,transportation,unioadingandsellingoftheproductintheimportingcountry.Buyerissolelyresponsibleforsecuringallpermits,licensesandanyandallotherdocumentsrequiredbythegovernmentoftheimporting.Sellerisnotresponsibletosecure,norprovideanysuchdocumentation.Buyerisresponsibleforallcostsassociatedwithsecuringsuchdocumentationandallcostsandpenaltiesimposedbyanycountry 'sand/oranycountriesagenciesifsuchdocumentsarenotprovided.ForceMajeure:不可抗力Neitherpartytothiscontractshallbeheldresponsibleforbreachofcontractcausedbyanactofgod,insurrection,civilwar,war,militaryoperationorlocalemergency.Thepartiesdoherebyaccepttheinternationalprovisionof“forcemajeure”aspublishedbytheInternationalChamberofCommerce,Geneva,Switzerland,andasdefinedbyI.C.C.rulesuniformcustomsandpractice.DisputesandArbitration:Ifadisputearisesrelatingtothiscontractinanyway,thepartymakingsaiddisputeshallforwardwrittennoticeofthedisputetotheotherpartyviaovernightcourierwithsuchnoticestobesenttotheotherparty'sbusinessaddress.Thepartiesherebyagreetoattempttosettlealldisputesamicablyandexpeditiously.Ifsettlementisnotreachedwithinninety(90)daysofreceiptofwrittennoticeofdispute,thedisputeinquestionshallbesubmittedandsettledbyarbitrationattheInternationalArbitrationAssociationChambers,inNewYorkCity,NewYork,U.S.A.byoneormorearbitratorsappointedinaccordaneewithsaidrules.Intheeventofadispute,eachpartyisresponsibleforpaymentofitsownfeesandcostsincluding,butnotlimitedto,attorneys 'fees.Neitherpartyisresponsiblefortheotherspartybutnotlimitedto,attorneys'fees,regardlessoftheoutcometothedisputeandwithoutrespecttotheprevailingparty.AuthoritytoExecuteThisContract:Thepartiestothiscontractdeclarethattheyhavefullauthoritytoexecutethisdocumentandagreetobefullyboundbythetermsandconditionssetforthherein.ExecutionofThisContract:Thiscontractmaybeexecutedsimultaneouslyintwoormorecounterpartsviaemailorfacsimiletransmission,eachofwhichshallbedeemedasoriginalsandlegallybinding.Governinglaw:Thiscontractshallbegoverned,andinterpretedinaccordaneewiththeUnitedNationtheSaleofGoods(UNConvention).IntheeventofinconsistencybetweenthiscontractandtheprovisionsoftheUNConvention,thiscontractshallhavepriorityforthepurposeofArticle39oftheUNConvention.AreasonableperiodoftimeshallbedeemedtobeFourteen(14)bankingdays.Languageused:TheEnglishIanguageshallbeusedforallcommunication.Assignment:Thisagreementisassignableandtransferablebyeitherparty,withpriorwrittennoticegiventotheotherpartyatleastFourteen(14)daysinadvaneeoftheassignmentortransferbecomingeffective.Non-CircumventionandNon-Disclosure:ThepartiesacceptandagreetotheprovisionsoftheInternationalChamberofCommerce,Geneva,Switzerlandfornon-circumventionandnon-disclosurewithregardtoallandeveryoneofthepartiesinvolvedinthistransactionandcontract,additions,renewals,andthirdpartyassignments,withfullreciprocationforaperiodof(3)threeyearsfromthedateofexecutionofthiscontract.Eachitemofconfidentialinformationdisclosedbyonepartyshallbeheldinconfidencebytheotherpartyandusedonlyforthepurposesstatedinthisagreementduringthetermofthiscontractandforfive(5)yearsaftertheterminationorexpirationofthiscontract( “confidentialitytermtherighttodisseminateanduseanysuchinformationintheprocessofsaleoftheproducttoitsBuyers.ContractTermTwelve(12)monthsandtwenty(20)daysincludingthefirsttwentytothirty(20-30)dayswhentheproductisbeingprepared.Buyerconfirmsthatsaidfundsaregood,clean,cleared,unencumbered,legitimatelyearnedandofnoncriminalorigin.Nomodificationofthisagreementorofanycovenant,condition,orlimitationhereincontainedshallbevaliduniessinwritinganddulyexecutedbyallpartiestothisagreement.Further,noevidenceofanymodificationshallbeofferedorreceivedasevidenceinanyproceedingorlitigationorarbitrationbetweenthepartiesarisingoutoforaffectingthisagreementortherightsorobligationsofanypartyhereunder,uniesssuchwaiverormodificationisinwritinganddulyexecutedbyallparties.DefaultExceptasotherwiserefereneedhereinincluding,withoutlimitation,aforcemajeureevent,shouldtheeitherpartyfailtoperformontimeasstipulatedinthiscontract,theSellerorBuyershallbegrantedanopportunitytocuresaiddefaultforaperiodoffourteendays(14)bankingdays( “cuRepresentationsandWarranties.BuyerrecognizesthatSellerisare-Selleroftheproductandassuchisnotthemanufactureroftheproduct.UnderstandingofAgreement.Thepartiesrepresentandwarrantthat(a)theyhaveconsultedwithanattorneyoftheirchoosingconcerningthisagreement,(b)theyhavecarefullyreadandfullyunderstandalloftheprovisionsofthisagreement,(c)theyarevoluntarilyenteringintothisagreement,and(d)theyarenotrelyingonanyrepresentations,warranties,statements,oragreementsotherthanthosethatarecontainedinthisagreement.Counterparts.Thisagreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtakentogethershallconstituteoneandthesameinstrument.Confirmationofexecutionbyelectronictransmissionofafacsimilesignaturepageshallbebindinguponanypartysoconfirming.EntireAgreement.Thisagreementrepresentstheentireunderstandingandagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallothernegotiations,understandingsandrepresentations(ifany)madebyandbetweensuchparties.InvalidProvision(s).Theinvalidityorunenforceabilityofaparticularprovisionorportionthereofinthisagreementshallnotaffecttheotherprovisionsorportionhereof,andifanyoneofthemisfoundtobeunenforceable,theotherprovisionsshallremainfullyvalidandenforceableasifsuchinvalidorunenforceableprovisionswereomitted.WaiverofRights.Nofailureofanypartytoexerciseanyrightsgivensuchpartyhereunderortoinsistuponstrictcompliancebyanypartywiththeirobligationshereunder,andnocustomorpracticeofthepartiesinvariancewiththetermshereofshallconstituteawaiveroftheparties
