(如本合同為FOB價(jià)格條件時(shí),提單應(yīng)注明“運(yùn)費(fèi)到付〞字樣,如本合同為 C&F/CFR或CIF價(jià)格條件時(shí),提單應(yīng)注明“運(yùn)費(fèi)已付〞字樣)BillofLading: sedonC&F/CFRorCIF).發(fā)票：注明合同號(hào)、嗟頭、載貨船名及信用證號(hào).Invoice:indicatingcontractNo.,shippingmarks,nameofcarryingvessel,numberoftheLetterofCredit.裝箱單及/或重量單：注明合同號(hào)及嗟頭,并逐件注明毛重、凈重和爐號(hào).Packinglistand/orWeightMemo:indicatingcontractNo.,ShippingMarks,heatnumber,grossandnetweightsofeachpackage.制造工廠的品質(zhì)及數(shù)量/重量證實(shí)書(shū).CertificatesofQualityandQuantity/Weightofthecontractedgoodsissuedbythemanufacturer.品質(zhì)證實(shí)書(shū)內(nèi)應(yīng)列入根據(jù)合同規(guī)定的標(biāo)準(zhǔn)按爐號(hào)進(jìn)行化學(xué)成分、 機(jī)械性能及其他各種試驗(yàn)的實(shí)際試驗(yàn)結(jié)果.數(shù)量/重量證實(shí)書(shū)應(yīng)按爐號(hào)列明重量和總重量.QualityCertificatetoshowactualresultsofteststobemadeforeachfurnace,onchemicalcompositions,mechanicalpropertiesandallothertestscalledforbytheStandardstipulatedhereon.CertificateofQuantity/weightshouldbearthequantity/weightforeachfurnaceandtotal.按本合同第12條規(guī)定的裝運(yùn)通知副本.CopyoffaxadvisingshipmentaccordingtoClause12ofthisContract.ABC~D~E送交議付銀行(正本)Tothenegotiatingbank(original)送交議付銀行(副本)Tothenegotiatingbank(duplicate)11.裝運(yùn)條款(TermsofShipments):FOB價(jià)格的裝運(yùn)條件[TermsofShipments(FOB)]:裝運(yùn)本合同貨物的船只,由買(mǎi)方租訂艙位.賣(mài)方負(fù)擔(dān)貨物的一切費(fèi)用和風(fēng)險(xiǎn)到貨物在裝運(yùn)港裝運(yùn)上船為止.ForthegoodsorderedinthisContract,thecarryingvesselshallbearrangedbytheBuyer.TheSellershallbearallthechargesandrisksuntilthegoodsareonboardthecarryingvesselattheloadingport.賣(mài)方必須在合同規(guī)定的交貨期限 30天前,將合同號(hào)、貨物名稱(chēng)、 數(shù)量、裝運(yùn)口岸及預(yù)計(jì)貨物運(yùn)達(dá)裝運(yùn)口岸日期, 以通知買(mǎi)方安排艙位. 并同時(shí)通知買(mǎi)方在裝運(yùn)港的船舶代理. 倘在規(guī)定期內(nèi)買(mǎi)方未接到前述通知, 即作為賣(mài)方同意在合同規(guī)定期內(nèi)任何日期交貨, 并由買(mǎi)方主動(dòng)租訂艙位.TheSellershalladvisetheBuyerbyfax,andsimultaneouslyadvisetheBuyer'sshippingagentattheloadingport,30daysbeforethecontractedtimeofshipment,oftheContractNo.,nameofcommodity,quantity,loadingportandexpecteddateofarrivalofthegoodsattheloadingport,enablingtheBuyertoarrangesforshippingspace.AbsenceofsuchsreadinesstoadvicewithinthetimespecifiedaboveshallbeconsideredasSellerdeliverthegoodsduringthetimeofshipmentcontractedandtheBuyersreadinesstoforshippingspaceaccordingly.買(mǎi)方應(yīng)在船只受載期 12天前將船只、預(yù)計(jì)受載日期、裝載數(shù)量、合同號(hào)、船舶代理人,以通知賣(mài)方.賣(mài)方應(yīng)聯(lián)系船舶代理人配合船期裝船.如買(mǎi)方因故需要變更船只或更改船期時(shí),買(mǎi)方或船舶代理人應(yīng)及時(shí)通知賣(mài)方.TheBuyershalladvisetheSellerbyfax,12daysbeforetheexpectedloadingdate,oftheestimatedlaydays,ContractNo.,nameofvessel,quantitytobeloadedandshippingagent.TheSellershallthenarrangewiththeshippingagentforloadingaccordingly.Incaseofnecessityforsubstitutionofvesseloralterationofshippingschedule,theBuyerortheshippingagentshalldulyadvisetheSellertothesameeffect.買(mǎi)方所租船只按期到達(dá)裝運(yùn)口岸后,如賣(mài)方不能按時(shí)備貨裝船,買(mǎi)方因而遭受的一切損失包括空艙費(fèi)、滯期費(fèi)及/或罰款等由賣(mài)方負(fù)擔(dān).如船只不能于船舶代理人所確定的受載期內(nèi)到達(dá),在港口免費(fèi)堆存期滿后第 16天起發(fā)生的倉(cāng)庫(kù)租費(fèi)、保險(xiǎn)費(fèi)由買(mǎi)方負(fù)擔(dān),但賣(mài)方仍負(fù)有載貨船只到達(dá)裝運(yùn)口岸后立即將貨物裝船之義務(wù)并負(fù)擔(dān)費(fèi)用及風(fēng)險(xiǎn).前述各種損失均憑原始單據(jù)核實(shí)支付.IntheeventoftheSeller'sfailureineffectingshipmentuponarrivalofthevesselattheloadingport,alllosses,includingdeadfreight,demurrageand/orfinesetc.,thusincurred,shallbeforSeller'saccount.Ifthevesselfailstoarriveattheloadingportwithinthelaydayspreviouslydeclaredbytheshippingagent,thestoragechargesandinsurancepremiumfromthe16thdayafterexpirationofthefreestoragetimeattheportshallbebornebytheBuyer.However,theSellershallbestillundertheobligationtoloadthegoodsonboardthecarryingvesselimmediatelyafterherarrivalattheloadingport,attheirownexpensesandrisks.Theexpensesandlossesmentionedaboveshallbereimbursedagainstoriginalreceiptsorinvoices.C&F(CFR)或CIF價(jià)格的裝運(yùn)條件:TermsofShipments(C&F/CFRorCIF)]:賣(mài)方負(fù)責(zé)將本合同所列貨物由裝運(yùn)口岸到目的口岸,中途不得轉(zhuǎn)船OTheSellershallundertaketoshipthecontractedgoodsfromtheportofloadingtotheportofdestination,withnotransshipmentallowed.a〕 賣(mài)方應(yīng)在不遲于裝運(yùn)前 30日,以通知買(mǎi)方裝運(yùn)船只的船名、船籍、船齡和其他有關(guān)該船的詳細(xì)情況,以及每次裝運(yùn)貨物的合同號(hào). 經(jīng)買(mǎi)方對(duì)船只確認(rèn)接受后, 賣(mài)方才可裝運(yùn).但買(mǎi)方不能無(wú)理拖延上述確認(rèn), 買(mǎi)方應(yīng)在接到通知后5個(gè)工作日內(nèi)作出確認(rèn),否那么即視為該船只已被確認(rèn).TheSellershall,notlaterthan30daysbeforethetimeofshipment,informtheBuyerbyFaxofthename,nationality,ageandotherdetailsofthecarryingvesselaswellasthecontractnumberofeachshipment.TheshipmentshallnotbeeffectedwithouttheconfirmationfromtheBuyerwithrespecttotheacceptabilityofthevessel,providedthatBuyershallnotunreasonablywithholdsuchconfirmation.BuyershallconfirmthevesselbyFaxwithin5workingdays,otherwisethevesselshallberegardedasconfirmed.b〕 賣(mài)方所租船只應(yīng)適航和適貨,租船時(shí)應(yīng)慎重、認(rèn)真地選擇承運(yùn)人及船只.買(mǎi)方不接受非保賠協(xié)會(huì)成員船只.賣(mài)方指定船舶的國(guó)籍不得違反買(mǎi)方所在國(guó)承諾的國(guó)際義務(wù).ThecarryingvesselcharteredbySellershallbeseaworthyandcargoworthy.Sellershallbeobligedtoactprudentlyandconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.BuyerisjustifiedinnotacceptingvesselscharteredbySellerthatarenotmembersoftheP&ICLUB.ThenationalityofthevesselnominatedbySellershallnotbeinconflictwiththeinternationalcommitmentsundertakenbythecountrywhereBuyerislocated.c〕 賣(mài)方所租船只船齡不得超過(guò) 15年.對(duì)超過(guò)15年船齡的船只其超齡額外保險(xiǎn)費(fèi)由賣(mài)方負(fù)擔(dān).買(mǎi)方不接受超過(guò)20年船齡的船只.TheageofthecarryingvesselcharteredbySellershallnotexceed15years,TheextraoverageinsurancepremiumthusincurredshallbebornebySeller.Vesselmorethan20yearsofageinnoeventbeacceptabletoBuyer.d〕 賣(mài)方應(yīng)和載運(yùn)貨物的船只保持密切聯(lián)系, 并以最快方式通知買(mǎi)方船只在途中發(fā)生的一切事故,賣(mài)方應(yīng)對(duì)未及時(shí)通知買(mǎi)方而造成買(mǎi)方的一切損失負(fù)責(zé)賠償.SellershallmaintainclosecontactwiththecarryingvesselandshallnotifyBuyerbyfastestmeansofcommunicationaboutanyandallaccidentsthatmayoccurwhilethecarryingvesselisonroute.SellershallassumefullresponsibilityandshallcompensateBuyerforalllossesincurredforitsfailuretogivetimelyadviceornotificationtoBuyer.裝運(yùn)通知：賣(mài)方在貨物裝船后,個(gè)小時(shí)內(nèi)(填入24或48或72)將合同號(hào)、品名、件數(shù)、毛重、凈重、發(fā)票金額、載貨船名及裝船日期以 (號(hào)：)通知買(mǎi)方.Adviceofshipment:TheSellershall,uponcompletionofloading,advisetheBuyerwithinhoursbyfax(faxNo.)oftheContractNo.,nameofcommodity,numberofpackages,grossandnetweights,invoicevalue,nameofvesselandloadingdate.卸貨條款(DischargingTerm):根據(jù)卸貨港慣常速度快速卸貨,不計(jì)滯期費(fèi)或速遣費(fèi).DischargingrateondischargingportisasperCQD(customaryquickdespatch).保險(xiǎn)(Insurance):FOB或C&F/CFR價(jià)格的保險(xiǎn):Insurance(FOBorC&F/CFR)]:買(mǎi)方應(yīng)負(fù)責(zé)按規(guī)那么投保.但賣(mài)方應(yīng)按本合同第 12條通知買(mǎi)方.如賣(mài)方未能及時(shí)通知買(mǎi)方,買(mǎi)方因而遭受的一切損失全由賣(mài)方承擔(dān).InsuranceshallbeprocuredbyBuyer,inaccordancewiththeinsuranceregulationsofForthispurposetheSellersshalladvisetheBuyersbyfaxoftheparticulars ascalledforinClause12ofthisContract.IntheeventoftheBuyersbeingunabletoarrangeforinsuranceinconsequenceoftheSellers'failuretosendtheaboveadvice,theSellersshallbeheldresponsibleforallthelossesthussustainedbytheBuyers.CIF價(jià)格的保險(xiǎn)[Insurance(CIF)]:賣(mài)方應(yīng)遵照規(guī)那么按發(fā)票金額的 〔裝運(yùn)港檢驗(yàn)機(jī)構(gòu)〕根據(jù)本合同的規(guī)定標(biāo)準(zhǔn)對(duì)貨物的品質(zhì)、規(guī)格、數(shù)量、重量、包裝、平安、衛(wèi)生或健康要求簽發(fā)的檢驗(yàn)報(bào)告.上述檢驗(yàn)報(bào)告應(yīng)構(gòu)成賣(mài)方要求付款時(shí)出具的單據(jù)之一.Inspectionbymanufacturer〔inspectionorganizationonloadingport〕TheSellershall,beforethetimeofshipment,providetheinspectionreportssignedbythemanufacturers〔inspectionorganizationonloadingport〕onthequality,specification,quantity,weight,packagingandrequirementsforsafetyandsanitation/hygieneofthegoodsinaccordancewiththestandardsstipulatedinthisContract.Theaforesaidinspectionreportsshallbeanintegralpartofthedocumentstobepresentedforpayment.到貨檢驗(yàn)：買(mǎi)方有權(quán)在貨物到達(dá)〔卸貨港〕后向檢驗(yàn)機(jī)構(gòu)申請(qǐng)檢驗(yàn)貨物.檢驗(yàn)機(jī)構(gòu)是：中華人民共和國(guó) 〔填入相應(yīng)地名,如北京等〕出入境檢驗(yàn)檢疫局.InspectionuponarrivalBuyershallhavetherighttoapplytotheinspectionorganizationfortheinspectionofthegoodsafterthearrivalofthegoodsat.Inspectionorganization:Exii.Bill.r’FTnsp知：I.i沖nndQiiH.mir.irit^Riifhhiil.hn口制中1毛'％R^publi<:〔iP匚hiiiH,最終檢驗(yàn)：卸貨港的檢驗(yàn)證書(shū)如與制造商或裝貨港的檢驗(yàn)證書(shū)有沖突,那么檢驗(yàn)證書(shū)具有最終效力.FinalInspectionInspectioncertificateissuedbyshallbefinalincaseitisinconflictwiththatissuedatloadingportorissuedbymanufacture.不可抗力：合同當(dāng)事人一方因戰(zhàn)爭(zhēng)、洪水、火災(zāi)、地震、雪災(zāi)、旱災(zāi)、冰雹、颶風(fēng)、暴亂、罷工、政府禁令或其他該方當(dāng)事人無(wú)法限制、 并在簽訂本合同時(shí)不能合理預(yù)見(jiàn)、 不可預(yù)防或無(wú)法克服的事件造成其無(wú)法履行或退延履行全部或局部合同義務(wù), 那么該合同當(dāng)事人應(yīng)免責(zé).但是,因不可抗力而其履約受影響的合同一方應(yīng)向另一方盡快通知不可抗力事件的發(fā)生,并應(yīng)在事件發(fā)生后不退于天,向另一方發(fā)送由主管機(jī)關(guān)或當(dāng)?shù)厣虝?huì)出具的關(guān)于發(fā)生不可抗力事件的證實(shí)文件.ForceMajeure:NeitherpartyshallbeliableforfailureordelaytoperformalloranypartofthisContractduetowar,flood,fire,earthquake,snowstorm,drought,hailstorm,hurricane,civilcommotion,strike,governmentprohibitionoranyothereventsthatarebeyondthecontroloftheaffectedpartyandcouldnotreasonablybeexpectedatthetimeofconclusionofthisContractorhavebeenavoidedorovercomebysuchparty.However,thepartywho'sperformanceisaffectedbytheeventofForceMajeureshallgiveanoticetotheotherpartyofitsoccurrenceassoonaspossibleandacertificateoradocumentoftheoccurrenceoftheForceMajeureeventissuedbytherelativeauthorityorthelocalchamberofcommerceshallbesenttotheotherpartynotlaterthan15daysafteritsoccurrence.延退交貨及罰款：除本合同第16條人力不可抗拒事故,使賣(mài)方不能如期交貨,罰款率為每 10天合同金額的%,缺乏10天的局部按 %計(jì)算,最多不超過(guò)合同金額的 % .賣(mài)方延期交貨超過(guò) 30天,買(mǎi)方有權(quán)提出解除合同.如果買(mǎi)方不宣布解除合同,那么賣(mài)方除承擔(dān)上述罰款外,還應(yīng)賠償其延期交付給買(mǎi)方造成的全部損失.DelayindeliveryandPenalty:ShouldtheSellerfailtoeffectdeliveryontimeasstipulatedinthisContractowingtocausesotherthanForceMajeureasprovidedforinClause16ofthisContract,adelaypenaltyshouldbechargedattherateof%ofthetotalcontractvalueforevery10days,odddayslessthan10daysshouldbecounteredas10days,totalpenaltyshallnotexceed%ofthetotalvalue.IftheSeller'sdelayindeliveryisover30days,theBuyerisentitledtoterminatingthecontract.IncasetheBuyerchoosesnottoterminatethecontract,theSellershallcompensatetheBuyerforalllossesduetothedelayotherthanthedelaypenalty.索賠(Claims):如果貨物的品質(zhì)、規(guī)格、數(shù)量、重量、包裝及對(duì)平安、衛(wèi)生或健康的要求不符合本合同的規(guī)定,買(mǎi)方有權(quán)憑本合同第 15.2條規(guī)定的檢驗(yàn)機(jī)構(gòu)簽發(fā)的檢驗(yàn)證書(shū)在貨物到達(dá)最終目的地之后日內(nèi),只要該日不超過(guò)貨物到達(dá)卸貨港車(chē)站機(jī)場(chǎng)之日后日內(nèi)及時(shí)向賣(mài)方提出索賠,并列明索賠理由.Shouldthequality,specifications,quantity,weight,packingandrequirementsforsafety,sanitationorhygieneofthegoodsbefoundnotinconformitywiththestipulationsofthisContract,BuyershallhavetherighttolodgeclaimsagainstSellerbasedontheInspectionCertificateissuedbytheinspectionorganizationprovidedinClause15.2ofthisContractanditemizethereasonsfortheclaimswithindaysfromthedateofarrivalofthegoodsatthefinaldestination,providedthatsuchdateshallnotexceeddaysfromthedateofarrivalofthegoodsattheportofunloadingrailwaystationairport ；賣(mài)方在收到本合同第 15.2規(guī)定的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證書(shū)后, 應(yīng)當(dāng)于此后20日內(nèi)答復(fù)買(mǎi)方的索賠要求.如果賣(mài)方未在上述期限內(nèi)作出答復(fù),那么買(mǎi)方的索賠要求被視為接受.18.2SellershallreplytoBuyer'sclaimnotlaterthan20daysafterreceiptoftheinspectioncertificateissuedbytheinspectionorganizationprovidedinClause15.2ofthisContractandtheclaimsshallberegardedashavingbeenacceptedifSellerfailsLoreplywiLhintheabove[neiiLionedLimeIljliit.第第頁(yè)共14頁(yè)如屬于保險(xiǎn)公司及如果賣(mài)方聲稱(chēng)貨物的數(shù)量和質(zhì)量問(wèn)題是由于賣(mài)方不負(fù)責(zé)任的原因造成,如屬于保險(xiǎn)公司及/或船公司的責(zé)任,賣(mài)方應(yīng)承擔(dān)舉證責(zé)任.因索賠所發(fā)生的一切費(fèi)用 (包括檢驗(yàn)費(fèi)用)均由賣(mài)方負(fù)擔(dān).FOB價(jià)格條件時(shí),如重量短缺,買(mǎi)方有權(quán)同時(shí)索賠短重局部的運(yùn)費(fèi).Sellershalltaketheburdenofproofforhisallegationthatdiscrepancyofquantityandqualityisduetosomereasontowhichsellershallnotberesponsible,suchascircumstanceswheretheinsurer/carriershallberesponsible.AllcostsincludingsurveycostshallbebornbytheSellerincaseofclaim.UnderFOBterms,theBuyerisentitledtotheoverpaidfreightaccordinglyincaseofshortage.通知(Notices):任何通知應(yīng)以書(shū)面形式,并應(yīng)有專(zhuān)人送交、發(fā)送或航空快件寄送, 專(zhuān)人送交時(shí)視為已給予通知；如以發(fā)送,那么發(fā)送之日第二天視為已給予通知； 如航空快件寄送,那么另一方當(dāng)事人在本合同抬頭列明的地點(diǎn)收到信件時(shí),通知視為送達(dá).Anynoticetobegivenhereundershallbeinwritingandshallbehanddelivered,transmittedbyfacsimileorsentbyexpressairmailshallbedeemedgivenwhensohrind(kli dr]t.risuchfricsimisotransmitted,orifsentbyexpressairmailwhenreceived,bytheotherpartyattheaddressesspecifiedattheheadofthisContract.20.法律的適用：除非另有約定,本合同適用?聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售合同公約?并在 ?聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售合同公約?沒(méi)有規(guī)定的情況下適用中國(guó)法.Applicablelaw:Unlessotherwiseagreed,theUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)andChineseLaw(incaseofthosemattersnotstipulatedinCISG)shallbeapplied.一切因執(zhí)行本合同或與本合同有關(guān)的爭(zhēng)執(zhí), 應(yīng)由雙方通過(guò)友好方式協(xié)商解決.
