1、聘請(qǐng)常年法律顧問(wèn)合同Employment of Long-term Legal Counseling Agreement本合同書(shū)雙方當(dāng)事人為：Both parties involved in this Agreement are as follows:甲方：地址：法定代表人： 乙方：地址：法定代表人：茲本合同之甲方同意聘請(qǐng)乙方作為常年法律顧問(wèn)，并乙方同意接受甲方聘請(qǐng)?zhí)峁┏Ｄ攴深檰?wèn)服務(wù)，雙方經(jīng)過(guò)協(xié)商之后，同意協(xié)議如下：This Agreement is hereby to certify that Party A agrees to assign Party B as its long- te

2、rm law consultant, and Party B is willing to accept the consignment and provide long- term legal counseling service. After friendly negotiation, the parties agreed to the following terms and conditions on the consigning.第1條 ：Article 1意向及總則Intention and general principle甲方同意聘請(qǐng)乙方作為常年法律顧問(wèn)，乙方同意接受甲方聘請(qǐng)?zhí)峁┏?/p>

3、年法律顧問(wèn)服務(wù)。Party A agrees to assign Party B as its long- term law consultant, and Party B is willing to accept the consignment and provide long-term legal counseling service.第2條 ：Article 2 顧問(wèn)律師Consulting lawyers乙方指派以 黃海栩 律師為主體的顧問(wèn)組擔(dān)任甲方之按照第一條所確定常年法律顧問(wèn)。同時(shí)，因應(yīng)甲方的法律事務(wù)，乙方得以安排相應(yīng)的專(zhuān)業(yè)律師為甲方提供法律服務(wù)，維護(hù)甲方合法權(quán)益，甲方接受乙方指派

4、之律師。The Party B assign Lawyer Haixiang Huang as leading role in the consultant group to provide long-term counseling service for Party A as Article 1 mentioned. Meanwhile, should Party A request, Party B shall arrange corresponding professional lawyer to provide legal counseling service on legal aff

5、airs of Party A, protect legal rights of Party A, and Party A shall be willing to accept the lawyers designated by Party B.第3條 ：Article 3聘期Employment periods雙方同意聘期為一年，自 2017 年 6 月 21 日始至 2019 年 6 月20 日止。Both parties agree that the consignment period is two years from June 21, 2017 to June 20, 2019.

6、The agreement will terminate after expiration.第4條 ：Article 4乙方職責(zé)Responsibility of Party B1：為甲方的日常業(yè)務(wù)提供法律咨詢(xún)及法律依據(jù)，具體包括：Party B shall provide Party A with legal counseling and legal rationale for its current undertaking, specifically including:A、 為甲方起草、審查、修改各類(lèi)法律文書(shū)；Draft, review and amend any kind of leg

7、al documents.B、 根據(jù)甲方的經(jīng)濟(jì)、商務(wù)談判，為甲方完善各類(lèi)常用格式合同；Improve and perfect any kind of common standard form of contract on the basis of Party As economic and commercial negotiation.C、 為甲方事務(wù)出具法律意見(jiàn)書(shū)、律師函、律師聲明等文件；Provide Party A with legal advisory paper, lawyers letter and counseling statements and other documents

8、 for Party As affairs.D、 為甲方的經(jīng)營(yíng)管理決策提供法律論證；Provide Party A with legal argument for Party A s managerial decision-making.E、 為甲方進(jìn)行必要的法律輔導(dǎo)；Provide Party A with necessary legal tutoring.F、 協(xié)助甲方處理勞資關(guān)系。Assist Party A with Labor Relations.2：根據(jù)甲方的另外授權(quán)委托代理甲方參加各類(lèi)糾紛的協(xié)商、調(diào)解、訴訟、仲裁；According to Party As additional

9、authorization delegation, Party B shall participate in negotiation, mediation, litigation and arbitration of all kinds of disputes.3：根據(jù)甲方的另外授權(quán)委托對(duì)甲方重大商務(wù)行為或者項(xiàng)目提供法律服務(wù)。According to Party As additional authorization delegation, Party B shall provide legal services to Party As major business activities or

10、 projects.第5條 ：Article 5 甲方責(zé)任Responsibility of Party A1、 甲方應(yīng)當(dāng)如實(shí)向乙方提供有關(guān)文件、資料以及反映其他情況，甲方必須確保所提供文件、資料、信息的真實(shí)性，如因甲方故意或過(guò)失向乙方提供虛假文件、資料，或故意隱瞞有關(guān)事實(shí)，而導(dǎo)致乙方無(wú)法作出正確的口頭或者書(shū)面法律意見(jiàn)，由此所造成的損失，均由甲方承擔(dān)。Party A shall provide Party B with relevant authentic files, documents and reflect other situations accurately. Party A sha

11、ll ensure that all files, documents and information are in accordance with the fact. If Party A has intentionally or negligently provided false documents, information, or intentionally concealed the facts to Party B, which causes Party B unable to make correct oral or written legal advice, Party A s

12、hall bear the corresponding economic loss by itself. 2、 為乙方開(kāi)展工作提供必要的條件與協(xié)助。Provide Party B with necessary conditions and assistance for Party B doing its job.3、 如期如數(shù)支付法律顧問(wèn)費(fèi)用及應(yīng)由甲方承擔(dān)的法律事務(wù)開(kāi)支。Shall make payment of legal adviser fee as scheduled and in exact amount, and bear the legal expenses incurred by

13、 Party A.第6條 ：Article 6法律顧問(wèn)費(fèi)用 Legal consultant fees1、 甲乙雙方同意，就本次甲方聘請(qǐng)乙方作為常年法律顧問(wèn)，甲方應(yīng)當(dāng)向乙方支付的顧問(wèn)費(fèi)用為每年人民幣壹萬(wàn)肆仟元(RMB14,000)。In this Agreement, Party A agrees to assign Party B as its long-term law consultant, both parties agree that Party A shall pay RMB 14,000 to Party B for the consultant fee every year.

14、2、 前述年度費(fèi)用自本合同書(shū)簽署之時(shí)給付。The aforementioned annual fee shall be paid from the time of signing of this Agreement.3、 如乙方應(yīng)甲方的要求指派律師參與訴訟、仲裁或者重大商務(wù)行為、項(xiàng)目提供法律服務(wù)時(shí)，乙方按照律師協(xié)會(huì)有關(guān)規(guī)定另行優(yōu)惠收費(fèi)。If Party B is required to assign a lawyer to participate in litigation, arbitration or major business conduct and project and provi

15、de legal services, Party B shall charge extra fees according to the relevant preferential provisions of the bar association. 4、 發(fā)律師函、調(diào)查取證等涉及行政機(jī)關(guān)收費(fèi)、快遞費(fèi)用，由甲方承擔(dān)。Party A shall bear the fees on sending lawyers letter, investigating and collecting evidence and any other payments related to administration

16、fees and postal fees, etc.5、 甲方每筆單項(xiàng)業(yè)務(wù)費(fèi)用，由雙方根據(jù)實(shí)際情況另行協(xié)商。The individual business expenses of Party A shall be negotiated separately by the two parties according to the actual situation.第7條 ：Article 7有關(guān)乙方失職責(zé)任 Negligence liability of Party B 乙方應(yīng)對(duì)其所出具的書(shū)面法律意見(jiàn)的正確性負(fù)責(zé)，如因乙方出具的書(shū)面法律意見(jiàn)缺乏正確性而導(dǎo)致甲方?jīng)Q策失誤，乙方對(duì)由此所造成的甲方損失

17、，應(yīng)當(dāng)承擔(dān)賠償責(zé)任。Party B shall be responsible for the accuracy of the written legal advice that it provides.Party B shall be liable for any loss caused by Party B due to the lack of correctness in Party A's written legal opinion.乙方律師在擔(dān)任法律顧問(wèn)期間，如未能勤勉盡責(zé)、嚴(yán)密謹(jǐn)慎地忠實(shí)履行職責(zé)的，甲方有權(quán)提前終止本合同。Party B shall have the righ

18、t to terminate this contract in advance if he fails to perform his duties with due diligence, strict and prudent fulfillment of his duties during his term of office as legal adviser.第8條 ：Article 8 乙方工作地點(diǎn)及方式Party Bs work location and mode of work 乙方律師的辦公地點(diǎn)在乙方法定地址辦公。Party B's office is located at

19、the legal address of Party B.第9條 ：Article 9保密責(zé)任 Confidentiality obligations雙方同意，在本次項(xiàng)目進(jìn)行過(guò)程中，除非權(quán)利方同意，任何一方不得將因?yàn)槁男斜竞贤@得的關(guān)于對(duì)方的任何信息、資料、數(shù)據(jù)或者其他商業(yè)秘密，以及甲方從乙方獲得的且乙方已經(jīng)作出聲明限制使用的任何專(zhuān)業(yè)意見(jiàn)（無(wú)論書(shū)面的或者口頭的）對(duì)無(wú)關(guān)人員泄露。In the process of this project, both parties reach an agreement that, without the consent from either party,

20、neither party shall disclose to any third Party or irrespective persons any information, documents, data or other business secrets of either party gained during the execution of the agreements. Meanwhile any kind of professional advice (oral or written) that Party B has made a statement requesting r

21、estricted usages of, which is obtained by Party A, shall not be disclosed to any irrespective persons.第10條 ：Article 10爭(zhēng)議解決及補(bǔ)充協(xié)議Dispute settlement and supplementary agreement 甲乙雙方在執(zhí)行本合同書(shū)過(guò)程中產(chǎn)生爭(zhēng)議時(shí)，雙方應(yīng)當(dāng)友好協(xié)商，協(xié)商不成時(shí)任何一方均可以向中山市有管轄權(quán)的法院提起訴訟解決。Any disputes arising during the execution of the agreement shall be
